Repacking. Sharer’s Station is being moved to a different frequency in connection with the repacking following the Incentive Auction (the “Repacking”). In connection with the Repacking, Sharer shall determine any modifications needed to the Transmission Facilities (and be responsible for the related costs) and shall determine whether or not to acquire equipment that may not be reimbursed by the TV Broadcaster Relocation Fund (or other governmental authority).

Repacking. If after the Incentive Auction the FCC moves the Shared Channel to a different frequency (the “Repacking”), the parties shall mutually determine any modifications needed to the Shared Transmission Facilities, shall modify the existing Shared Transmission Facilities or procure new Shared Transmission Facilities as reasonably necessary to implement the Repacking, shall seek reimbursement from the FCC for all reimbursable costs and expenses incurred in connection with or arising out of the Repacking, and Trinity shall be responsible for any unreimbursed costs.
Repacking. (a) Following the date hereof, the parties hereto agree to reasonably cooperate in connection with the implementation of any modifications or amendments to the FCC Licenses or the Stations necessitated by the Repack conducted by the FCC, including taking such actions as may be reasonably requested by Buyer in connection therewith or as may be reasonably required to comply with any FCC order in connection therewith. (b) Without limiting the generality of Section 7.10(a), with respect to the Repack, Xxxxxxxx shall, and as applicable prior to the Tribune Closing shall use reasonable best efforts to cause Tribune, to: (i) provide Buyer with copies of all FCC filings previously made in connection with the channel changes and with the reimbursement of actual expenses incurred; (ii) cooperate with Buyer in connection with future FCC filings; (iii) provide Buyer with all technical information in the possession of Xxxxxxxx, Tribune or their respective Affiliates regarding the construction plans for the channel changes in respect of the Repacked Stations, including, to the extent available, details about the equipment to be purchased, site surveys, title reports, structural analysis, lease negotiations and any other engineering or construction activities reasonably necessary to complete the channel changes; (iv) not incur any expenses with respect to the channel changes for the Repacked Stations without consultation with Buyer; (v) comply with all applicable deadlines imposed by the FCC with respect to the Repacked Stations and the Repack, as applicable, including, with respect to the build-out of a Repacked Station’s construction permit, its cessation of operations on its existing channel, and commencement of operations on its new channel, to the extent applicable, in connection with the Repack and provide updates with respect to the foregoing, as may be reasonably requested by Buyer, from time to time, prior to the Closing; and (vi) cooperate with Buyer upon the Closing to file one or more new FCC Forms 1876 to designate Buyer, or Buyer’s designee, as an entity eligible to receive reimbursements from the TV Broadcaster Relocation Fund (“Repack Fund”) of eligible expenses related to the channel changes and to establish one or more new accounts for such reimbursements.   • Packing 3.9.1 The tenderer shall provide such packing of the Goods as is required to prevent their damage or deterioration during transit to their final destination, as indicated in the Contract. 3.9.2 The packing, marking, and documentation within and outside the packages shall comply strictly with such special requirements as shall be expressly provided for in the Contract

  • Shipping Axon may make partial shipments and ship Axon Devices from multiple locations. All shipments are FOB shipping point via common carrier. Title and risk of loss pass to Agency upon Axon’s delivery to the common carrier. Agency is responsible for any shipping charges in the Quote.

  • Shipment Dell will ship the APEX System to the Site when included as part of the APEX Service. The terms and process for shipment and delivery of the APEX System will be stated in the applicable Service Offering Description.

  • Packaging Tangible product shall be securely and properly packed for shipment, storage, and stocking in appropriate, clearly labeled, shipping containers and according to accepted commercial practice, without extra charge for packing materials, cases, or other types of containers. All containers and packaging shall become and remain Customer’s property.

  • Transport The Parents consent to the Pupil travelling by any form of public transport and / or in a motor vehicle driven by a responsible adult who is duly licensed and insured to drive a vehicle of that type.

  • Containers The marine and intermodal cargo containers either owned or leased by the Borrower and employed by the Borrower in the conduct of its business, including, without limitation, refrigerated, dry van, tank, open top and flat rack containers and refrigeration units and generator sets associated therewith, but excluding any chassis for such containers.

  • Labeling Upon request, Lessee will xxxx the Equipment indicating Lessor's interest with labels provided by Lessor. Lessee will keep all Equipment free from any other marking or labeling which might be interpreted as a claim of ownership.

  • Consumables During the design phase, Purchaser may participate in the selection of suppliers of consumables of the Supplier. In such case, the choice regarding the final selection of the said suppliers shall be mutually agreed between the Parties. Two suppliers shall be identified and selected for each type of consumables.

  • Labelling The distributor, on behalf of the selected vendor agrees that all supplies of articles should invariably contain the following information on its label and the carton. One information should not be overlapped by any other information needed to be furnished. The label should contain : a. Name of the item as approved b. CMS Cat. No. c. Manufacturing date/Import date for the imported items. d. Expiry Date. (where applicable) e. Name & address of Registered Office of Manufacturers and place of manufacture. f. Manufacturing License Number. (where applicable for Manufactures) g. Batch Number (where applicable) h. Month and Year of supply. i. The label & Carton must invariably marked “W B. GOVT SUPPLY : NOT FOR SALE”. j. All Surgical items quoted/supplied by the tenderer must conform to IS /BIS /CE/USFDA. Pacemker must conform to CE & US FDA norms. In case of Drugs items quoted /supplied by tenderer MUST CONFORM TO IP, BP, or USP norms and N.F.I. –III specification as noted against the item(s) in catalogue as applicable. k. The MRP and Trade Name will not be allowed to be printed in any pack. This will lead to cancellation of candidature straightaway. However, for excisable products, insertion of writing of Govt MRP is allowed as per provision laid down in the order of the Central Excise dept. However, for imported item(s), MRP and Trade name may be allowed in addition to Generic name.

  • Transportation Transportation expenses include, but are not limited to, airplane, train, bus, taxi fares, rental cars, parking, mileage reimbursement, and tolls that are reasonably and necessarily incurred as a result of conducting State business. Each State agency shall determine the necessity for travel, and the mode of travel to be reimbursed.
