Request for New Services. (a) Any Xxxxx Xxxxxx Entity may submit, from time to time, a written request having the form of Schedule 2.02(a) and signed by a duly authorized representative of Xxxxx Xxxxxx to the GE Digital Services Manager for the initiation of a New Service to be provided by GE Digital (each, a “Request for New Services”). Each Request for New Service shall be deemed to incorporate by reference the terms and conditions of this Agreement and be numbered and dated. Requests for New Services shall contain the following information to facilitate the proper accounting of such Service through the intercompany billing system: (i) a detailed description of the services to be performed; (ii) identification of the desired start date and anticipated end date for the requested service; (iii) with respect to each service, the anticipated resources necessary for the provision of such service; and (iv) Xxxxx Xxxxxx’ location at which such service will be rendered, if applicable. (b) GE Digital and the requesting Xxxxx Xxxxxx Entity shall negotiate in good faith to agree upon the terms for the New Service(s) requested in the Request for New Services and, if such terms are agreed upon, shall enter into a Statement of Work in accordance with Article III.

Request for New Services. You may at any time during the Term request that we provide further services (“Additional Services”) by submitting, at your own cost and expense, a project change document.
Request for New Services. Ford may from time to time during the Term request that Vastera perform a service that is not within the scope of Services described in Schedule A (a "New Service"). Upon receipt of such a request from Ford, Vastera shall provide Ford with: (a) a written description of the work Vastera anticipates performing in connection with such New Service; and (b) a schedule for commencing and completing such New Service. (c) appropriate pricing and service level commitments Vastera shall not begin performing any New Service until Ford and Vastera have executed a written amendment to this Agreement for the performance of such New Service.

Each Request for New Services shall be deemed to incorporate by reference the terms and conditions of this Agreement and be numbered and dated. Requests for New Services shall contain the following information to facilitate the proper accounting of such Service: (i) a detailed description of the services to be performed; (ii) identification of the desired start date and anticipated end date for the requested service; (iii) with respect to each service, the anticipated resources necessary for the provision of such service; and (iv) Xxxxx Xxxxxx’ location at which such service will be rendered, if applicable. (b) GE Digital and the requesting Xxxxx Xxxxxx Entity shall negotiate in good faith to agree upon the terms for the New Services requested in the Request for New Services and, if such terms are agreed upon, GE Digital and the requesting Xxxxx Xxxxxx Entity shall jointly enter into a Statement of Work in accordance with ‎Article III or an Order in accordance with Article IV, provided that GE Digital shall not be obligated to accept any Request for New Services except to the extent that an Order is for on-premise APM (Classic Meridium), Classic Smart Signal, or cloud-based APM or Predix Private Cloud that is being made commercially available by GE Digital to its partners, resellers or other GE businesses at the time such Order is made, and no such negotiation will be required for the same; provided, further, that (i) such Order is based on GE Digital’s standard product or service descriptions, specifications and terms and conditions, and (ii) for purposes of this Section 2.05(b), a limited release of a limited version of a product will not be deemed an offering that is “commercially available.” At a minimum, during the Term and subject to its End of Life Policy, GE Digital will offer the products and services set forth in Schedule 2.03(a) herein.
Request for New Services. Subject to Section 2.1.6, for any requests for services that fall outside of the scope of Services, the Service Provider will consider all such requests in good faith and will respond to the Receiving Party within fifteen (15) calendar days after receipt of a request for such services from the Receiving Party. Except for new services related to the merger or other reorganization of a Receiving Party or the Company Business with Purchaser and its Affiliates contemplated as of the Closing Date or otherwise arising in connection with the transactions contemplated by the Purchase Agreement, which Service Provider shall agree to provide on reasonable mutually agreed-upon terms, Service Provider shall have no obligation to agree to provide any other such requested new services. Any such additional service that the Service Provider has agreed to provide (each such service, an “Additional Service”) will be considered to be part of the Services provided by such Service Provider, subject to all terms and conditions, and additional Service Fees, that are agreed between the Parties, provided, that any Service Fees for any such Additional Services shall be negotiated in good faith by the Parties at the time of such addition. Subject to the foregoing proviso, any associated amendments hereto and terms relating to such Additional Service will be mutually agreed by the Parties.
Request for New Services. Customer shall notify Supplier at least seven days prior to the date of commencement of such New Services, providing full details of the requested New Services. Upon receipt of such request for New Services by Customer, Supplier shall, as soon as reasonably practicable submit to Customer a written proposal specifying what changes will be required to the Service Fees or facilities, personnel, equipment, software and other resources relevant to the proposed New Services.

  • New Services If, within ninety (90) days after the Distribution Date, a Party desires the other Party to provide additional or different services which such other Party is not expressly obligated to provide under this Agreement (excluding, for the avoidance of doubt, any Additional Services or Service Adjustments, the “New Services”), then such Party will provide a written change request (in the form agreed by the Parties) to the other Party within ninety (90) days after the Distribution Date. The Party receiving such request shall negotiate in good faith to provide such New Service; provided, however, that no Party shall be obligated to provide any New Services, including because the Parties are unable to reach agreement on the terms thereof (including with respect to Service Charges therefor). If the Parties agree to any such New Service, then the Parties shall document such terms in a Service Schedule to be incorporated in Schedule A or Schedule B, as applicable. The Service Schedule shall describe in reasonable detail the nature, scope, service period(s), termination provisions and other terms applicable to such New Services. Each supplement to the applicable Service Schedule, as agreed to in writing by the Parties, shall be deemed part of this Agreement as of the date of such agreement and the New Services set forth therein shall be deemed “Services” provided under this Agreement, in each case subject to the terms and conditions of this Agreement. The Parties shall in good faith determine any costs and expenses, including any start-up costs and expenses, which would be incurred by the Provider in connection with the provision of such New Service, which costs and expenses shall be borne solely by the Recipient.

  • Detailed Description of Services / Statement of Work Describe fully the services that Contractor will provide, or add and attach Exhibit B to this Agreement.

  • Payments for Distribution Assistance and Administrative Support Services (a) Payments to the Distributor. In consideration of the payments made by the Fund to the Distributor under this Plan, the Distributor shall provide administrative support services and distribution services to the Fund. Such services include distribution assistance and administrative support services rendered in connection with Shares (1) sold in purchase transactions, (2) issued in exchange for shares of another investment company for which the Distributor serves as distributor or sub-distributor, or (3) issued pursuant to a plan of reorganization to which the Fund is a party. If the Board believes that the Distributor may not be rendering appropriate distribution assistance or administrative support services in connection with the sale of Shares, then the Distributor, at the request of the Board, shall provide the Board with a written report or other information to verify that the Distributor is providing appropriate services in this regard. For such services, the Fund will make the following payments to the Distributor:

  • Additional Services Registry Operator shall be entitled to provide the Registry Services described in clauses (a) and (b) of the first paragraph of Section 2.1 in the Specification 6 attached hereto (“Specification 6”) and such other Registry Services set forth on Exhibit A (collectively, the “Approved Services”). If Registry Operator desires to provide any Registry Service that is not an Approved Service or is a material modification to an Approved Service (each, an “Additional Service”), Registry Operator shall submit a request for approval of such Additional Service pursuant to the Registry Services Evaluation Policy at xxxx://xxx.xxxxx.xxx/en/registries/rsep/rsep.html, as such policy may be amended from time to time in accordance with the bylaws of ICANN (as amended from time to time, the “ICANN Bylaws”) applicable to Consensus Policies (the “RSEP”). Registry Operator may offer Additional Services only with the written approval of ICANN, and, upon any such approval, such Additional Services shall be deemed Registry Services under this Agreement. In its reasonable discretion, ICANN may require an amendment to this Agreement reflecting the provision of any Additional Service which is approved pursuant to the RSEP, which amendment shall be in a form reasonably acceptable to the parties.

  • Support Services Rehabilitation, counselling and EAP’s. Support is strictly non- punitive, and can be accessed at anytime (self-identification of the need for help is strongly encouraged).

  • LOAN SERVICES ADDENDUM If a Fund directs the Custodian in writing to perform loan services, the Custodian and the Fund will be bound by the terms of the Loan Services Addendum attached hereto. The Fund shall reimburse Custodian for its fees and expenses related thereto as agreed upon from time to time in writing by the Fund and the Custodian.

  • Approved Services; Additional Services Registry Operator shall be entitled to provide the Registry Services described in clauses (a) and (b) of the first paragraph of Section 2.1 in the Specification 6 attached hereto (“Specification 6”) and such other Registry Services set forth on Exhibit A (collectively, the “Approved Services”). If Registry Operator desires to provide any Registry Service that is not an Approved Service or is a material modification to an Approved Service (each, an “Additional Service”), Registry Operator shall submit a request for approval of such Additional Service pursuant to the Registry Services Evaluation Policy at xxxx://xxx.xxxxx.xxx/en/registries/rsep/rsep.html, as such policy may be amended from time to time in accordance with the bylaws of ICANN (as amended from time to time, the “ICANN Bylaws”) applicable to Consensus Policies (the “RSEP”). Registry Operator may offer Additional Services only with the written approval of ICANN, and, upon any such approval, such Additional Services shall be deemed Registry Services under this Agreement. In its reasonable discretion, ICANN may require an amendment to this Agreement reflecting the provision of any Additional Service which is approved pursuant to the RSEP, which amendment shall be in a form reasonably acceptable to the parties.

  • Acceptance of Services Services furnished under this Contract are subject to acceptance by OSU. If OSU finds services furnished to be incomplete or not in compliance with the Contract, OSU, at its sole discretion, may either reject the services, require Contractor to correct any defects without charge, or negotiate with Contractor to reduce the price, whichever OSU deems appropriate under the circumstances. If Contractor is unable or refuses to cure any defects within a time deemed reasonable by OSU, OSU may reject the services and cancel the Contract in whole or in part.

  • Design Services The Engineer shall perform services during the schematic design phase, the design development phase, the contract documents phase, and the bidding period as hereinafter specified.

  • Changes to Services The Parties acknowledge and agree that there will be changes to the scope of the Services during the Contract Period. The Customer may amend the Stories that are comprised within the Minimum Marketable Features of a Release at any time during the Release at no additional charge and without adopting the Change Control Procedure set out in Clause 28 above provided that: the Customer shall not be entitled to make any changes to the Stories that form the subject of a Sprint following the mutual agreement by the Parties of the Sprint Plan for that Sprint; new Stories and/or changes to existing Stories may only be introduced if: existing Stories with an equivalent number of Story Points are removed; or existing Stories are reduced in size by the equivalent number of Story Points, such that the total number of Story Points for the Release remains constant throughout the Release. The Supplier shall consider any request by the Customer to increase the number of Story Points for a Release, and may, subject to the Change Control Procedure set out at Clause 28, agree to such request.
