Prior to provision of the service, the pharmacy contractor must: • be satisfactorily complying with their obligations under Schedule 4 of the NHS (Pharmaceutical and Local Pharmaceutical Services) Regulations and amendments (Terms of Service of NHS pharmacists) in respect of the provision of essential services and an acceptable system of clinical governance. • notify the commissioner that they intend to provide the service by completing a registration declaration via PharmOutcomes. • work with the commissioner to engage with local stakeholders, e.g. general practice colleagues, and primary care network colleagues, to make them aware the pharmacy is participating in this service. 3.2. The pharmacy must be located within a NEL place/borough. 3.3. The service must be provided by a registered pharmacist who has completed the required training and development detailed in the service specification and who is competent to deliver the service. 3.4. The pharmacy must have a consultation room that will be used for the provision of the service, which meets the requirements as specified in the Pharmacy First service specification. Where a face-to-face consultation is the preferred access model for the person eligible for the service, these consultations must be delivered from the consultation room at the pharmacy. 3.5. It is recommended that face-to-face consultations are conducted for all walk-in patients. Remote consultations may be permitted for patients referred via their GP practice (in line with the service specification for the minor illness elements of Pharmacy First), if this is agreed as the best option for the patient. In such cases, the mode of provision of medicines, signposting and referral to other services should be carefully considered. When undertaking remote consultations, the contractor must ensure that there are arrangements in place at the pharmacy which enable staff to communicate confidentially with the person receiving the service by telephone or another live audio link or a live video link. The contractor is responsible for ensuring that where clinical examination is required, such as for a rash, that the quality of the video consultation allows for appropriate examination so that the service can be fully provided by the contractor. Requirements for Service Provision. (a) Work regularly at the Premises, and be readily available to clients who wish to give up smoking as part of the Smoking cessation service; (b) Inform NHSCH immediately if the Provider’s employment with the contracting pharmacy is terminated; (c) Information relating to all NHSCH endorsed smoking cessation medication should be provided to the client at the initial assessment. Favour should not be given to any particular medication and all should be presented as first line aids in smoking cessation. (d) Offer each Client, weekly face-to-face support for a total of 6 sessions (comprising initial session and 5 follow up sessions) in accordance with the established Department of Health Guidance and NHSCH Stop Smoking Service Protocols. If, for any reason, face-to-face support cannot be provided at the time of a scheduled session, an alternative form of monitoring contact must be attempted with the Client, including via text, phone and email. (e) Endeavour to take a carbon monoxide reading from the clients at every visit, in addition to the quit date and last visits; Service will work towards achieving a minimum of 85% of clients accessing the service to have their smoking status CO validated at four weeks. Service to achieve a minimum of 35% of clients, who access the service, achieving a successful quit attempt. (h) Use best endeavours to ensure a minimum throughput of 18 clients registering to receive one to one support per quarter, this minimum being subject to any amendments agreed at a Review. (g) Partake in an annual call back campaign to increase referrals into the service

  • Subcontracting for the Provision of Services (a) The parties acknowledge that, subject to the provisions of the Enabling Legislation, the HSP may subcontract the provision of some or all of the Services. For the purposes of this Agreement, actions taken or not taken by the subcontractor, and Services provided by the subcontractor, will be deemed actions taken or not taken by the HSP, and Services provided by the HSP.   • Routing for Operator Services and Directory Assistance Traffic For a Verizon Telecommunications Service dial tone line purchased by CBB for resale pursuant to the Resale Attachment, upon request by CBB, Verizon will establish an arrangement that will permit CBB to route the CBB Customer’s calls for operator and directory assistance services to a provider of operator and directory assistance services selected by CBB. Verizon will provide this routing arrangement in accordance with, but only to the extent required by, Applicable Law. Verizon will provide this routing arrangement pursuant to an appropriate written request submitted by CBB and a mutually agreed-upon schedule. This routing arrangement will be implemented at CBB's expense, with charges determined on an individual case basis. In addition to charges for initially establishing the routing arrangement, CBB will be responsible for ongoing monthly and/or usage charges for the routing arrangement. CBB shall arrange, at its own expense, the trunking and other facilities required to transport traffic to CBB’s selected provider of operator and directory assistance services.

  • Compensation for Services Provided As compensation for providing portfolio supervisory services in its capacity as Portfolio Supervisor, evaluation services in its capacity as Evaluator, and for providing bookkeeping and other administrative services to the Trust of a character described in Section 26(a)(2)(C) of the Investment Company Act of 1940, and to the extent that such services are in addition to, and do not duplicate, the services to be provided hereunder by the Trustee, First Trust Advisors L.P. shall receive, in arrears, against a statement or statements therefor submitted to the Trustee monthly or annually an aggregate annual fee in the per Unit amount set forth in Part II of the Trust Agreement for the Trust, calculated based on the largest number of Units outstanding during the calendar year, except during the initial offering period as determined in Section 4.01 of this Indenture, in which case the fee is calculated based on the largest number of Units outstanding during the period for which the compensation is paid (such annual fee to be pro rated for any calendar year in which First Trust Advisors L.P. provides services described herein during less than the whole of such year). Such fee may exceed the actual cost of providing such services for the Trust, but at no time will the total amount received for such services rendered to unit investment trusts of which the Depositor is the sponsor in any calendar year exceed the aggregate cost to First Trust Advisors L.P. of supplying such services in such year. Such compensation may, from time to time, be adjusted provided that the total adjustment upward does not, at the time of such adjustment, exceed the percentage of the total increase after the date hereof in consumer prices for services as measured by the United States Department of Labor Consumer Price Index entitled "All Services Less Rent of Shelter" or similar index, if such index should no longer be published. The consent or concurrence of any Unit holder hereunder shall not be required for any such adjustment or increase. Such compensation shall be paid by the Trustee, upon receipt of an invoice therefor from First Trust Advisors L.P., which shall constitute the representation by First Trust Advisors L.P. that the bookkeeping and administrative services for which compensation is claimed are properly compensable hereunder and that the aggregate cost incurred by First Trust Advisors L.P. of providing portfolio supervisory, evaluation and bookkeeping and administrative services hereunder was not less than the compensation claimed, upon which representation the Trustee may conclusively rely. Such compensation shall be charged against the Income and/or Capital Accounts in accordance with Section 3.05. If the cash balance in the Income and Capital Accounts shall be insufficient to provide for amounts payable pursuant to this Section 4.03, the Trustee shall have the power to sell (i) Securities from the current list of Securities designated to be sold pursuant to Section 5.02 hereof, or (ii) if no such Securities have been so designated, such Securities as the Trustee may see fit to sell in its own discretion, and to apply the proceeds of any such sale in payment of the amounts payable pursuant to this Section 4.03. Any moneys payable to First Trust Advisors L.P. pursuant to this Section 4.03 shall be secured by a lien on the Trust prior to the interest of Unit holders, but no such lien shall be prior to any lien in favor of the Trustee under the provisions of Section 6.04 herein.

  • Responsibility for Subcustodians Except as provided in the last sentence of this Section 8.6, the Custodian shall be liable to the Fund for any loss or damage to the Fund caused by or resulting from the acts or omissions of any Subcustodian to the extent that such acts or omissions would be deemed to be negligence, gross negligence or willful misconduct in accordance with the terms of the relevant subcustodian agreement under the laws, circumstances and practices prevailing in the place where the act or omission occurred. The liability of the Custodian in respect of the countries and Subcustodians designated by the Custodian, from time to time on the Global Custody Network Listing shall be subject to the additional condition that the Custodian actually recovers such loss or damage from the Subcustodian.

  • Contractor Responsibility for System Agency’s Termination Costs If the System Agency terminates the Contract for cause, the Contractor shall be responsible to the System Agency for all costs incurred by the System Agency and the State of Texas to replace the Contractor. These costs include, but are not limited to, the costs of procuring a substitute vendor and the cost of any claim or litigation attributable to Contractor’s failure to perform any Work in accordance with the terms of the Contract.

  • RESPONSIBILITY FOR AWARDS The Supplier acknowledges that each Contracting Body is independently responsible for the conduct its award of Call-Off Contracts under this Framework Agreement and that the Authority is not responsible or accountable for and shall have no liability whatsoever in relation to: 6.1 the conduct of Other Contracting Bodies in relation to this Framework Agreement; or 6.2 the performance or non-performance of any Call-Off Contracts between the Supplier and Other Contracting Bodies entered into pursuant to this Framework Agreement.
