Right to Use the Subscription Services. 3.1 the other terms and conditions of this contract, MY DIGITAL hereby grants to the Customer a non-exclusive, non-transferable right, without the right to grant sublicences, to permit the Authorised Users to use the Subscription Services during the Subscription Term solely for the Customer's internal business operations. 3.2 The Customer shall not, and shall procure that its Authorised Users shall not access, store, distribute or transmit any Viruses, or any material during the course of its use of the Services that: (a) is unlawful, harmful, threatening, defamatory, obscene, infringing, harassing or racially or ethnically offensive; (b) facilitates illegal activity; (c) depicts sexually explicit images; (d) promotes unlawful violence; (e) is discriminatory based on race, gender, colour, religious belief, sexualorientation, disability; otherwise breaches: (i) the Acceptable Use Policy; or (ii) the terms of any contract to which MY DIGITAL is a party and which is necessary for the performance of the Services, or is otherwise illegal or causes damage or injury to any person or property, and MY DIGITAL reserves the right, without liability or prejudice to its other rights to the Customer, to disable the Customer's access to any material that breaches the provisions of this clause. 3.3 The Customer shall not: (a) except as may be allowed by any applicable law which is incapable of exclusion by agreement between the parties and except to the extent expressly permitted under this contract: (i) attempt to copy, modify, duplicate, create derivative works from, frame, mirror, republish, download, display, transmit, or distribute all or any portion of the Software and/or Documentation (as applicable) in any form or media or by any means;or (ii) attempt to de-compile, reverse compile, disassemble, reverse engineer or otherwise reduce to human-perceivable form all or any part of the Software; or (b) access all or any part of the Services and Documentation in order to build a product or service which competes with the Services and/or the Documentation;or (c) use the Services and/or Documentation to provide services to third parties; or (d) subject to clause (A)(d), license, sell, rent, lease, transfer, assign, distribute, display, disclose, or otherwise commercially exploit, or otherwise make the Services and/or Documentation available to any third party except the Authorised Users, or (e) attempt to obtain, or assist third parties in obtaining, access to the Services...

Right to Use the Subscription Services. Virbela grants to Customer, solely during the Term hereof,a nontransferable, nonexclusive, worldwide, revocable license to use, and to permit its registered employees, agents, contractors, students, and participants (each, an “End-User”), to use the Subscription Services in accordance with these Terms of Service and such other documents as are incorporated by their reference herein (collectively, the “Agreement”). The Software is provided by Virbela through the Subscription Services from a data center facility to which Customer and its End- Users will have remote access.

Right to Use the Subscription Services. As between Customer and Company, Company owns and retains all right, title and interest in and to the Subscription Services, Documentation and the Professional Services, including all intellectual property rights therein and Customer further assigns to Company any feedback provided by or on behalf of Customer. Subject to Customer’s compliance with the terms and conditions of this Agreement, Company hereby grants to Customer a limited, non-exclusive, non-transferable (except pursuant to Section 12(e)) right to Use the Subscription Services in accordance with, and subject to, the Licensed Volume during the applicable Term. Subject to the limited rights expressly granted hereunder, Company reserves and, as between the Parties will solely own, the Company IP and all rights, title and interest in and to the Company IP. No rights are granted to Customer hereunder (whether by implication, estoppel, exhaustion or otherwise) other than as expressly set forth herein.

  • Subscription Services We grant You a right to use the Genesys Cloud Service in accordance with this Agreement and the applicable product descriptions found in the Services Order.

  • Dining Services The Contract is for a space in a University Housing & Dining Services (“UHDS”) facility and not for a particular room or type of housing. Once you receive a key to your assigned residence or move personal belongings into your room (whichever comes first) you are considered to have taken occupancy (“Occupancy”) and will incur charges.   • Other Services At the request of the Fund, the Adviser in its discretion may make available to the Fund office facilities, equipment, personnel and other services.
