Unless the Licensor grants permission for Licensee to do so in writing, Licensee shall not use the name (including, without limitation, signs or logos) of the School, GUSD or Glendale Unified School District in the name of its production or in the script, dialogue, photography, publicity or in any of its advertising, and the locations used in the film shall not be identified as belonging to the Glendale Unified School District. Unless as agreed to otherwise by the parties in writing, Licensee represents and warrants that the name of its production or its script, dialogue, photography, publicity or any of its advertising does not be identify the Premises as belonging to the Glendale Unified School District nor does it utilize the name (including, without limitation, signs or logos) of the School, GUSD or Glendale Unified School District. In the event of a breach by error or mistake by Licensee of the preceding representation and warranty, Licensee agrees that it would be difficult to determine the value of such and accordingly, Licensor and Licensee agree that the reasonable liquidated value shall be twenty five thousand dollars and zero cents ($25,000.00USD).

School Name. Sickness Absence Notification Procedures
School Name. K12 acknowledges and agrees that, as between K12 and its Affiliates on the one hand and the School on the other, the School owns the intellectual property rights in the name of the School (“School Name”). As such, the School hereby grants to K12 and its Affiliates a royalty-free right and license to use the School Name during the Term and for a period of sixty (60) days following the expiration or earlier termination of this Agreement. The School warrants that it has the right to license the School Name to K12 and its Affiliates. Notwithstanding anything to the contrary herein, the parties hereby perpetually agree that in consideration of the mutual obligations specified herein, in the event of any termination or expiration of this Agreement neither party shall directly or indirectly use the School Name, including its abbreviated name, if any, or any substantially similar name for any school, educational program offering or related purpose, however both parties may use the School Name for a period of sixty (60) days following any termination or expiration of this Agreement. The parties agree that this provision shall survive any termination or expiration of this Agreement. The parties further agree that the violation of this provision shall be considered a material breach of this Agreement and shall cause irreparable harm to the other party and the full extent of damages may be impossible to ascertain and monetary damages may not be an adequate remedy. As such, in its sole discretion, either party may seek immediate judicial relief as available in law or equity, and the initiation of any judicial proceeding will suspend the dispute resolution procedures set forth herein. Either party will be entitled to enforce this provision by an injunction or other equitable relief without the necessity of posting bond or security, in addition to its right to seek monetary damages or any other remedy. The decision by either party not to seek judicial relief during the agreed dispute resolution procedures herein, will not create any inference regarding the presence or absence of irreparable harm.
School Name. (c) In addition to the education records being disclosed by SBBC staff in Section 2.04(b), VENDOR will also have access to work and information input by students in VENDOR’s online platform, including:
1) Student Name (First Name, First Initial, and Nickname) to generate post session reports
2) Student Voice Recordings for literacy and speech skills
3) Student generated content including multiple choice and open- ended student responses to surveys, polls, and quizzes
4) Grade Level and Subject Areas for creating personalized experiences in the product, i.e., recommending appropriate lessons for each grade
5) Anonymized usage metrics, such as: Google Analytics and Mixpanel to collect unidentifiable teacher activity metrics that are used to guide how the product is being used
6) IP addresses of users, use of Cookies to identify and respond to security related concerns. This information is not stored.
(d) VENDOR shall comply with the Children’s Online Privacy Protection Act of 1998 (COPPA), 15 U.S.C. 6501-6505, and its corresponding Children’s Online Privacy Protection Rule, 16 CFR Part 312. In instances where students under the age of thirteen (13) years enter personally identifiable work and information into VENDOR’s online platform, or when VENDOR engages in passive tracking of children’s personal information.
(e) VENDOR is considered a "school official" with a legitimate educational interest to receive the aforementioned types of information from SBBC student education records in the implementation of student information and education management systems. Pursuant to the Family Educational Rights and Privacy Act (FERPA), 34 CFR 99.31(a)(1), these records may be provided without prior parental consent. Prior written consent of the parent or student age 18 years or over is needed for any types or purposes of disclosures of education records beyond those listed in this section.
(f) The requirements of this section shall supersede any uses of education records or the like as listed in VENDOR’s privacy policy.
