Scope of Technical Assistance. Subject to the terms and conditions of this Agreement including the payment of the applicable fees, KZO shall exercise commercially reasonable efforts to provide technical assistance to Eligible Support Recipients during KZO’ ordinary and customary business hours in accordance with its standard policies and procedures.

Scope of Technical Assistance. Subject to the terms and conditions of this Agreement including the payment of the applicable fees (if any), Ostrato shall, during the period of time for which support fees have been paid to Ostrato, exercise commercially reasonable efforts to provide Technical Assistance to Eligible Support Recipients during Ostrato’ ordinary and customary business hours in accordance with its standard policies and procedures. “Technical Assistance” shall mean the provision of responses by Ostrato personnel to questions from Eligible Support Recipients related to use of the Ostrato Software.

Scope of Technical Assistance. For the fees and charges described in subsection (c) below, Seller shall make available at the Site a technical advisor (hereafter the "Technical Advisor") to provide to the engineers of Owner and Owner's contractors technical advice in the understanding and application of the Turbine Installation and Erection Manual during the assembly, installation and erection by Owner through Mechanical Completion of each Wind Turbine. The Technical Advisor shall be obligated to notify Owner of any irregularity or error in the assembly, installation and erection of each WTG that it may discover, and any other aspect of the Owner's Work that is defective or improper that Seller may discover. Notwithstanding the foregoing, Seller is not responsible for the errors in the work of others (not under Seller's control), regardless of whether or not Seller discovers or detects defects, etc. in such work. The Technical Advisor shall not, and no action or inaction of the Technical Advisor shall create any obligation or liability in Seller to, (i) supervise the employees of Owner or any of its contractors, (ii) prepare tools, machinery and materials for Owner's Work, (iii) schedule or reschedule Owner's Work, (iv) evaluate the progress of Owner's Work, or (v) provide quality control or quality assurance of Owner's Work; the description of the foregoing excluded services is not intended to be an exhaustive list, and is provided for purposes of example, and shall not create any implication that services not specifically excluded in this Agreement are therefore included. In the event that Owner shall request services from the Technical Advisor that are not required to be provided hereunder, Seller shall not be obligated to provide such services unless and until Seller and Owner agree in writing in an amendment of this Agreement upon the scope of such services and the compensation therefore. The Technical Advisor shall rely exclusively upon the communications and notices provided by Owner's Representative appointed pursuant to Section 7.7.2. Seller reserves the right to evacuate the Technical Advisor upon the occurrence of, and for so long as, any event or condition exists that threatens the health or safety of the Technical Advisor or that unreasonably hinders the Technical Advisor in providing technical advice.
Scope of Technical Assistance. Technical Assistance under this Section 6 means that the Assisting Party will attempt in good faith to answer questions concerning its Source Code that arise in connection with development by the Assisted Party, as more fully set forth in the Technical Assistance Plan, and subject to such limitations as the parties shall agree in the Technical Assistance Plan.

  • Technical Assistance DFPS may provide informal support, guidance, clarification, and other forms of technical assistance via phone, email, and virtual meeting to resolve Grant or performance compliance issues. Grantee will document all such instances of technical assistance by DFPS in writing, including any implementation work.

  • Peer Assistance and Review (PAR) Consulting Teachers (CT) will be assigned to all new teachers with no prior teaching experience and tenured teachers rated ineffective on the qualitative measures at the end of the previous school year and recommended by the PAR Panel.   • Legal Assistance The Board shall give full support including legal and other assistance for any assault upon the employee while properly acting in the discharge of his/her duties.

  • DEVELOPMENT OR ASSISTANCE IN DEVELOPMENT OF SPECIFICATIONS REQUIREMENTS/ STATEMENTS OF WORK

  • Mutual Assistance The Parties will do all things reasonably necessary or appropriate to carry out the terms and provisions of this Agreement and to aid and assist each other in carrying out such terms and provisions.

  • Coronavirus Relief Fund – Rental Assistance Application The Coronavirus Relief Fund – Rental Assistance Application should contain all the necessary information to determine whether a Household is potentially eligible for CRF assistance. In accordance with the provisions of Sections 760.20-760.37, Fla. Stat., it is unlawful to discriminate on the basis of race, religion, color, sex, familial status, national origin, or handicap in the award application process for Eligible Housing. 1. At a minimum, an application for program assistance should contain the following items for each household member: a. The number of people residing in the household including name, age, relationship to head of household, current address and home phone number; b. Name and address of employer(s), work phone number(s), and position title with employer; c. Sources of income and a statement signed by all of the adults who reside in the household consenting to the disclosure of information for the purpose of verifying income for determining eligibility for program assistance; d. A signed statement indicating that the applicant understands that all information provided is subject to Florida’s public records laws; and e. A statement that it is a first-degree misdemeanor to falsify information for the purpose of obtaining assistance.

  • Payments for Distribution Assistance and Administrative Support Services (a) Payments to the Distributor. In consideration of the payments made by the Fund to the Distributor under this Plan, the Distributor shall provide administrative support services and distribution services to the Fund. Such services include distribution assistance and administrative support services rendered in connection with Shares (1) sold in purchase transactions, (2) issued in exchange for shares of another investment company for which the Distributor serves as distributor or sub-distributor, or (3) issued pursuant to a plan of reorganization to which the Fund is a party. If the Board believes that the Distributor may not be rendering appropriate distribution assistance or administrative support services in connection with the sale of Shares, then the Distributor, at the request of the Board, shall provide the Board with a written report or other information to verify that the Distributor is providing appropriate services in this regard. For such services, the Fund will make the following payments to the Distributor:

  • Employee and Family Assistance Plan The CODC PRO Care Plan is an industry-funded employee and family assistance plan for employees and their eligible family members according to the participation of sponsoring organizations and employers as well as Plan eligibility rules. Employees must be enrolled in the Plan by their employer to become eligible for Plan benefits, subject to the Plan eligibility rules. An individual employee cannot self-enroll in the Plan. i. Employers are required to remit the Contract Administration and Industry Development fees and the monthly CODC Employer Report Form to CODC by the 15th of the month following the month in which the hours were worked. ii. Employers must also submit the monthly Employee Data Report to the PRO Care plan by the 15th of the month following to facilitate the confidential determination of eligibility by the EFAP provider. There are three ways to submit this data:  entering the data directly on the CODC website at xxx.xxxx.xx/xxxxxxx  uploading an excel spreadsheet in the required format to the website (a sample spreadsheet can be downloaded from the website)  Forwarding an excel spreadsheet in the required format electronically to xxxxxxx@xxxxxxx.xxx. Hard copies of data will not be accepted.

  • Turnover Assistance Grantee will provide any assistance and actions reasonably necessary to enable System Agency or its designee to effectively close out the Grant Agreement and transfer the performance and obligations of the Grant Agreement to another Grantee or to System Agency if necessary. Grantee agrees that this obligation survives the termination, regardless of whether for cause or convenience, or the expiration of the Grant Agreement and remains in effect until completed to the satisfaction of System Agency.

  • Audit Assistance Each of the Parties and their respective Subsidiaries are or may be subject to regulation and audit by a Governmental Authority (including a Taxing Authority), standards organizations, customers or other parties to contracts with such Parties or their respective Subsidiaries under applicable Law, standards or contract provisions. If a Governmental Authority, standards organization, customer or other party to a contract with a Party or its Subsidiary exercises its right to examine or audit such Party’s or its Subsidiary’s books, records, documents or accounting practices and procedures pursuant to such applicable Law, standards or contract provisions, and such examination or audit relates to the Services, then the other Party shall provide, at the sole cost and expense of the requesting Party, all assistance reasonably requested by the Party that is subject to the examination or audit in responding to such examination or audits or requests for Information, to the extent that such assistance or Information is within the reasonable control of the cooperating Party and is related to the Services.
