SERVICE AND SPARE PARTS a. ANALOGIC will provide Parts for a period of seven (7) years following the last serial delivery of the Components under this Agreement. The price of the Parts will be that listed in Exhibit 4, SPARE PARTS PRICE LIST (Which will be determined by the parties in good faith based on their prior practices, and otherwise based on industry standards). In the event that a Part becomes obsolete, ANALOGIC will provide TOMOTHERAPY notice as soon as ANALOGIC becomes aware of the anticipated obsolescence and offer TOMOTHERAPY the opportunity to make a last buy. In the event that ANALOGIC learns that a component used in manufacturing a Part of the Components will become obsolete, it will notify TOMOTHERAPY and TOMOTHERAPY may request ANALOGIC, at TOMOTHERAPY’s expense, to re-engineer the Part using components that are not obsolete. b. TOMOTHERAPY will provide ANALOGIC with Forecasts for Parts. On the 15th of each month, TOMOTHERAPY will provide ANALOGIC a twelve (12) month Forecast of its Parts needs. The first three (3) months of the Parts Forecast consists a firm and binding commitment to purchase the Parts. ANALOGIC will not be obligated to deliver parts in excess of thirty (30) percent above the second three (3) months Parts Forecast. d. ANALOGIC will provide a quotation for Parts within five (5) business days if TOMOTHERAPY seeks to purchase Parts not included in its Forecast and not in stock at ANALOGIC. e. ANALOGIC will provide TOMOTHERAPY a list of all Parts that are Field Replacement Units (“FRU”). This list will contain the following information: (1) ANALOGIC part number; (2) ANALOGIC part description; (3) Price of new FRU; (4) FRU lead-time and (5) List of repairable and non-repairable FRUs; (6) Price for non-warranty repairable FRU’s. f. TOMOTHERAPY may return to ANALOGIC Parts, which are identified as repairable for warranty and out-of-warranty repairs. ANALOGIC will repair the Parts described in this sub-paragraph to the minimum allowable revision level within a targeted thirty (30) to forty-five (45) working day period from receipt of the returned Parts. Table of Contents g. ANALOGIC will provide repair services for the Components and Parts for a period of seven years following the last serial delivery of the Components pursuant to this Agreement.
SERVICE AND SPARE PARTS. As an integral part of its obligations hereunder, Distributor hereby undertakes to provide complete maintenance and repair service to all Equipment sold by Distributor during the term of this Agreement and for one (1) year after the termination of this Agreement. 11.1. Distributor shall submit MCM a written proposal for establishing and maintaining sufficient service outlets and staff within 30 days of the Effective Date (the "Plan"). The Plan shall include an obligation by Distributor to complete all repairs to any part of the Equipment within 24 (twenty-four) hours of the receipt of a telephonic or written request for service from the customer or user of the Equipment. (a) In this Agreement the term "spare parts" shall mean any and all parts listed in MCM's spare parts catalog (a copy of which has been marked Appendix `A' and attached hereto as an integral part of this Agreement), including all chemical products used in the Equipment for purposes of processing or disinfecting waste products.
SERVICE AND SPARE PARTS. Licensee shall take such steps as are necessary to ensure that any purchasers of Goods covered by this Agreement, including Makro, shall establish, or have already established, such service centers or agents as may be necessary for service of the Goods. Licensee shall monitor such independent service agents and centers in the Territory as may be necessary to service the Goods and shall ensure that Makro shall, during the Term and subsequent to the expiration or termination of this Agreement, provide for any after sales warranty service for the Goods for the respective periods required by applicable federal or local law or Licensee's warranty in the particular countries or regions throughout the Territory.
SERVICE AND SPARE PARTS. The Seller shall maintain such stock of genuine spare parts for the Goods as is sufficient to cover commissioning and the on- going use of the Goods thereafter and shall provide the Purchaser with an up-to-date price list in respect of such spare parts.

SERVICE AND SPARE PARTS. For Goods that will be incorporated into products for motor vehicles, Seller will supply Buyer with 100% of its requirements for service and spare parts for 15 years after the end of production. During this 15-year period, the price will be the price on the most recent production Purchase Order, plus any additional costs for packaging and processing to which Xxxxx agrees.

  • Spare Parts 14.1 As specified, the supplier may be required to provide any or all of the following materials, notifications, and information pertaining to spare parts manufactured or distributed by the supplier: (a) such spare parts as the purchaser may elect to purchase from the supplier, provided that this election shall not relieve the supplier of any warranty obligations under the contract and; (b) In the event of termination of production of the spare parts: (i) advance notification to the purchaser of the pending termination, in sufficient time to permit the purchaser to procure needed requirements and; (ii) Following such termination, furnishing at no cost to the purchaser, the blueprints, drawings, and specifications of the spare parts, if requested.

  • Network Interconnection Architecture Each Party will plan, design, construct and maintain the facilities within their respective systems as are necessary and proper for the provision of traffic covered by this Agreement. These facilities include but are not limited to, a sufficient number of trunks to the point of interconnection with the tandem company, and sufficient interoffice and interexchange facilities and trunks between its own central offices to adequately handle traffic between all central offices within the service areas at a P.01 grade of service or better. The provisioning and engineering of such services and facilities will comply with generally accepted industry methods and practices, and will observe the rules and regulations of the lawfully established tariffs applicable to the services provided.
