Service Supervisor. Contractor must assign a qualified supervisor to be in charge of the Collection Service within the Service Area and must provide the name of that person in writing to the Agreement Administrator within thirty (30) days prior to the effective date of this Agreement, and annually by January 1st of each subsequent Calendar Year of the term of this Agreement, and any other time the person in that position changes. The supervisor must be physically located in the Service Area and available to the Agreement Administrator through the use of telecommunication equipment at all times that Contractor is providing Collection Services. In the event the supervisor is unavailable due to illness or vacation, Contractor must designate an acceptable substitute who will be available and who has the authority to act in the same capacity as the supervisor.

The parties further acknowledge that consistent and 1299 reliable Collection Service is of utmost importance to CITY and that CITY has considered and 1300 relied on CONTRACTOR'S representations as to its quality of service commitment in awarding 1301 the Agreement to it. The parties further recognize that some quantified standards of 1302 performance are necessary and appropriate to ensure consistent and reliable service and 1303 performance. The parties further recognize that if CONTRACTOR fails to achieve the 1304 performance standards or fails to submit required documents in a timely manner, CITY, and 1305 CITY’S residents and businesses will suffer damages and that it is and will be impractical and 1306 extremely difficult to ascertain and determine the exact amount of damages. Therefore, without 1307 prejudice to CITY’S right to treat such non-performance as an event of default under Article 21, 1308 and in accordance with Civil Code Section 1671 and Government Code Section 53069.85, the 1309 parties agree that the liquidated damages amount defined in this Article represent reasonable 1310 estimates of the amount of such damages considering all of the circumstances existing on the 1311 effective date of this Agreement, including the relationship of the sums to the range of harm to 1312 CITY, customers and the ...
