Set Up Services. 3.1 The Provider shall provide the Set Up Services to the Customer.
3.2 The Provider shall use all reasonable endeavours to ensure that the Set Up Services are provided in accordance with the timetable set out in Section 1 of Schedule 1 (Hosted Services particulars).
3.3 The Customer acknowledges that a delay in the Customer performing its obligations in this Agreement may result in a delay in the performance of the Set Up Services; and subject to Clause 19.1 the Provider will not be liable to the Customer in respect of any failure to meet the Set Up Services timetable to the extent that that failure arises out of a delay in the Customer performing its obligations under this Agreement.
3.4 Subject to any written agreement of the parties to the contrary, any Intellectual Property Rights that may arise out of the performance of the Set Up Services by the Provider shall be the exclusive property of the Provider.
Set Up Services. 5.1 Where the Supplier has agreed to provide Set-up Services pursuant to a Statement of Work, the Supplier shall use reasonable endeavours to perform the Set-up Services in accordance with the timetable agreed between the parties, but any such dates shall be estimates only, and time shall not be of the essence in this regard.
5.2 When the Supplier considers that the Set-up Services have been provided and the relevant Services are ready for activation it shall so notify the Customer. Within five Business Days of such notification the Customer shall review the operation of the Services to confirm that they function in material conformance with the Services Specification. If the Services fail in any material respect to conform with the Services Specification, the Customer shall give the Supplier a detailed description of any such non-conformance (“Error”) in writing, within the five Business Days review period.
5.3 The Supplier shall use reasonable endeavours to correct any Error within a reasonable time and, on completion, re-submit the Services to the Customer. The provisions of clause 5.2 and this clause 5.3 shall then apply again, up to three additional times. If the Supplier is unable to correct the Error after three attempts, either party may terminate the applicable Statement of Work with immediate effect by giving written notice to the other party, without further liability to the other.
5.4 If the Services are found to conform with the Services Specification or if the Customer does not provide any written comments within the five Business Day review period described in clause 5.3, the Services shall be deemed accepted as from the date of the notification or expiry of the five Business Day review period.
Set Up Services. In consideration for a TW Company’s payment of the set-up charges set forth in the applicable Services Schedules, for each Licensed Space AOL will perform the set-up for such Licensed Space, which consists solely of the selection, provision and installation of Inter-rack Cabling for Customer Equipment (“Set-up Services”).
Set Up Services. Unless otherwise expressed in the Order Form, AMGAS will not be required to provide any installation, set-up, testing, training or other services with respect to the Equipment.
Set Up Services. Upon the Effective Date of this Agreement, Fulcrum shall work with Generation Manager to:
(i) Incorporate Texoga’s generation Facility into Fulcrum’s QSE with ERCOT for the purpose of representing Texoga’s generation Facility; and
(ii) Install and manage the necessary communications, hardware and software applications to meet the telemetry, voice and data requirements of Fulcrum’s QSE as it relates to Texoga’s generation facility in accordance with ERCOT Protocols.
Set Up Services a. IBM Sterling B2B Services – File Transfer Service - Partner Set-up: consists of establishing connectivity with Partners through one of IBM's supported protocols on the IBM SaaS. Customer must provide IBM with a Partner list.
Set Up Services. 2.1 The Supplier shall appoint the Supplier's Project Manager, who shall have the authority to contractually bind the Supplier on all matters relating to this agreement. The Supplier shall use reasonable endeavours to ensure continuity of the Supplier's Project Manager, but has the right to replace him from time to time where reasonably necessary in the interests of the Supplier's business.
2.2 The Supplier shall perform the Set-up Services in accordance with the timetable agreed between the parties. The Supplier shall use reasonable endeavours to meet such agreed performance dates, but any such dates shall be estimates only, and time shall not be of the essence in this agreement.
2.3 When the Supplier considers that the Managed Services are ready for activation it shall so notify the Customer (“Commencement Date”).
Set Up Services. 3.1 The Client acknowledges and agrees that in entering into this agreement:
(a) it has had an opportunity to carry out a thorough due diligence exercise in relation to the Usable Services and has asked FSI all the questions it considers to be relevant for the purpose of establishing that the Licensed Programs are suitable for the Client, and it has entered into this agreement in reliance on its own due diligence; and
(b) no Professional Services shall be provided to configure the Licensed Programs until applicable Scoping Services are complete and, pending the completion of such Professional Services, the Client shall use the basic version of the Licensed Programs as set out in the Documentation after completion of the Set-Up Services.
3.2 The parties shall coordinate to enable FSI to perform the Set-Up Services in accordance with the timetable set out in Schedule 2. FSI shall use reasonable endeavours to meet the date set out in Schedule 2 but any such dates shall be estimates only, and time shall not be of the essence.
3.3 When FSI considers that the Set-Up Services are complete and the SaaS Services are ready for activation it shall so notify the Client and deliver the Client a URL and login details to activate the SaaS Services. Within five Business Days of such notification the Client shall review the operation of the SaaS Services to confirm that it can use the base Licensed Programs (pre- Professional Services) in accordance with the Documentation and store the Client’s data in the Hosted Environment (“Usable Services”). If the Usable Services fail in any material respect to conform with the Documentation (“Set- Up Error”), the Client shall give FSI a detailed description of any such non- conformance in writing, within the five Business Day review period.
3.4 FSI shall use reasonable endeavours to correct any Set-Up Error within a reasonable time and, on completion, notify the Client. This shall apply again and again until the Set-Up Error is corrected.
3.5 If the Usable Services are found to conform with the Documentation or if the Client does not provide any written comments within the five Business Day review period, the SaaS Services shall be deemed accepted as from the date of the notification or expiry of the five Business Day review period (in each case the “Base Activation Date”).
Set Up Services. Ridgeline shall or may procure any necessary set up services such as company foundation, drafting or creation or refinement of business plan, capital equipment and infrastructure to perform Services for Company, including office equipment, IT systems and furniture.

4. Subject to any written agreement of the parties to the contrary, any Intellectual Property Rights that may arise out of the performance of the Set-Up Services by the Company shall be the exclusive property of the Provider.
