Spare Parts Price. 12.3.1. For Spare Parts that may be ordered by the IAA as specified in section 8.2 above, the Supplier shall be entitled to receive payment according to prices which shall not exceed the prices of such parts according to the manufacturer's official price list attached to the Supplier Proposal as of the date of order, less 10%. 12.3.2. The Supplier shall inform the IAA of any change, modification or update of its official price list. In addition, the Supplier will include in its Proposal a full catalog of the Spare Parts, which mentions their prices and availability.
Spare Parts Price payment for any order of Spare Parts shall be made within 30 days as of end of month in which IAA has issued the purchase order.
Spare Parts Price. 18.3.1. The supply and delivery of any Spare Parts during Warranty Period shall be at the sole responsibility of the Supplier and at its expense, and shall not entitle the Supplier to receive any additional consideration. 18.3.2. The consideration for any Spare Parts purchased by the IAA during Maintenance Period in accordance with section 17 above, shall be determined according to the lower of (i) the price stipulated by the Supplier in its Price Proposal; or (ii) the price of such Component according to the official manufacturer’s price list less 10%. All prices shall include shipment costs from the Supplier's premises. 18.3.3. The prices of the Spare Parts, as stipulated in Supplier's proposal shall not be linked to any index, and shall remain valid for 36 months as of the commencement of the Maintenance Period. Thereafter, the prices shall be determined according to section 18.3.2 (ii) above. 18.3.4. During the entire Contract Period the Supplier shall provide the IAA annually with the official price list and/or relevant manufacturer's price list, as applicable, at the first quarter of each year.
Spare Parts PriceSeller shall supply and sell spare parts for MTs to Buyer pursuant to purchase orders placed by Buyer under this Agreement at the prices in effect and that Buyer has been paying Seller as of September 1, 2006, subject to a maximum price increase of [***]% for spare parts ordered during 2007, and subject to a subsequent maximum price increase of [***]% for spare parts ordered during 2008. Following the expiration or termination of this Agreement and for a period of five (5) years thereafter, Seller agrees to make available and sell to Buyer at commercially reasonable prices, spare parts for the MT. Buyer shall provide Seller with an annual non-binding forecast for spare parts. Within seven (7) days of the Effective Date, Seller shall provide Buyer with its spare parts price list as of September 1, 2006.
Spare Parts Price. 19.3.1. The supply of any Spare Parts during Warranty Period shall at the sole responsibility of the Supplier and its expense. 19.3.2. For any Spare Parts purchased by the IAA during Maintenance Period, the consideration shall be determined according to the lower of (i) the price stipulated by the Supplier in its Price Proposal (linked to the PPI); or (ii) the price of such Component according to the official manufacturer’s price list less 20%. The prices of the Spare Parts, as stipulated in Supplier's proposal shall be linked to the PPI, and shall be updated according to the difference between the Base Index and the PPI published immediately prior to the date of such update. The prices of the Spare Parts, as stipulated in Supplier's proposal, shall remain valid until the lapse of 24 months as of the commencement of the Maintenance Period. Thereafter, the prices shall be determined according to section 22.5.119.3.1(ii) above. 19.3.3. During the entire Contract Period the Supplier shall provide the IAA annually with a formal price list and/or relevant manufacturer's price list, as applicable, at the first quarter of each year.

Related to Spare Parts Price

  • Spare Parts 14.1 As specified, the supplier may be required to provide any or all of the following materials, notifications, and information pertaining to spare parts manufactured or distributed by the supplier: (a) such spare parts as the purchaser may elect to purchase from the supplier, provided that this election shall not relieve the supplier of any warranty obligations under the contract and; (b) In the event of termination of production of the spare parts: (i) advance notification to the purchaser of the pending termination, in sufficient time to permit the purchaser to procure needed requirements and; (ii) Following such termination, furnishing at no cost to the purchaser, the blueprints, drawings, and specifications of the spare parts, if requested.

  • Supply Price The price payable by SAVIENT to NOF for the Activated PEG manufactured and supplied by NOF pursuant to SAVIENT’s Firm Orders (“Supply Price”) shall be as set out in Exhibit C, and the price for each order shall be calculated based on SAVIENT’s total Forecast for the Year in which the order is placed regardless of whether NOF shall complete delivery in the Year in which it is ordered. By way of example, if SAVIENT’s Forecast for a particular Year is for [**] kg of the Activated PEG, then orders placed during that Year will be charged at US$[**]/Kg. If at the end of any Year actual orders purchased by SAVIENT do not fall within the applicable quantity range of the original Forecast, then the Price for the Activated PEG purchased during that Year shall be adjusted to reflect that actual volume of Activated PEG purchased by SAVIENT, provided, however, if the actual amount purchased by SAVIENT is less than Forecasted due to [**], then the Price for the Activated PEG purchased by Savient shall be based on [**]. Upon adjustment, if necessary, either SAVIENT shall pay to NOF or NOF shall credit to SAVIENT, as applicable, the balance based on the said adjustment. Any amounts owing by SAVIENT to NOF pursuant to this provision shall be remitted within [**] days of the SAVIENT’s receipt of a reconciliation statement which sets forth in specific detail the amounts purchased by SAVIENT during the Year in question; any credits owing by NOF to SAVIENT shall be applied to [**]. Provided, however, that SAVIENT shall pay to NOF only such amount as corresponds with the amount of Activated PEG which is actually delivered to SAVIENT or SAVIENT’S designee pursuant to the terms of this Agreement.

  • Accessories, Spare Parts and Tools Accessories, spare parts and tools dispatched with a piece of equipment, machine, apparatus or vehicle, which are part of the normal equipment and included in the price thereof or which are not separately invoiced, shall be regarded as one with the piece of equipment, machine, apparatus or vehicle in question.

  • WARRANTY-PRICE A. The Contractor warrants the prices quoted in the Offer are no higher than the Contractor's current prices on orders by others for like deliverables under similar terms of purchase. B. The Contractor certifies that the prices in the Offer have been arrived at independently without consultation, communication, or agreement for the purpose of restricting competition, as to any matter relating to such fees with any other firm or with any competitor. C. In addition to any other remedy available, the City may deduct from any amounts owed to the Contractor, or otherwise recover, any amounts paid for items in excess of the Contractor's current prices on orders by others for like deliverables under similar terms of purchase.

  • Replacement Parts Warranty If during the regular or extended warranty period’s faults develop, the Contractor shall promptly repair or, upon demand, replace the defective unit or component part affected. All costs for labor and material and transportation incurred to repair or replace defective Product during the warranty period shall be borne solely by the Contractor, and the State or Authorized User shall in no event be liable or responsible therefor. Any part of component replaced by the Contractor under the Contract warranty shall be replaced at no cost to the Authorized User and guaranteed for the greater of: a) the warranty period under paragraph (d) above; or b) if a separate warranty for that part or component is generally offered by the manufacturer, the standard commercial warranty period offered by the manufacturer for the individual part or component.

  • REPAIRED OR REPLACED PARTS / COMPONENTS Where the Contractor is required to repair, replace or substitute Product or parts or components of the Product under the Contract, the repaired, replaced or substituted Products shall be subject to all terms and conditions for new parts and components set forth in the Contract including Warranties, as set forth in the Additional Warranties Clause herein. Replaced or repaired Product or parts and components of such Product shall be new and shall, if available, be replaced by the original manufacturer’s component or part. Remanufactured parts or components meeting new Product standards may be permitted by the Commissioner or Authorized User. Before installation, all proposed substitutes for the original manufacturer’s installed parts or components must be approved by the Authorized User. The part or component shall be equal to or of better quality than the original part or component being replaced.

  • Spares The Contractor shall ensure that the Contractor’s operational base at the Site is at all times stocked with spare parts for the Contractor's Equipment that meet the requirements of the Contract, together with all necessary or desirable packing and marking for that purpose and that such spare parts are sufficient to ensure that the Work /services can continue in the event of failure of the Contractor’s Equipment.

  • Aircraft Basic Price The Aircraft Basic Price is listed in Table 1 and is subject to escalation in accordance with the terms of this Purchase Agreement.

  • Unit Price Unless the bidder clearly indicates that the price is based on consideration of being awarded the entire lot and that an adjustment to the price was made based on receiving the entire bid, any difference between the unit price correctly extended and the total price shown for all items shall be offered shall be resolved in favor of the unit price.
