Status of Service Provider. Service Provider is serving as an independent contractor in providing the necessary services and neither the City-Parish nor any of its agents nor assigns shall have responsibility for any acts or omissions of Service Provider, its employees, agents or subcontractors. The Agreement shall not be construed as an employment contract and neither Service Provider nor any employees, agents or subcontractors of Service Provider shall receive benefits afforded by provisions or regulations governing classified or unclassified personnel for the City Parish and the Service Provider’s representative by signature hereto expressly waives and relinquishes any such rights.

Status of Service Provider. The parties intend that Service Provider, and Service Provider’s employees and agents, if any, in performing the services herein specified, shall act as an independent contractor and shall have control of the work and the manner in which it is performed. Service Provider is not to be considered an agent or employee of District and is not entitled to participate in any pension plans, insurance, bonus or similar benefits District provides its employees. Individual shall not at any time or in any manner represent that Service Provider is an official, officer, employee or agent of the District. Service Provider assumes the full responsibility for the acts and/or omissions of his/her employees or agents as they relate to the services to be provided under this Agreement. Status of Service Provider. In acting hereunder, the status of Service Provider shall be that of an independent contractor and not that of an agent or employee of Boston College. Service Provider shall have no power or authority to act on behalf of Boston College or in its name or to bind Boston College, either directly or indirectly, in any matter or thing whatsoever. Service Provider agrees to notify Company immediately in the event of (1) its expulsion or suspension from the NASD; or (2) its being found to have violated any applicable federal or state law, rule or regulation arising out of its activities as a broker-dealer or in connection with this Agreement, or which may otherwise affect in any material way its ability to act in accordance with the terms of this Agreement. Service Provider's expulsion from the NASD will automatically terminate this Agreement immediately without notice. Suspension of Service Provider from the NASD for violation of any applicable federal or state law, rule or regulation will terminate this Agreement effective immediately upon written notice of termination to Service Provider; or (ii) that it is a "bank," as that term is defined in Section 3(a)(6) of the Exchange Act and that, during the term of this Agreement, it will abide by the rules and regulations of those state and federal banking authorities with appropriate jurisdiction over Service Provider, especially those regulations dealing with the activities of the Service Provider as described under this Agreement. Service Provider agrees to notify Company immediately of any action by or communication from state or federal banking authorities, state securities authorities, the Securities and Exchange Commission, or any other party which may affect its status as a bank, or which may otherwise affect in any material way its ability to act in accordance with the terms of this Agreement. Any action or decision of any of the foregoing regulatory authorities or any court of appropriate jurisdiction which affects Service Provider's ability to act in accordance with the terms of this Agreement, including the loss of its exemption from registration as a broker or dealer will terminate this Agreement effective upon written notice of termination to Service Provider; or (iii) that its activities and business, includi...
Status of Service Provider. Manager and Service Provider do not intend to form a joint venture, partnership or similar relationship. Instead, the parties intend that Service Provider shall act solely in the capacity of an independent contractor for Manager. Status of Service Provider. The parties intend that Service Provider, in performing the services specified herein, shall act as an independent contractor and shall control the work and the manner in which it is performed. Service Provider is not to be considered an agent or employee of SMART and is not entitled to participate in any pension plan, worker’s compensation plan, insurance, bonus, or similar benefits SMART provides its employees. In the event SMART exercises its right to terminate this Agreement pursuant to Article 7, above, Service Provider expressly agrees that it shall have no recourse or right of appeal under rules, regulations, ordinances, or laws applicable to employees.
