Service Provider’s Responsibilities a. TIME IS OF THE ESSENCE IN THIS AGREEMENT. Service Provider will perform Services diligently and complete Services in accordance with the provisions of this Agreement.
b. As part of the Services, Service Provider will prepare and submit customs entries, export/import declarations, applications, documentation, and/or export/import data (“Documentation”) to government agencies and/or third parties, including but not limited to carriers, truckmen, cartmen, lightermen, forwarders, ocean transportation intermediaries, non-vessel operating carriers, customs brokers, agents, warehousemen, and others to whom goods are entrusted for transportation, cartage, handling, delivery, and/or storage (“Third Parties”). Service Provider will be entitled to rely on the correctness of all Documentation provided by Customer, whether in written or electronic format. Customer will review all Documentation provided by it to Service Provider and will promptly advise Service Provider of any errors, discrepancies, incorrect statements, or omissions it discovers on any Documentation filed on Customer’s behalf by Service Provider. Service Provider will use reasonable care to ensure the correctness of all such information in preparing, filing, and submitting Documentation, whether in written or electronic format, and will be liable for all violations, fines, and penalties as a result of Service Provider’s provision of Services under this Agreement. The parties acknowledge that Customer may disclose to Service Provider confidential information about the business and operations of Customer, its affiliates, and/or divisions in the course of the performance of Services. Service Provider agrees that it and its officers, employees, subcontractors and agents will protect such confidential information from disclosure and will not disclose or use any such confidential information except for the purpose of providing the Services, without Customer’s express written permission. Service Provider will ensure that each of its officers, employees, subcontractors and agents are made aware of the confidentiality obligations contained in this Agreement and agree to comply with such obligations. Service Provider will be responsible for any breach by any of its officers, employees, subcontractors, and/or agents of the confidentiality obligations contained in this Agreement.

Service Provider’s Responsibilities. 2.1 The Service Provider shall provide the Services and deliver the Deliverables with (i) reasonable skill and care and to the highest professional standards (ii) in compliance at all times with the terms of this Agreement (and, in particular, the Special Terms (Schedule 1) and the Services and Deliverables (Schedule 2) and any Order Specific Terms), the reasonable instructions of the British Council and all applicable regulations and legislation in force from time to time. The Service Provider shall allocate sufficient resources to enable it to comply with its obligations under this Agreement.
2.2 The Service Provider shall meet any dates related to the performance of the Services under this Agreement and/or any Order Contract and time shall be of the essence in respect of such dates.
2.3 The Service Provider shall comply with, and complete and return any forms or reports from time to time required by, the British Council Requirements.
2.4 The Service Provider shall comply with the End Client Requirements (if any) and shall do nothing to put the British Council in breach of the End Client Requirements (if any).
2.5 The Service Provider shall keep orderly records of all work performed in relation to this Agreement and under any Order Contract in accordance with its obligations under clause 16.1 of this Agreement and shall, at the British Council’s request, make such records available for inspection by the British Council and/or provide copies to the British Council.
2.6 Where applicable, the Service Provider shall, subject to the prior written approval of the British Council, appoint or, at the written request of the British Council, replace without delay any member of the Service Provider's Team, each such member to be suitably skilled, experienced and qualified to carry out the Services. The Service Provider shall not, without the British Council’s prior written consent replace any of the Key Personnel. The British Council acknowledges that the Service Provider will have to replace a member of the Key Personnel where such person leaves the employment of the Service Provider, in which case the British Council shall have a right of approval over the proposed replacement (approvals not to be unreasonably withheld or delayed).

(a) Service Provider shall Process the Personal Data only for the purposes set forth in Agreement or this GDPR Addendum, and only in accordance with the documented instructions from Customer, as set forth in Schedule 1, as modified in writing from time to time by the parties, unless required to do otherwise by applicable law to which Service Provider is subject. In such a case, Service Provider shall inform Customer of that legal requirement before Processing, unless that law prohibits the provision of such information on important grounds of public interest.
(b) Service Provider shall ensure that its relevant employees, agents and contractors receive appropriate training regarding their responsibilities and obligations with respect to the processing, protection, and confidentiality of the Personal Data.

This includes the following responsibilities: • Engage directly with Customers to resolve their specific operational issues at the local level • Assign empowered subject-matter experts to participate as requested in governance committees to resolve enterprise issues • Research, as necessary, and document Service Provider perspective for issue resolution papers • Provide timely and accurate data, information, and responses to promote prompt resolution of issues • Enable and facilitate use of the issue management process In addition to the responsibilities above, the MSI has additional governance responsibilities: • Aligning organizational structure to support the owner/operator governance model • Attempting to resolve operational issues that were not solved between the Customer and Service Component Providers • Coordinating issue escalation when multiple Service Component Providers are involved Coordinating Service Component Providers participation in governance meetings • Offering process improvement solutions to reduce the number of escalated issues • Streamlining the issue escalation processes between Service Component Providers • Coordinating implementation of decisions and solutions that are approved by the governance committees

Service Provider’s Responsibilities. 4.1 The provision of the necessary food, drinks and consumables to provide a lunchtime service from local approved and nominated suppliers.
4.2 The procurement of all products and services in accordance with the council’s procurement policies, ensuring compliance with current quality, safety and nutritional standards.
4.3 The development and implementation of appropriate and appealing menus that comply with current Government School Food Standards.
4.4 The provision of food that is presented in an attractive manner which promotes healthier choices. Menus to include food suitable for vegetarians and where required religious and cultural preferences at the times agreed with the school.
4.5 The provision of meals from standard ingredients suitable for pupils requiring medically prescribed diets in consultation with the parents and school staff. Special diets accommodated on production of a diet sheet from the NHS dietitian or medical practitioner.
4.6 The provision, management and training of staff as appropriate for the service including HR, personnel and administration including the payment of catering staff wages.
4.7 The provision of all catering staff who hold a valid enhanced DBS disclosure to meet current safeguarding legislation in schools. The cost to implement any future staff safeguarding measures required by the disclosure and barring scheme may need to be met by the school.
4.8 The repair maintenance and acquisition of the utensils, light and heavy kitchen equipment and dining furniture, including safety and maintenance of gas appliances but excluding central heating/water boilers and ventilation systems.
4.9 The cleanliness of the kitchen, including all apparatus, equipment, utensils, and furniture up to a height of 6ft. (The cost of high level cleaning of walls, ceilings and ventilation/ extraction canopies is the responsibility of the Governing Body).
4.10 The payment of invoices and keeping of records for VAT and audit purposes.
Service Provider’s Responsibilities. The service provider is responsible for the operation and maintenance of the Leonhard Med platform, in order to guarantee the highest possible availability and functionality of the service. This includes regular updates and security fixes (see section 5.4). The service provider is also responsible for provisioning sufficient resources to fulfil the needs of existing and prospective customers. The service provider reserves the right to perform all actions compliant with the regulations which are necessary to meet these responsibilities. In particular, the service provider retains the right to temporarily or permanently suspend access to the platform for a user or group of users in case the access is deemed to represent an unacceptable security risk.
