Strategic Partnership. NUA and its Students’ Union will work to xxxxxx a spirit of partnership which informs the strategic direction of both parties and, as appropriate, service agreements. The SU President will be a member of the University Council, Senate, Learning and Teaching Committee and other bodies convened to develop institutional strategy and policy. Members of the Student Representatives Group will be informed about University strategy and operations.
Strategic Partnership. The University and SU contribute positively to each other’s strategic development. We welcome and respect the fact that we have shared aims and strategic directions and that we may sometimes have different views.
Strategic Partnership. 3.1.1. Commencing on the Effective Date, Shopify and GLBE shall become strategic partners as provided hereinafter and shall continue their co-operation in order to secure and strengthen the existing collaboration to increase effective cross-border trade and benefit from mutual strong growth in the activity of the Merchants.
3.1.2. To affect such strategic partnership, each of GLBE and Shopify shall commit to certain undertakings and obligations towards the other party as further described hereinafter.
Strategic Partnership. 5.1 This agreement has been prepared by representatives of the employees and management. The agreement will continue to make the Company the best refractory manufacturing site in the Asia Pacific. The recognition and development of sustained strategic partnerships between all levels of the organisation is fundamental to this agreement. The Parties are committed as a site to the development of the working relationships between all Parties at the Glastonbury Avenue site.
5.2 The Parties will continue to develop the relationships to form a strategic partnership on the site that will be long lasting, robust and of mutual benefit. The partnership will be based on trust, commitment and co-operation by all Parties. The Parties will work in an environment where they recognise that the effort and performance of individual employees and the teams to which they belong will result in growth for the Company through the achievement of the business goals in conjunction with the satisfaction and development of individual employees covered by this agreement. The performance targets as listed in Clause 12 will be achieved by all employees co-operation.
5.3 The strategic partnership will be developed to actively meet all the needs of the business. It is recognised that all employees are part of the business and will contribute to defining the business needs.
5.4 The Parties agree that all facets of work at the Glastonbury Avenue site are aimed at achieving best standards of excellence and best practice in all relevant areas including – ▪ Operational and business performance; ▪ Work organisation; ▪ Workplace flexibility; ▪ Recruitment practices; ▪ Continuous improvement; ▪ Training and development; ▪ Quality; ▪ Safety; and ▪ Harmonious employee relations
5.5 It is recognised that any work injury at the Company’s Glastonbury Avenue site is totally unacceptable. The OH&S Committee will involve all employees in ensuring that there is a continuous improvement in the Company’s safety performance and working environment. It is an objective of this agreement through all the Parties to achieve and maintain an injury free workplace by implementing the initiatives identified in Clause 8.
5.6 The Parties recognise that the success and viability of the business is based on customer focus. Strategic Partnership. Cabletron and Predictive are entering into a strategic partnership during the Term hereof pursuant to the terms and conditions of this Agreement.
2.1 Cabletron and Predictive will cooperate as to Assessment Projects and Follow-On Projects in accordance with Sections 3 and 4, respectively.
2.2 Cabletron and Predictive will actively cooperate to identify and carry out Teaming Projects in accordance with Section 4A. The parties shall cooperate to produce a standard agreement for Teaming Projects, but recognize that the Customer may require changes thereto. Each of the parties agrees not unreasonably withhold consent to such changes, consistent with its generally applicable operational and risk management policies.
2.3 Except as otherwise mutually agreed to by the parties in writing, all projects will be carried out under the Cabletron name. If so agreed by the parties in writing with respect to a particular Project, Predictive and Cabletron personnel carrying out such Project will identify themselves as members of their respective organizations acting pursuant to the "Cabletron/Predictive Strategic Partnership" (or such other name as may be jointly determined by the parties).
2.4 The form of any announcements relating to the relationship contemplated hereby, marketing materials relating thereto and other communications regarding the parties' common activities hereunder, shall be subject to the approval of both parties (subject to disclosure obligations, if any, under applicable securities laws).
2.5 A. The parties hereby establish an Oversight Committee to monitor and oversee the strategic relationship contemplated hereby. The Oversight Committee shall act as a facilitator of this Agreement and shall have authority to act on behalf of the parties, except as otherwise provided in this Agreement, and except to the extent that any act or decision of the oversight Committee is subject to the internal review or approval of either party (in which event such party shall so inform the other members of the Committee). Each party shall appoint two (2) members of the Oversight Committee, who shall serve at the pleasure of their employers or until they resign or are unwilling or unable to serve. Strategic Partnership. 3.1 Regencell hereby forms a strategic partnership with The Chinese Medicine Practitioner whereas Regencell undertakes to continuously carry out its obligation under Clause 2.2 and The Chinese Medicine Practitioner accepts Clause 3.2 and Clause 3.3.
3.2 Any inventions, TCM formulae, utilities, models improvements, research, discoveries, designs, processes, methods of manufacture, distribution or management, products, works of authorship, creations and the like, including all of their Intellectual Property Rights, conceived or made by The Chinese Medicine Practitioner, either individually or jointly with others, and in relation to TCM (individually, an “TCM Invention”, and collectively, “TCM Inventions”), shall be the sole and exclusive property of Regencell, its successors, assigns and nominees, without any compensation in addition to that set forth in this Deed. The Chinese Medicine Practitioner is, however, permitted to continue to use or make use of the TCM Inventions solely in his practice and for his research as a Chinese Medicine practitioner. Without limiting the generality of the foregoing: If after the execution of this Deed, The Chinese Medicine Practitioner, either individually or jointly with others, conceives, authors, makes or first actually reduces to practice any TCM Invention, The Chinese Medicine Practitioner shall promptly disclose to Regencell full details thereof, including without limitation any notes, recipes, formulae, drawings and models relating thereto, and agrees to assign and does hereby assign and transfer to Regencell, its successors, assigns and nominees, all The Chinese Medicine Practitioner’s right, title and interest in and to such TCM Invention. Strategic Partnership. The parties acknowledge and agree that this Agreement reflects a strategic relationship between HP-OMS and the Customer, in which the business successes of one party will have corresponding benefits to the other. Accordingly, HP-OMS shall make best efforts to assist Customer in the development of its MPM business; each party will appoint a program manager dedicated to oversee and manage such assistance, and a representative of the senior management of each party shall meet on a quarterly basis after the Commencement Date to monitor the progress of this strategic relationship.
