SUPERVISION AND CONTRACTOR'S REPRESENTATIVE. 26.1 CONTRACTOR is responsible for supervising, coordinating and performing the Work with such care and skill as would be provided by a CONTRACTOR with extensive and special expertise in the type of work required under the Contract Documents. XXXXXXXXXX is responsible for completing the Work so that it complies accurately and completely with the requirements of the Contract Documents. CONTRACTOR must keep on the Work at all times during its progress a competent resident representative who must not be replaced without prior written notice to OWNER and DESIGN PROFESSIONAL except under extraordinary circumstances. The representative must have authority to act on behalf of CONTRACTOR. All communications given to the representative must be as binding as if given to CONTRACTOR. OWNER must have the right to direct CONTRACTOR to remove and replace its Project representative or any other employee of CONTRACTOR (including the key personnel identified in Exhibit K to the Agreement) or any employee of any subcontractor from this Project, with or without cause. The representative must be present at the jobsite whenever any Work is taking place regardless of whether or not the Work is being performed by the CONTRACTOR’S subcontractors or others. Otherwise no Work must take place if the representative is not present, 26.2 CONTRACTOR must maintain sufficient off-site support staff, and competent full time staff at the Project site authorized to act on behalf of the CONTRACTOR to coordinate, inspect and provide general direction of the Work and progress of the subcontractors. Attached as Exhibit K to the Agreement is a listing of CONTRACTOR’S key personnel who will be assigned to the Project, including the percentage of time such personnel will be devoted to the Project. So long as such personnel remain employed by CONTRACTOR, none of the personnel identified in Exhibit K must be removed from the Project by CONTRACTOR, and the percentages of time to be devoted to the Project by such personnel must not be changed, without OWNER’S prior written approval (such approval not to be unreasonably withheld), and if so removed must be immediately replaced with a person acceptable to OWNER. 26.3 CONTRACTOR must establish and maintain lines of authority for its personnel, and must provide this information to OWNER and all other affected parties, such as the code inspectors of any permitting authority, the subcontractors, and DESIGN PROFESSIONAL.   • City’s Representative The City hereby designates Xxx Xxxxx, or his or her designee, to act as its representative for the performance of this Agreement (“City’s Representative”). City’s Representative shall have the power to act on behalf of the City for all purposes under this Contract. Consultant shall not accept direction or orders from any person other than the City’s Representative or his or her designee.

  • CONTRACTOR’S REPRESENTATIONS A. In order to induce Owner to enter into this Contract, Contractor makes the following representations: 1. Contractor has examined and carefully studied the Contract Documents, including Addenda. 2. Contractor has visited the Site, conducted a thorough visual examination of the Site and adjacent areas, and become familiar with the general, local, and Site conditions that may affect cost, progress, and performance of the Work. 3. Contractor is familiar with all Laws and Regulations that may affect cost, progress, and performance of the Work. 4. Contractor has carefully studied the reports of explorations and tests of subsurface conditions at or adjacent to the Site and the drawings of physical conditions relating to existing surface or subsurface structures at the Site that have been identified in the Supplementary Conditions, with respect to the Technical Data in such reports and drawings. 5. Contractor has carefully studied the reports and drawings relating to Hazardous Environmental Conditions, if any, at or adjacent to the Site that have been identified in the Supplementary Conditions, with respect to Technical Data in such reports and drawings. 6. Contractor has considered the information known to Contractor itself; information commonly known to contractors doing business in the locality of the Site; information and observations obtained from visits to the Site; the Contract Documents; and the Technical Data identified in the Supplementary Conditions or by definition, with respect to the effect of such information, observations, and Technical Data on (a) the cost, progress, and performance of the Work; (b) the means, methods, techniques, sequences, and procedures of construction to be employed by Contractor; and (c) Contractor’s safety precautions and programs. 7. Based on the information and observations referred to in the preceding paragraph, Contractor agrees that no further examinations, investigations, explorations, tests, studies, or data are necessary for the performance of the Work at the Contract Price, within the Contract Times, and in accordance with the other terms and conditions of the Contract. 8. Contractor is aware of the general nature of work to be performed by Owner and others at the Site that relates to the Work as indicated in the Contract Documents. 9. Contractor has given Engineer written notice of all conflicts, errors, ambiguities, or discrepancies that Contractor has discovered in the Contract Documents, and of discrepancies between Site conditions and the Contract Documents, and the written resolution thereof by Engineer is acceptable to Contractor. 10. The Contract Documents are generally sufficient to indicate and convey understanding of all terms and conditions for performance and furnishing of the Work. 11. Contractor’s entry into this Contract constitutes an incontrovertible representation by Contractor that without exception all prices in the Agreement are premised upon performing and furnishing the Work required by the Contract Documents.

  • CONTRACTOR CUSTOMER SERVICE REPRESENTATIVE Contractor shall designate a customer service representative (and inform Enterprise Services of the same) who shall be responsible for addressing Purchaser issues pertaining to this Master Contract.

  • Contractor’s Responsibilities Unless stated specifically to the contrary in the tender with full supporting explanations, the contractor will be deemed to have concurred as a practical manufacturer with the design and layout of the works as being sufficient to ensure reliability and safety in operation, freedom from undue stresses and satisfactory performance in all other essentials as a working material.
