Supply Interruptions. If at any time Company experiences a Material Interruption (as defined below), Conexant’s Wafer Volume Commitments shall be reduced by the number of Wafers Company is unable to supply for the actual duration of such Material Interruption, provided, however, that if such Material Interruption results from Conexant’s failure to provide any services that Conexant is obligated to provide under the Information Technology Service Agreement of even date herewith by and between Company and Conexant, then Conexant’s Wafer Volume Commitment shall not be reduced as a result of such Material Interruption. If an unintended interruption in Company’s ability to fulfill its supply obligations occurs that is not a Material Interruption, Conexant shall remain obligated to satisfy its obligations hereunder to purchase Wafers, provided, that if, due to such interruption, Company is unable to deliver a number of Wafers ordered to fulfill a portion of a Wafer Volume Commitment prior to the end of the Segment, then Conexant will be excused from that portion of the Wafer Volume Commitment for that Segment, and such portion will be rolled over to be fulfilled by the end of the following Segment. This provision shall not limit any other rights or remedies Conexant or Company may have for a breach of this Supply Agreement or otherwise, and nothing in this provision is intended to supersede, restrict, or otherwise limit either party’s rights under Section 13.7 (Force Majeure). For purposes of this Section, “Material Interruption” means an unintended interruption in Company’s ability to produce Wafers that (i) endures for more than a period of […***…], and (ii) causes a reduction in Capacity of […***…] or more WSPD.
Supply Interruptions. 13.1 When we arrange planned interruptions
(a) Where permitted under electricity law, we may arrange our own planned interruptions to the supply of electricity to the Supply Address for the purpose of the installation, maintenance, repair or replacement of your meter.
(b) We will give you at least 4 business days’ notice by mail, letterbox drop, press advertisement or other appropriate means if your electricity supply will be affected by a planned interruption arranged by us.
13.2 Your right to information about planned interruptions
(a) If you request us to do so, we will use our best endeavours to explain any planned interruption to the supply of electricity to the Supply Address that we arrange.
(b) If you request an explanation be in writing we will within 10 business days of receiving the request, provide you with either:
(i) the written explanation; or
(ii) an estimate of the time it will take to provide a more detailed explanation if a longer period is reasonably needed.
(c) We may refer you to your distributor to provide information relating to interruptions for which your distributor is responsible.
Supply Interruptions. 3.1. We May interrupt the Water supply to any premises if:
3.1.1. It is an interruptible supply and the supply interruption is performed in accordance with any applicable terms set out in the agreement
3.1.2. The water supply is affected by a Force Majeure Event, an Emergency Event or any actions to prevent the occurrence or limit the effects of an Emergency Event;
3.1.3. A Drought order or Water Shortage Order is made which overrides the terms of this agreement.
3.1.4. The water supply is affected by a Network event; or
3.1.5. The relevant Water Undertaker is performing planned maintenance; unplanned maintenance or emergency event works on its supply system
Supply Interruptions. On a PSA by PSA basis, the Parties will discuss appropriate steps to alleviate any expected or actual shortfall in Manufactured Product. The Parties may agree on a PSA by PSA basis, in what events, if any, such a supply failure could constitute a material breach of this MSA or a PSA.
Supply Interruptions. 3.1. We may interrupt the Services to any Eligible Premises if:
3.1.1. It is an Interruptible Supply and the supply interruption is performed in accordance with any applicable terms set out in the Water and Sewerage Service Supply Contract.
3.1.2. The Services affected by a Force Majeure Event, an Emergency Event or any actions to prevent the occurrence or limit the effects of an Emergency Event;
3.1.3. A Drought Order is made which overrides the terms of the Contract.
3.1.4. The Services are affected by a Network Event; or
3.1.5. The relevant water or sewerage Wholesaler is performing Planned Maintenance; Unplanned maintenance or Emergency Event works on its supply system.
Supply Interruptions. (a) Flow Power may arrange planned interruptions to the supply of electricity to the Premises where permitted under law for the purpose of the installation, maintenance, repair or replacement of the meter.
(b) If the Customer’s electricity supply will be affected by a planned interruption arranged by Flow Power, Flow Power will give the Customer at least 4 Business Days’ notice.
(c) On request, Flow Power will explain any planned interruption to the supply of electricity to the Premises which was arranged by Flow Power.
(d) For interruptions made by the distributor, Flow Power will refer the Customer to the distributor to provide information and Flow Power is not liable for any such interruptions.
Supply Interruptions. 14.1 To allow maintenance or in an Emergency, the JOC may authorize an interruption of delivery and acceptance of water. The Party who is in emergency situation shall inform the other immediately over phone/SMS and tackle the emergency situation expeditiously and shall not wait till formal meeting of JOC. The Parties’ respective duty to deliver and accept water under this Agreement is temporarily suspended during a supply/acceptance (use) interruption authorized by the JOC.
14.2 The Parties shall use their best efforts to minimize the length of supply/acceptance (use) interruption.
Supply Interruptions. 46.1 We will endeavour to provide you with a continuous supply of electricity. However, circumstances may arise where supply may fail or we may be required to interrupt or ration your supply. Wherever possible, early notice of the interruption or restrictions will be given through the media or via the LD.
Supply Interruptions. If at any time Supplier fails for any reason (including, without limitation, force majeure events, discontinuance of manufacturing process or closing of the Supplier Manufacturing Facility) to fulfill its supply obligations under this Mexicali Agreement, Buyer's obligation under Section 2.l(a) shall be reduced, for the period of supply interruption, by the volumes Supplier failed to supply, or the minimum quantity of Devices or Services Supplier is required to obtain from alternate source(s), whichever is greater. This
Supply Interruptions. If, during the Term of this Agreement, there is a scheduled Turnaround at the Project and that Turnaround impacts the production of Product purchased by ExxonMobil pursuant to this Agreement, GCE shall be relieved of its obligation to supply Monthly Scheduled Volumes designated hereunder during the period of the scheduled Turnaround. GCE shall make reasonable efforts to provide at least six (6) months advance written notice to ExxonMobil before the commencement of the Turnaround, including GCE’s reasonable estimates on the impact to potentially available volumes. Should GCE’s production of Renewable Diesel be limited due to Turnaround, both Parties agree to use commercially reasonable efforts to agree upon preemptive mitigation measures, such as on-site inventory build. ExxonMobil shall hold information related to the Turnaround strictly confidential and shall not disclose to anyone other than those employees of ExxonMobil who require the information to perform their job duties.
