System License. To the extent that Seller owns any IP Rights, whether currently existing or hereafter acquired (or is the licensee of any such IP Rights with a right to sublicense such IP Rights without payment of any additional fee or other consideration to the licensor or any third party), and, in either event, such IP Rights are necessary to enable a Subscriber to receive the telecommunication, entertainment, information, programming, applications, data or other services provided by a Purchaser’s System only by directly and fully utilizing the functions and features of the Equipment as identified in the Specifications and as provided by Seller to Purchaser when used in the Purchaser’s System, Seller hereby grants to each Purchaser a non-exclusive, irrevocable (except for a material breach of this Agreement), perpetual, worldwide, fully-transferable (but only to the extent that the Equipment as delivered by Seller is transferred), royalty-free license to use such IP Rights in connection with the Equipment to receive such telecommunication, entertainment, information, programming, applications, data or other services provided by a Purchaser’s System to its Subscribers. For purposes of clarity, the foregoing license grant shall not apply to any Enhancement for which Seller is entitled to charge a fee pursuant to the terms of this Agreement.

System License. Contractor hereby grants Company, its affiliates and/or any third party acting either on their behalf and/or for the purpose of the Project and/or Ayalon Highway (including without limitation: the State of Israel, Tel Aviv Jaffa Municipality, Metropolis Transport Authority and any Government Agency): a non-exclusive, irrevocable, perpetual, fully paid up, royalty free, transferable and sublicensable (to the foregoing licensee's contractors acting on its behalf) license to use, operate, maintain, repair, copy, adjust and modify the software included in the System and/or Project and the Documentation in any location(s) in Israel. Company shall be entitled to make copies of the System software as required for use under the license terms set forth herein including back-up copies.
System License. System License means a license to use certain Licensed Program(s) for a specific database instance and/or as may be otherwise indicated in the Product Portfolio. A minimum number of Named User Based licenses of identified prerequisite Licensed Program(s) may be required in order to access a System License. If the name of the Licensed Program includes a specific reference to “Departmental Site License”, authorized use of the System License for such Licensed Program shall be limited within a particular department of Licensee at a particular office, building or physical location, which shall be identified in the order issued by Licensee pursuant to a Quote and accepted by Company.

Geographic locations where System Licenses may be used are specified in the applicable Agreement and Transaction Document. The SIMULIA Abaqus Extended for Education (20 users, 160 tokens) (5TP-Q9T) 3DS Offering may be used only for teaching and not for any research purposes.

The term of this license to MFSI shall expire upon any termination of this Agreement. System License. Subject to the terms and conditions set forth in this Restated License Agreement (including, without limitation, Section 2.2), PVI hereby grants to Cablevision and its Licensed Affiliates a non-exclusive, non-transferable license to use the L-VIS(R) System, including, without limitation, the Software, Equipment, Documentation and General Improvements and any technology or know-how that is owned or controlled by PVI and is necessary or useful for the exploitation thereof, solely for combined use as an L-VIS(R) System and in connection with the Telecast of Licensed Telecasts during the Term. Licensees shall use the L-VIS(R) System for their own use or for the use of other Licensees. Licensees shall not use the L-VIS(R) System to provide services to non-Licensees.
System License. The Contractor grants the County a non-transferable, revocable, and non-exclusive license for its employees and authorized users or access and use the System subject to the terms of this Agreement. During the term of this Agreement, the County shall be entitled to maintenance services, which consist of Software and System updates, upgrades, enhancements, new versions, bug fixes, other improvements to the System, access to the FirstWatch Subscriber Site, comprehensive and minor customizations, technical assistance relating to the System, and other services identified in the Scope of Services (Appendix A).
