Systems Interfaces. (i) Following the Effective Date and prior to the Closing Date, the parties shall identify and set forth on Schedule 4.19(d)(i) the initial systems interfaces that the parties mutually agree will be established as of the Closing Date and sustained between Company and Bank, including the systems interfaces required to pass data between the parties. (ii) The parties shall maintain these initial interfaces, as well as any additional interfaces defined in the future, and cooperate in good faith with each other in connection with any modifications and enhancements to such interfaces as may be requested by either party from time to time. The parties shall maintain such systems interfaces so that the operations of Company Core Systems are no less functional than prior to the Effective Date. Each party agrees to provide sufficient personnel to support the systems interfaces required to be sustained by it in accordance with this provision. [*]

At termination or expiration, the parties, at their own expense, shall terminate applicable interfaces at a mutually agreed-upon time.

(ii) The parties shall cause such Systems interfaces to be maintained so that the operations of Company’s Systems are no less functional than prior to the Effective Date. Each party agrees to provide sufficient personnel to support the Systems interfaces required to be sustained by it in accordance with this provision. Except as otherwise provided herein, including in Section 8.3, or as otherwise agreed by the parties, each party shall pay its own costs and expenses associated with maintaining, modifying and enhancing its Systems interfaces. At termination or expiration, the parties, at their own expense, shall terminate applicable interfaces at a mutually agreed-upon time and in a manner consistent with Section 15.2 and Section 15.3. (iii) The parties’ agreement regarding onsite System access is set forth in clause (d)(iii) of Schedule 4.18.
Systems Interfaces. The parties shall maintain all systems interfaces between Kohl’s Core Systems and Bank Systems in place as of immediately prior to the Effective Date which are required to be sustained between Kohl’s and Bank, including the systems interfaces required to pass data between the parties, as well as any additional interfaces defined in the future, and cooperate in good faith with each other in connection with any modifications and enhancements to such interfaces as may be requested by either party from time to time. [*] At termination, the parties, at their own expense, shall terminate applicable interfaces at a time mutually determined by the parties pursuant to Sections 3.3 - 3.6.
Systems Interfaces. (i) Prior to the Launch Date, the Parties shall identify the Systems and related interfaces required to be sustained between Gap and Barclays including the Systems and interfaces required to securely transmit data and reports between the Parties in accordance with the requirements of this Agreement. The Parties shall maintain these initial Systems and related interfaces, as well as any additional Systems and related interfaces agreed upon in the future, and subject to Article VI and Section 5.2(a)(iii), each Party shall cooperate in good faith with the other Party in connection with a Party’s request from time to time to implement, modify, enhance, or terminate a System and/or related interface. Gap and Barclays shall provide sufficient personnel to support the Systems and interfaces required to be sustained between Gap and Barclays. (ii) Except as otherwise provided herein or as required by Applicable Law or Network Rules, all requests for (A) new interfaces between Gap and Barclays, (B) modifications or enhancements to existing interfaces or (C) termination of existing interfaces shall be approved in writing by both Parties. Upon approval, the Parties shall work in good faith to establish the requested interfaces or modify, enhance or terminate the existing interfaces, as applicable, on a timely basis.
Systems Interfaces. CLEARANCE SYSTEM INTERFACE This interface will be designed to ensure that no two Customer Agents are competing for the same prospect. For new business submissions via the eBOP system, a call will be made to the Customer host to determine if the account already exists under the same product offering. The results of the search will be returned to the eBOP system to allow the Agent to continue the submissions or notify the Agent that the account is being serviced by another appointed agency that is associated with Customer.
Systems Interfaces. CLEARANCE SYSTEM INTERFACE - This interface will be designed to ensure that no two Customer Agents are competing for the same prospect. For new business submissions via the Customer Commercial Lines Umbrella Online system, a call will be made to the Customer host to determine if the account already exists under the same product offering. The results of the search will be returned to the Customer Commercial Lines Umbrella Online system to allow the Agent to continue the submissions or notify the Agent the account is being serviced by another appointed agency that is associated with Customer. An update to the record in the Customer system will be made at defined points within the submission cycle and at policy renewal. FARE SYSTEM INTERFACE - Premium file and claims file sent monthly to Customer. This file layout has been provided to IMS for our review and analysis. IMS will provide this capability.

Systems Interfaces. During the Term (i) subject in all respects to Section 15, (A) Navistar shall use commercially reasonable efforts to maintain (for the benefit of GE Capital and Navistar in respect of the Program) existing electronic interfaces currently in place between Navistar and NFC and (B) GE Capital and Navistar shall use commercially reasonable efforts to develop new electronic interfaces with each other as mutually determined, in each case that are consistent with good accounting, financial control and security practices, and facilitate interaction between their respective information systems with the principal objective of effectuating a reasonably practical degree of automation with respect to the performance of their respective duties and obligations in connection with the Program and (ii) GE Capital and Navistar shall provide such additional systems supports and services as mutually agreed by GE Capital and Navistar. It is understood by each of GE Capital and Navistar that over time, their respective business processes, systems, applications and databases will be subject to update and change in the normal course of business. Each of GE Capital and Navistar will use commercially reasonable efforts to (1) communicate to the other as soon as reasonably practicable those changes reasonably expected to materially impact the Program and (2) work with the other to maintain the Program-related interfaces where impacted by ongoing individual business and technology changes. Each Party shall bear its own costs associated with making any changes required by this Section 10(b).

  • Network Interconnection Architecture Each Party will plan, design, construct and maintain the facilities within their respective systems as are necessary and proper for the provision of traffic covered by this Agreement. These facilities include but are not limited to, a sufficient number of trunks to the point of interconnection with the tandem company, and sufficient interoffice and interexchange facilities and trunks between its own central offices to adequately handle traffic between all central offices within the service areas at a P.01 grade of service or better. The provisioning and engineering of such services and facilities will comply with generally accepted industry methods and practices, and will observe the rules and regulations of the lawfully established tariffs applicable to the services provided.

  • Network Interface Device 4.1 The NID is defined as any means of interconnection of end-user customer premises wiring to BellSouth’s distribution plant, such as a cross-connect device used for that purpose. The NID is a single-line termination device or that portion of a multiple-line termination device required to terminate a single line or circuit at the premises. The NID features two independent xxxxxxxx or divisions that separate the service provider’s network from the End User’s on-premises wiring. Each chamber or division contains the appropriate connection points or posts to which the service provider and the End User each make their connections. The NID provides a protective ground connection and is capable of terminating cables such as twisted pair cable. 4.1.1 BellSouth shall permit Al-Call to connect Al-Call ’s loop facilities to on-premises wiring through the BellSouth NID or at any other technically feasible point.

  • Interfaces GTE provides the CLECs with choices for access to OSS pre-ordering, ordering, maintenance and repair systems. Availability of the interfaces is fundamental to the CLEC being able to effectively do business with GTE. Additionally, in many instances, CLEC personnel must work with the service personnel of GTE. Measurements in this category assess the availability to the CLECs of systems and personnel at GTE work centers.

  • Interface A defined set of transmission facilities that separate Load Zones and that separate the NYCA from adjacent Control Areas. Investor-Owned Transmission Owners. A Transmission Owner that is owned by private investors. At the present time these include: Central Xxxxxx Gas & Electric Corporation, Consolidated Edison Company of New York, Inc., New York State Electric & Gas Corporation, Niagara Mohawk Power Corporation, Orange and Rockland Utilities, Inc., and Rochester Gas and Electric Corporation.

  • Access Toll Connecting Trunk Group Architecture 9.2.1 If CSTC chooses to subtend a Verizon access Tandem, CSTC’s NPA/NXX must be assigned by CSTC to subtend the same Verizon access Tandem that a Verizon NPA/NXX serving the same Rate Center Area subtends as identified in the LERG. 9.2.2 CSTC shall establish Access Toll Connecting Trunks pursuant to applicable access Tariffs by which it will provide Switched Exchange Access Services to Interexchange Carriers to enable such Interexchange Carriers to originate and terminate traffic to and from CSTC’s Customers. 9.2.3 The Access Toll Connecting Trunks shall be two-way trunks. Such trunks shall connect the End Office CSTC utilizes to provide Telephone Exchange Service and Switched Exchange Access to its Customers in a given LATA to the access Tandem(s) Verizon utilizes to provide Exchange Access in such LATA. 9.2.4 Access Toll Connecting Trunks shall be used solely for the transmission and routing of Exchange Access to allow CSTC’s Customers to connect to or be connected to the interexchange trunks of any Interexchange Carrier which is connected to a Verizon access Tandem.

  • Configuration Management The Contractor shall maintain a configuration management program, which shall provide for the administrative and functional systems necessary for configuration identification, control, status accounting and reporting, to ensure configuration identity with the UCEU and associated cables produced by the Contractor. The Contractor shall maintain a Contractor approved Configuration Management Plan that complies with ANSI/EIA-649 2011. Notwithstanding ANSI/EIA-649 2011, the Contractor’s configuration management program shall comply with the VLS Configuration Management Plans, TL130-AD-PLN-010-VLS, and shall comply with the following:

  • Infrastructure Infrastructure serves as the foundation and building blocks of an integrated IT solution. It is the hardware which supports Application Services (C.3.2) and IT Management Services (C.3.3); the software and services which enable that hardware to function; and the hardware, software, and services which allow for secure communication and interoperability between all business and application service components. Infrastructure services facilitate the development and maintenance of critical IT infrastructures required to support Federal government business operations. This section includes the technical framework components that make up integrated IT solutions. One or any combination of these components may be used to deliver IT solutions intended to perform a wide array of functions which allow agencies to deliver services to their customers (or users), whether internal or external, in an efficient and effective manner. Infrastructure includes hardware, software, licensing, technical support, and warranty services from third party sources, as well as technological refreshment and enhancements for that hardware and software. This section is aligned with the FEA/DoDEA Technical Reference Model (TRM) which describes these components using a vocabulary that is common throughout the entire Federal government. A detailed review of the TRM is provided in Section J, Attachment 5. Infrastructure includes complete life cycle support for all hardware, software, and services represented above, including planning, analysis, research and development, design, development, integration and testing, implementation, operations and maintenance, information assurance, and final disposition of these components. The services also include administration and help desk functions necessary to support the IT infrastructure (e.g., desktop support, network administration). Infrastructure components of an integrated IT solution can be categorized as follows:

  • Trunk Group Architecture and Traffic Routing 5.2.1 The Parties shall jointly establish Access Toll Connecting Trunks between CLEC and CBT by which they will jointly provide Tandem-transported Switched Exchange Access Services to Interexchange Carriers to enable such Interexchange Carriers to originate and terminate traffic from and to CLEC's Customers. 5.2.2 Access Toll Connecting Trunks shall be used solely for the transmission and routing of Exchange Access and non-translated Toll Free traffic (e.g., 800/888) to allow CLEC’s Customers to connect to or be connected to the interexchange trunks of any Interexchange Carrier that is connected to the CBT access Tandem. 5.2.3 The Access Toll Connecting Trunks shall be one-way or two-way trunks, as mutually agreed, connecting an End Office Switch that CLEC utilizes to provide Telephone Exchange Service and Switched Exchange Access Service in the given LATA to an access Tandem Switch CBT utilizes to provide Exchange Access in the LATA.

  • Architecture The Private Improvements shall have architectural features, detailing, and design elements in accordance with the Project Schematic Drawings. All accessory screening walls or fences, if necessary, shall use similar primary material, color, and detailing as on the Private Improvements.

  • Systems The details of any systems work will be determined after a thorough business analysis. System's work will be billed on a time and material basis. Investors Bank provides an allowance of 10 systems hours for data extract set up and reporting extract set up. Additional hours will be billed on a time and material basis.
