Term of Transition Services. The Supplier will provide Transition Services for as long as reasonably required by HBDHB after the End Date.
Term of Transition Services. If elected by United, Administrator shall be required to furnish the Transition Assistance Services for one hundred eighty (180) days following the Transition Event or for such shorter period of time as selected by United in its sole discretion (the “Transition Assistance Period”). After the expiration of the Transition Assistance Period, Administrator shall, at no additional cost, continue to (i) answer a reasonable number of questions regarding the Services on an “as needed” basis for up to one hundred eighty (180) days, (ii) prepare and deliver to United any United-owned reports, documentation or United Data still in the possession or under the control of Administrator, and (iii) upon United’s directive, destroy all United Data or Confidential Information in the possession or under the control of Administrator and provide United with a certificate certifying the destruction of all such United Data and information, provided that one copy shall be kept for such period as is necessary to satisfy Administrator’s obligations under Section 4.3, and beyond such period that copy may be kept for archival purposes pursuant to the confidentiality requirements of this Agreement. United shall, at no additional cost, (A) deliver to Administrator any remaining Administrator owned reports, documentation or Administrator Data still in the possession or under the control of United, and (B) upon Administrator’s directive, destroy all Administrator Data or Confidential Information in the possession or under the control of United and provide Administrator with a certificate certifying as to the destruction of all such Administrator Data and information, provided that one copy shall be kept for such period as is necessary to satisfy United’s obligations under Section 4.3, and beyond such period that copy may be kept for archival purposes pursuant to the confidentiality requirements of this Agreement.
Term of Transition Services. With respect to each of the Transition Services, the term thereof will be for a period commencing as of the date hereof, unless a different date is specified as the commencement date on Exhibit A (either, a “Commencement Date”), and shall continue until six (6) months following the Commencement Date or such other date specified as the Term associated with each service listed in Exhibit A (either, a “Termination Date” and such period comprising the “Term”), unless terminated sooner pursuant to this Article VI. In the event that the Provider is still providing Transition Services to the Recipient one hundred twenty (120) days before the end of the Term of such Transition Services, the TSA Committee shall meet promptly in order to discuss and develop an approach to ensure the Recipient’s migration off of such Transition Services as soon as possible, and in no event later than the end of the Term of such Transition Services.
Term of Transition Services. 1.1 Supplier shall perform Transition Services for the Transition Term.
Term of Transition Services. Unless earlier terminated pursuant to the terms of Section 9(b) of the Agreement, the period in which IGC shall be required to perform the Transition Services shall terminate on the first anniversary of the date of the Agreement.

Supplier shall have no obligation, whether under this Agreement or the Prior Agreements, to provide Customer with any services, including but not limited to any Transition Services or support and maintenance services, following expiration of the Transition Term. The Prior Agreements will terminate and be of no force or effect as of the Effective Date of this Agreement, except as to definitions that are incorporated herein by reference and the Outstanding Payments, except as otherwise provided in this Agreement, and except for provisions that are stated to survive termination, and each Party shall comply with such surviving provisions. For clarity, the licenses granted under this Agreement will continue after the Transition Term and will not terminate except as specified in Section 10.2.

Notwithstanding anything in a Prior Agreement to the contrary, including but not limited to any provisions that provide for any survival of any of Supplier’s obligations, the Prior Agreements will terminate and be of no force or effect (except only as to definitions that are incorporated herein by reference and the Outstanding Payments) as of the date this Agreement is approved by the Bankruptcy Court but subject to the conditions precedent set forth in Section 2.2 (Assignment and Assumption of Agreements).

Term of Transition Services. With respect to each of the Transition Services, (1) for Policy Conversion Services, the term thereof, with respect to any individual Novation Subject Contracts, shall not extend beyond the applicable Novation Date; (2) for Post-Novation Services, the term thereof will be, for any individual Novation Subject Contract, for a period commencing as of the applicable Novation Date, unless a different date is specified as the commencement date on Exhibit I, and continue until [12] months following the applicable Novation Date, unless a different date is specified as the termination date on Exhibit I (either, a “Termination Date”), and (3) for any Special Project, the term will commence on the beginning date specified in the separate mutual agreement of the parties with respect to such Special Project and end on the earlier of (x) the date of completion of such Special Project or (y) the end date specified in the separate mutual agreement of the Parties, in each case, unless terminated sooner pursuant to Section 6.4. For the avoidance of doubt, the parties agree that any timelines or dates for delivery set forth on Exhibit B are not binding on either party.
