The USPS Grant. 3.1. So long as exercised strictly in accordance with the terms and conditions set forth in this Agreement and limited to the Scope and Purpose set forth above, USPS grants to Developer for the Term of this Agreement, until terminated or suspended as set forth below, a non-exclusive, non-transferable, revocable license in the Territory to prepare, using the Licensed Materials, one or more Interfaces, each of which must function on only one Platform, for use with the NCOALink Product in the Field of Use to Update Mailpieces in compliance with the Software and Hardware Performance Requirements and the Software Developer’s Guide.
3.2. The License includes the right to make copies of the Licensed Materials only as specifically authorized and provided for in this Agreement and in the License Materials and only to the extent necessary to develop and test the MPE Interface(s).
The USPS Grant. 3.1. So long as exercised strictly in accordance with the terms and conditions set forth in this Agreement, USPS grants to Licensee in the Territory for the Term (until terminated or suspended as set forth below) a non-exclusive, non-transferable, revocable license under the USPS Intellectual Property Rights but restricted to the Scope and Purpose set forth above and only in the Field of Use to use the Subject Matter to:
3.1.1. market the MPE Interface as a component of Licensee’s Products.
3.1.2. sublicense to Users the MPE Interface as a component of Licensee’s Products to use with the NCOALink Product, provided that Users may use the Interface only subsequent to legally obligating themselves to a sublicense in accordance with the terms set forth below;
3.2. USPS reserves the right to make any and all changes to the Subject Matter, the NCOALink Product, and the Development Materials as it deems necessary.
3.3. USPS grants Licensee the right to display USPS Trademarks in reference to the NCOALink Product and the USPS on Licensee’s Products and in Advertising and packaging for Licensee’s Products so long as in accordance with the provisions set forth below and contingent upon receipt of USPS’s approval prior to the public display, distribution, or sale of Licensee’s Products or Advertising.
The USPS Grant. 3.1. So long as exercised strictly in accordance with the terms and conditions set forth in this Agreement, USPS grants to Licensee in the Territory for the Term (unless terminated or suspended as set forth below), a non-exclusive, non-transferable, revocable license limited to the Scope and Purpose set forth above to provide Services in the Field of Use using the NCOALink Product with an Interface Product on one or more Platforms in accordance with the Licensee Performance Requirements incorporated herein by reference and with the other terms and conditions of this Agreement.
3.2. This license is contingent upon Licensee’s compliance with the Licensee Performance Requirements, including changes that USPS makes to the License Performance Requirements.
3.3. USPS does not grant Licensee a right to sublicense, sell or otherwise distribute, reproduce, perform, or prepare derivative works of the Service Materials. Any attempt to sublicense shall be void. All reproductions and derivative works shall be assigned to and delivered to USPS.
3.4. USPS does not grant Licensee a right to develop or use the NCOALink Product, the Service Materials, or any related technology, to compile or maintain address information concerning new movers or to create other products based upon information received from or through the NCOALink Product technology. Any efforts to do so are outside the scope of this Agreement, are in breach of this Agreement, and compel the immediate, automatic termination of this Agreement per Section 10.
The USPS Grant. 3.1. So long as exercised strictly in accordance with the terms and conditions set forth in this Agreement, USPS grants to Licensee in the Territory for the Term (unless terminated or suspended as set forth below), a non-exclusive, non-transferable, revocable license limited to the Scope and Purpose set forth above to provide Services in the Field of Use using the NCOALink Product with Licensee’s Mail Processing Equipment with an NCOALink MPE Interface Product on one or more Platforms in accordance with the Licensee Performance Requirements incorporated herein by reference and with the other terms and conditions of this Agreement.
3.2. This license is contingent upon Licensee’s compliance with the Licensee Performance Requirements, including changes that USPS makes to the Licensee Performance Requirements.
3.3. USPS does not grant Licensee a right to sublicense, sell or otherwise distribute, reproduce, perform, or prepare derivative works of the Service Materials. Any attempt to sublicense shall be void. All reproductions and derivative works shall be assigned to and delivered to USPS.
3.4. USPS does not grant Licensee a right to develop or use the NCOALink Product, the Service Materials, or any related technology, to compile or maintain address information concerning new movers or to create other products based upon information received from or through the NCOALink Product technology. Any efforts to do so are outside the scope of this Agreement, are in breach of this Agreement, and compel the immediate, automatic termination of this Agreement per Section 10.
The USPS Grant. 3.1. Contingent upon being exercised strictly in accordance with the terms and conditions set forth in this Agreement and within the limits of the Scope and Purpose set forth above, USPS grants to Licensee in the Territory for the Term of this Agreement, until terminated or suspended as set forth below, a non-exclusive, non-transferable, revocable license under the USPS Intellectual Property Rights in the Field of Use to:
3.1.1. use the LACSLink Product and the other Licensed Materials within Licensee’s organization for internal business purposes; and,
3.1.2. use the LACSLink Product and the other Licensed Materials to provide services to third parties in the Field of Use.
3.2. USPS grants Licensee the right to display USPS Trademarks but only appropriately in reference to the LACSLink Product and the USPS in connection with Licensee’s Products and in Advertising and packaging for Licensee’s Products so long as in accordance with the provisions set forth below and contingent upon receipt of USPS’s approval prior to the public display, distribution, or sale of Licensee’s Products or Advertising.
The USPS Grant. 3.1. So long as exercised strictly in accordance with the terms and conditions set forth in this Agreement , USPS grants to Licensee in the Territory for the Term (unless terminated or suspended as set forth below), a non-exclusive, non-transferable, revocable license within the Scope and Purpose set forth above to use the NCOALink Product with an Interface Product in the Field of Use on one or more Platforms at the Site(s) to Update Licensee’s Mailing Lists; however, this grant is contingent upon:
3.1.1. Licensee maintaining its status as an Entity; and
3.1.2. compliance with the Licensee Performance Requirements, including changes or requirements made or added to them by USPS from time to time, which shall be solely within USPS’ discretion and which could include but are not limited to changes to the design, function, reporting requirements, or other components.
3.2. The grant of this license does not include the right to sublicense, sell or otherwise publicly distribute, reproduce, publicly perform, or prepare derivative works of the Licensed Materials;
3.2.1. any efforts to do so shall be in breach of this Agreement;
3.2.2. should any rights arise out of such efforts, Licensee agrees that such rights shall belong to USPS and promises to assign such rights to USPS in writing or to take such other steps as are necessary to effect a transfer of rights; and
3.2.3. any attempt to sublicense this license shall be void;
3.3. The grant of this license does not grant Licensee a right to develop or use the NCOALink Product, the Licensed Materials, or any related technology to compile or maintain address information concerning new movers or to create other products based upon information received from or through the NCOALink Product technology.
The USPS Grant. 3.1. So long as exercised strictly in accordance with the terms and conditions set forth in this Agreement and within the Scope and Purpose set forth above, USPS grants to Developer for the Term of this Agreement, until terminated or suspended as set forth below, in the Territory a non-exclusive, non-transferable, revocable license to use the Licensed Materials to develop one or more Interfaces, each of which must function on only one Platform, for use only with Addresses and only in the SuiteLink Product in the Field of Use in compliance with the Licensee Performance Requirements and the Software Developer Guide.
3.2. This License does not include any express or implied right to market separate or stand-alone products derived from the SuiteLink Product without prior written permission of USPS.
3.3. This License does not include any express or implied right to use Licensed Materials provided or obtained under this License for any purpose outside of the Scope and Purpose of this Agreement other than the fulfillment of requirements under this License.
3.4. The License includes the right to make copies of the Licensed Materials only as specifically authorized and provided for in this Agreement and in the Licensed Materials and only to the extent necessary to develop and test the Interface.

So long as exercised strictly in accordance with the terms and conditions set forth in this Agreement, USPS grants to Licensee in the Territory for the Term (unless terminated or suspended as set forth below), a non-exclusive, non-transferable, revocable license limited to the Scope and Purpose set forth above to provide Services in the Field of Use using the NCOALink Product with an Interface Product on one or more Platforms in accordance with the Licensee Performance Requirements incorporated herein by reference and with the other terms and conditions of this Agreement.
3.2. This license is contingent upon Licensee’s compliance with the Licensee Performance Requirements, including changes that USPS makes to the License Performance Requirements, and/or new requirements that USPS adds to it from time to time, or any future USPS products USPS adds to the Licensee Performance Requirements, as well as the separate License Agreements with USPS for those products.
3.3. This License is further contingent upon the Licensee meeting the requirement that more than fifty per cent (50%) of the address records on Mailing Lists that Licensee Updates each year of this Agreement are Updated as a service for customers unrelated to Licensee.
3.4. USPS does not grant Licensee a right to sublicense, sell or otherwise distribute, reproduce, perform, or prepare derivative works of the Service Materials. Any attempt to sublicense shall be void. All reproductions and derivative works shall be assigned to and delivered to USPS.
3.5. USPS does not grant Licensee a right to develop or use the NCOALink Product, the Service Materials, or any related technology, to compile or maintain address information concerning new movers or to create other products based upon information received from or through the NCOALink Product technology. Any efforts to do so are outside the scope of this Agreement, are in breach of this Agreement, and compel the immediate, automatic termination of this Agreement per Section 10.
The USPS Grant. 3.1. Contingent upon being as exercised strictly in accordance with the terms and conditions set forth in this Agreement and within the limits of the Scope and Purpose set forth above, USPS grants to Licensee in the Territory for the Term of this Agreement, until terminated or suspended as set forth below, a non-exclusive, non- transferable, revocable license under the USPS Intellectual Property Rights in the Field of Use to:
3.1.1. distribute to End Users (see definition for qualifications) under the sublicensing Link terms specified below the Interface and/or xxx XXXX Product for use in the Link LACS System as a component of Licensee’s Products or as a stand-alone product – the foregoing, however, being contingent upon the End Users first legally obligating themselves to the sublicense terms specified below;
The USPS Grant. Contingent upon compliance with the terms and conditions set forth in this Agreement
3.1. USPS grants to Licensee, within the limits of the Scope and Purpose set forth above, for the Term of this Agreement, until terminated or suspended as set forth below, a non-exclusive, non-transferable, revocable, royalty-free license in the Field of Use to:
3.1.1. incorporate the CASS Certified Interfaces as an integral feature into Licensee’s Products that have application only in the Field of Use:
3.1.2. market the CASS Certified Interface as a component of Licensee’s Products and the SuiteLink Product to potential Users and Manufacturers of MLOCRs apparently willing to enter into the Sublicense Agreement;
3.1.3. distribute the CASS Certified Interface (as a component of Licensee’s Products) and the SuiteLink Product to Users in accordance with the sublicensing requirements set forth in Section 5.4 below;
3.1.4. distribute the CASS Certified Interface (as a component of Licensee’s Products) and the SuiteLink Product to Manufacturers of MLOCRs and to sublicense them to incorporate the same in the MLOCRs in accordance with the sublicensing requirements set forth in Section 5.2 below; and
3.1.5. sublicense the Manufacturers the right to sub-sublicense the MLOCR Customers the use of CASS Certified Interfaces and the SuiteLink Product in the MLOCRs in accordance with the applicable sublicensing requirements set forth in Section 5.3 below; so long as Licensee regularly and timely distributes the most up- to-date version of the SuiteLink Product to Users and Manufacturers to whom Licensee has distributed Licensee’s Products in accordance with the Licensee Performance Requirements.
3.2. USPS will not object if Licensee engages Entities to act as Interface Marketing Agents or Interface Resellers to market and to handle distribution of the CASS Certified Interface (as a component of Licensee’s Products) on behalf of Licensee according to the terms and conditions of this Agreement to Users who agree to be bound by the terms and conditions of the Sublicense Agreement and enter into and execute the Sublicense Agreement with the Licensee directly (and not the Interface Marketing Agent or Interface Reseller); and
3.3. USPS grants Licensee the right to display USPS Trademarks but only appropriately in reference to the SuiteLink Product and the USPS on Licensee’s Products and in Advertising and packaging for Licensee’s Products so long as in accordance with the provisions set forth ...
