Third Party Activities. Nothing in this Agreement shall be construed to provide any rights or benefits whatsoever to any party other than CITY and ENGINEER.

To FibroGen’s knowledge, except as disclosed in a writing of even date herewith by FibroGen to AstraZeneca, there are no activities by Third Parties that would constitute infringement or misappropriation of the FibroGen Technology (in the case of pending claims, evaluating them as if issued).

IM, in a development program with a Third Party outside of the CDP Field, may determine that a specific Product, or an Agreement Compound within a TFS, created pursuant to this CDP may have efficacy for an application outside the CDP Field (“Third Party Opportunity”). IM will promptly notify ATMI and the Operating Committee of any such Third Party Opportunity and, if ATMI so chooses, IM will use all reasonable efforts to engage ATMI as the materials vendor for that program. IM agrees that it will not use the said Product or Agreement Compound outside the CDP Field with a materials vendor who is a direct competitor of ATMI, or otherwise, without agreeing to pay ATMI reasonable compensation for IM’s use of the Product and or Agreement Compound outside the CDP Field. The Operating Committee shall meet promptly after notification by IM to determine, for the specific IM development program with a Third Party, reasonable compensation by IM to ATMI. Disagreement of the Operating Committee regarding such compensation may be submitted for escalation to the chief executive officers of the parties pursuant to the Agreement. If such escalation does not result in a mutually agreed compensation plan, then the revenue share or royalty amounts may be decided by an arbitrator as expressly set forth in this CDP.

Daniels, City Manager Date Xxxxxxx-Xxxxxxxx, Inc. (FMI) is pleased to submit this proposed scope of work for the above referenced project. This project consists of surveying and engineering design for a new 8-inch PVC replacement water line along Bowie Street between Lovers Lane and Xxxxxx Road and York Street from Brazos to Redbud. Professional Engineering design services for the above-mentioned project will include field survey, design and preparation of plans and specifications for the project, assistance bidding the project and contract administration. The Scope of Work is further described in the following section “Design Services”.
1. Conduct an initial meeting with City staff to further define and develop design criteria and to obtain existing information such as pertinent “as-built” plans and contract and other information available for the project.
2. Conduct a site investigation with City Staff and Project Surveyor.
3. Surveying for Design including: • Establish horizontal and vertical control based on the City of Xxxxxx’x control and monument system to establish survey control points. • Conduct field surveying to locate existing and adjacent property corners. Franchise utilities will be requested to locate their facilities so they can be included in the preliminary design. • Locate existing water meters, valves, fire hydrants for inclusion on the plans. • Perform topographic surveys for the project site. All visible improvements and trees with in the project limits will be located and surveyed. Franchise utilities located by 811 will be surveyed for placement on the plans. Visible water, sanitary sewer, storm sewer lines, and other improvements will be located and surveyed. If necessary, existing utilities uncovered by the City of Xxxxxx will also be surveyed. A survey Base File for civil design will be prepared.
4. Utilizing the data a preliminary design will be made. This 30% design will be submitted for review and approval by the City Staff.
5. FMI will prepare an opinion of probable construction costs for the project utilizing the 30% preliminary design.

Third Party Activities. For the avoidance of doubt, CABG acknowledges that SURMODICS cannot prevent third parties (including other SURMODICS Drug-Delivery Coatings licensees), from incorporating Compounds of interest to CABG into Drug-Delivery Coatings. If any third party (including other SURMODICS Drug-Delivery Coatings licensees), incorporates Compounds of interest to CABG into Drug-Delivery Coatings, nothing in this Agreement shall be construed as (A) requiring SURMODICS to attempt to prevent such third parties from doing so, or (B) relieving CABG of its obligations to SURMODICS (including without limitation the obligation to pay royalties according to the terms of this Agreement). In addition, if any third party incorporates Compounds of interest to CABG into Drug-Delivery Coatings, CABG shall not bring any action against SURMODICS for having supplied, or continuing to supply Reagents to such third party.
