Third Party Assistance a. The parties may call upon competent professional and lay representatives to consider matters under discussion and to make suggestions.
b. Attendance of such professional and lay representatives (consultants) to the negotiating meeting will be by mutual agreement between the chairpersons of both negotiating groups.
c. In courtesy to the negotiating participants, agreement shall be sought as early as possible before meeting time.
Third Party Assistance. Rizzetta reserves the right to engage a third party for the purpose of assisting Rizzetta in carrying out the services outlined in this Agreement.
Third Party Assistance. Without limitation to the last sentence of Section 7.1.7, the Power Marketer may from time to time submit proposals to the Management Committee for the Company to engage consultants, advisors or other Persons to assist with the Power Marketing Services, and if approved, such arrangements will constitute Project Agreements, but the Power Marketer (a) shall have no authority to enter into such arrangements on behalf of the Company and (b) shall have no right to be reimbursed by the Company if it separately enters into such arrangements, notwithstanding that the Company may have benefited from such arrangements.
Third Party Assistance. Some organizations choose to have third parties assist with their operations (e.g., implementation or operational services, outsourcing, administrative staff augmentation, hosting) and would like such third parties to have access to Epic Confidential Information. To protect confidentiality and reduce Your involvement in disputes that may arise, before providing such access You will work with Epic to ensure the access is covered by a written agreement between the third party and Epic, and You will only provide access as provided in that agreement. In addition, in certain cases Epic may rely more heavily on Your management and control of a third party, and You may need to sign a multi-party agreement with Epic, the third party, and possibly certain of the third parties’ employees. For example, since the Program Property is licensed for use in the United States and international access can pose security and other concerns, You may need to sign an agreement permitting access outside the United States. Epic also may decline to enter into an agreement with the third party in certain circumstances, e.g., due to concerns about intellectual property protections in the country in which the third party operates, its security or confidentiality practices, Epic’s or other customers’ past experiences with the third party, or misappropriation of Epic’s intellectual property for overlapping software development.
Third Party Assistance. Costs of Subcontracts and external services shall be allowable costs in accordance with Article 3 of this Annex.
Third Party Assistance. 3.1 If it has not been possible to resolve the dispute through this series of meetings, both parties may consider whether to involve third-party assistance, from ACAS or the Greater London Provincial Council (GLPC).
Third Party Assistance. In performing its obligations under this Agreement (more specifically, in developing and manufacturing the Final Product(s) and in providing each Deliverable), a Developer shall not cooperate or collaborate with any third party without the prior written consent of the other Developer, which consent may be withheld at the other Developer’s sole discretion, provided that, either Developer may retain subcontractors or may subcontract in performing its obligations under this Agreement. For the avoidance of doubt, either Developer may hire contract-based engineers as needed for its performance under this Agreement.
Third Party Assistance. AVT shall have no objection to the provision of technical assistance regarding the Products to Kuni by a third party not located within the United States. Kuni shall contract directly with such third Party and shall be responsible for all payments to the third party for such technical assistance.
Third Party Assistance. In reviewing Project plans, designs, applications, and other items, the City may contract with a third-party architect or other professional with appropriate expertise to assist the Planning Director. The selection of the architect or professional will be determined by the Planning Director, subject to the approval by XXX, which will not be unreasonably withheld. The EHA shall reimburse the City for the costs of such third party.
Third Party Assistance. A. At the conclusion of scheduled bargaining either party may request mediation services from the Federal Mediation and Conciliation Service (FMCS). The party seeking assistance from FMCS will be responsible for contacting FMCS.
B. Either party may request that FMCS release the bargaining dispute to the Federal Service Impasses Panel (FSIP) after bargaining with mediation assistance has been conducted in good faith. The FMCS mediator shall ensure that the Parties have fully negotiated over every contested issue before an impasse may be declared. The utilization of mediation and the involvement of the FSIP does not, in any respect, preclude the Parties from engaging in direct negotiations at any time to attempt to resolve the disputes at issue.
C. The Parties will make a good faith effort to resolve negotiability disputes during negotiations, prior to NTEU filing a petition for review under 5 CFR Part 2424. Absent a request for, or XXX providing written declarations of non−negotiability, the Parties may set aside issues of negotiability and continue to bargain the remaining issues consistent with Section 13.02(F) above. Absent mutual agreement, no part of the issues will be severed from the entire agreement and implemented or moved to the FSIP prior to the resolution of any outstanding negotiability petitions. Where proposals/provisions are found to be negotiable, the Parties will meet as soon as practicable to commence bargaining.
