Title and Job Description. The Employee shall be employed on a full-time basis, as Senior Vice President, Marketing of the Company. In such capacity, the Employee shall be responsible for the marketing operations of the Company and any other responsibilities reasonably assigned by the Company from time to time. If, at any time during the first year of the term of the Employment Agreement, (i) Company terminates Employee’s employment without “cause”, or (ii) a “change of control” occurs and thereafter the Employee is terminated, or after a change in control, employee voluntarily terminates his employment with the company for “good reason.” Company shall pay Employee a lump sum equal to fifty percent (50%) of Employee’s annual base salary. If any such event occurs after the first anniversary of the Employment Agreement, Company shall pay Employee a lump sum equal to seventy-five (75%) of Employee’s annual base salary, For the purpose of this section, “cause” is defined as: embezzlement; misappropriation of funds; conviction of a felony or commission of any act which would rise to the level of a felony; commission of other acts of dishonesty, fraud or deceit; material breach of any provision of this Agreement; habitual or willful neglect of duties; breach of fiduciary duty to the Company involving personal profit; or significant violation of Company policy or other contractual, statutory or common law duties to the Company.

The Employee shall perform his duties and responsibilities in, and the principal office at which the Employee is employed shall be, the Company’s offices in Centennial, Colorado and at such other location(s) to which the Company may reasonably require the Employee to travel for Company business purposes.”

The Employee shall perform her duties and responsibilities in, and the principal office at which the Employee is employed shall be, the Company’s offices in Centennial, Colorado and at Doc#: US1:15514331v4 such other location(s) to which the Company may reasonably require the Employee to travel for Company business purposes.”

The Employee shall be employed on a full-time basis, as the President and Chief Executive Officer of the Company and of Parent and will be elected to serve as a member of the Board of Directors (the “Board”) of Parent at the next meeting of the Board and, from and after the date of his election, shall continue to be nominated to serve on the Board so long as he is then serving as the President and Chief Executive Officer of the Company or Parent. In such capacity, the Employee shall be responsible for such duties and any other responsibilities as are customary for such positions and such duties as may reasonably assigned by the Board from time to time. The Employee shall report directly and exclusively to the Board. The Employee shall perform his duties and responsibilities in, and the principal office at which the Employee is employed shall be, the Company’s offices in Denver, Colorado and at such other location(s) to which the Company may reasonably require the Employee to travel for Company business purposes. Notwithstanding anything to the contrary in this Agreement or any Company policy: (a) serve as a director or trustee of other for-profit corporations or businesses that are not in competition with the business of the Company or any of its affiliates, present or future; provided that, the Employee shall promptly notify the Company of each for-profit corporation or business on which he serves as a director or trustee, and if the Company determines that a directorship would be with a competitive entity, it shall notify the Employee in writing and the Employee shall have a reasonable period of time to resign such directorship; (b) serve on civic or charitable boards or committees; and (c) fulfill speaking engagements; provided, however, that the Employee may not engage in any of the activities described in this Section 1 to the extent such activities materially interfere with the performance of the Employee’s duties and responsibilities to the Company.

The Employee shall be employed on a full-time basis, as the President of Dice, which encompasses Dice Holdings, Inc.’s Tech & Clearance segment, which shall include the Slashdot Media business. In such capacity, the Employee shall be responsible for such duties and any other responsibilities reasonably assigned by the Company from time to time consistent with this position. The Employee shall report to the Chief Executive Officer of the Company or such other senior operating officer designated by the Board. Employee’s principal place of employment shall be in the San Francisco bay area, CA, and Employee shall not be required to relocate his principal place of employment outside such area without Employee’s consent.
