Union Dues Deduction Authorization. 5.1.1 The University will make deductions each pay period from the pay of employees for regular Union dues as identified by the Union, within thirty (30) days of receipt; provided the Union provides to the University a written authorization from the employee for such deductions, which will be made on a Union payroll deduction authorization card or form. The Union will notify the University payroll office in writing at least thirty (30) days in advance of any changes in its fees.

Union Dues Deduction Authorization. All employees in the bargaining units defined herein who, one hundred and eighty (180) days from the date of hire are members in good standing of the Union, are required to pay the Union a dues deduction as permitted by the provisions of Section 4117.09 (C) of the Ohio Revised Code. Nothing herein shall be construed as requiring any employee in the bargaining unit to become a member of the Union as a condition for serving or retaining employment or any benefits under this Agreement. The Union will indemnify, save, and hold the City and its agents and employees harmless from any action growing out of deductions hereunder and commenced by an employee or anyone else against the City or the City and the Union jointly. The City will deduct from the wages the regular monthly Union dues of members. Deductions shall be made from the weekly or bi-weekly pay of all employees. In the event an employee’s pay is insufficient for the deduction, the City will deduct the amount from the employee’s next regular pay where the amount earned is sufficient. All deductions shall be transmitted to the proper officers of the Union no later than fifteen (15) days following the end of the pay period in which the deduction is made, and upon receipt, the Union shall assume full responsibility for the disposition of all funds deducted.   • Organization; Authority Such Purchaser is either an individual or an entity duly incorporated or formed, validly existing and in good standing under the laws of the jurisdiction of its incorporation or formation with full right, corporate, partnership, limited liability company or similar power and authority to enter into and to consummate the transactions contemplated by the Transaction Documents and otherwise to carry out its obligations hereunder and thereunder. The execution and delivery of the Transaction Documents and performance by such Purchaser of the transactions contemplated by the Transaction Documents have been duly authorized by all necessary corporate, partnership, limited liability company or similar action, as applicable, on the part of such Purchaser. Each Transaction Document to which it is a party has been duly executed by such Purchaser, and when delivered by such Purchaser in accordance with the terms hereof, will constitute the valid and legally binding obligation of such Purchaser, enforceable against it in accordance with its terms, except: (i) as limited by general equitable principles and applicable bankruptcy, insolvency, reorganization, moratorium and other laws of general application affecting enforcement of creditors’ rights generally, (ii) as limited by laws relating to the availability of specific performance, injunctive relief or other equitable remedies and (iii) insofar as indemnification and contribution provisions may be limited by applicable law.
