Uniqueness. 8.1 Employee agrees that his services hereunder are special, unique and extraordinary and that in the event of any material breach or attempted material breach of this Agreement by Employee including, without limitation, the provisions of Section 7, 9 and/or 10, the Company will sustain substantial injury and damage, and Employee hereby consents and agrees that, in the event of such breach hereof, the Company shall be entitled to any equitable remedies to enforce the performance against Employee or any third party to prevent or in respect of any such breach, in addition to such other rights or remedies available to it.
Uniqueness. 1.2.1 The parties agree and recognize that Nicola Valley Institute of Technology is a unique Aboriginal post secondary institution that has a preference for hiring Aboriginal staff, teaching Aboriginal curriculum, and maintaining Aboriginal culture, values and traditions.

Uniqueness. Artist's performances hereunder, and the rights and privileges granted to Company by Artist hereunder, are of a special, unique, unusual, extraordinary, and intellectual character, which gives them a peculiar value, the loss of which cannot be reasonably or adequately compensated for in damages in an action at law and a breach by Artist of any of the provisions of this agreement will cause Company irreparable injury and damage. Artist expressly agrees that Company will be entitled to injunctive and other equitable relief to prevent a breach of this agreement or any portions thereof by Artist. Such relief shall be in addition to any other rights for damages or otherwise to prevent a breach of this agreement or any portion thereof by Artist and shall be applicable only to the making or the authorizing of the making of phonograph /CD/CASSETTE recordings. Company may at any time(s) guarantee in writing payments at the rate of $6,000 or more per year for whatever lengths of time Company desires to.
Uniqueness. 8.1. In signing this Agreement, Employee gives the Company assurance that Employee has carefully read and considered all the terms and conditions of Article VII, Article IX, and/or Article X. Employee agrees that these restraints are necessary for the reasonable and proper protection of the Company and its affiliates and their trade secrets and Confidential Information and that each and every one of the restraints is reasonable in respect to subject matter, length of time and geographic area, and that these restraints, individually or in the aggregate, will not prevent Employee from obtaining other suitable employment during the period in which Employee is bound by the restraints. Employee acknowledges that each of these covenants has a unique, very substantial and immeasurable value to the Company and its affiliates, that Employee has sufficient assets and skills to provide a livelihood while such covenants remain in force and that, as a result of the foregoing, in the event that Employee breaches such covenants, monetary damages would be an insufficient remedy for the Company and equitable enforcement of the covenant would be proper. Employee therefore agrees that the Company, in addition to any other remedies available to it, will be entitled to preliminary and permanent injunctive relief against any breach by Employee of any of those covenants, without the necessity of showing actual monetary damages or the posting of a bond or other security. Employee and the Company further agree that, in the event that any provision of Article VII, Article IX, and/or Article X is determined by any court of competent jurisdiction to be unenforceable, that provision will be deemed to be modified to permit its enforcement to the maximum extent permitted by law. Employee further covenants that Employee will not challenge the reasonableness or enforceability of any of the covenants set forth in Article VII, Article IX, and/or Article X. It is also agreed that each of the Company’s affiliates will have the right to enforce all of Employee’s obligations to that affiliate under this Article VII, Article IX, and/or Article X. The provisions of Article VII, Article IX, and/or Article X shall survive the termination, for any reason, of this Agreement or Employee’s employment, unless the Change in Control Agreement governs as provided in Section 4.3.

Uniqueness. The Prince Xxxxxx School District faces the unique challenge of being a geographically large district, with three outlying communities included within our boundaries. Approximately 7% of our student population live in XxXxxxx (two hours east), Valemount (three hours east), and Mackenzie (two hours north). Our district has a significant segment of population defined as vulnerable. According to the Ministry of Children and Family Development Social Services Index of 1,572 schools in British Columbia, five of School District No. 57’s schools are in the top 50 most vulnerable. The majority of our at-risk students are located in the inner city of Prince Xxxxxx. The numbers of students in care or on income assistance continues to rise in many of our schools throughout the district. Vulnerability also affects many of the students who travel or move to School District No. 57 to attend school. In particular, we receive a number of Aboriginal students from outlying and remote areas of the north who stay with friends or relatives when they come to Prince Xxxxxx to attend school.
