Vacation Pay and Personal Holidays. The Purchaser shall cause the Company to continue to credit to each Retained Employee all vacation and personal holiday pay that the Retained Employee is entitled to use but has not used as of the Closing Date (including any earned vacation or personal holiday pay to be used in future years), and shall assume all liability for the payment of such amounts, but only to the extent that such amounts are reflected in Working Capital.
Vacation Pay and Personal Holidays. Parent will continue, and cause its Affiliates to continue, to credit to each Company Employee all vacation and personal holiday pay that the Company Employee is entitled to use but has not used as of the Closing Date (including any earned vacation or personal holiday pay to be used in future years) subject to Parent’s vacation day carryover policy.

Buyer shall credit to each Retained Employee all unpaid vacation and personal holiday pay for calendar year 2006 that the Retained Employee is entitled to use for calendar year 2006 but has not used as of the Effective Time and shall assume all liability for the payment of such amounts pursuant to the Seller vacation and personal holiday pay policies listed in Schedule 4.16(e) to the extent such vacation and holidays are taken in calendar year 2006; provided, however, that no credit under this Section 7.3(e) shall duplicate any credit under Section 7.3(c)(iii).

Buyer shall cause the Companies and the Transferring Subsidiaries to continue to credit to each Retained Employee in accordance with the terms and conditions of Buyer’s Plans all vacation and personal holiday pay that the Retained Employee is entitled to use but has not used as of the Effective Time to the extent the relevant plan, policy or arrangement is set forth on Schedule 4.16(e) of the Seller Disclosure Schedule, and shall assume all liability for the payment of such amounts to the extent accrued prior to the Effective Time pursuant to the Seller vacation and personal holiday pay policies listed in Schedule 4.16(e) of the Seller Disclosure Schedule.
Vacation Pay and Personal Holidays. Buyer shall credit to each Transferred Employee all vacation and personal holiday pay that the Transferred Employee is entitled to use but has not used as of the Effective Time pursuant to Sellers' vacation and personal holiday pay policies listed in Section 6(n) of the Disclosure Schedule (including any earned vacation or personal holiday pay to be used in future years), and shall assume all liability for the payment of such amounts.

The Purchaser will cause the Surviving Corporation or any Company Subsidiary to credit each Company Employee who is not a Foreign Employee with up to 160 hours of vacation and personal holiday accrual that such Company Employee is entitled to use but has not used as of the Closing Date (including any earned vacation or personal holiday pay to be used in future years), and will assume all Liability for the payment of such amounts (the “Assumed Vacation Accrual”). On or prior to the Closing Date, the Company will pay to the Company Employees all accrued vacation and personal holiday accrual in excess of 160 hours in a lump sum, less all applicable Taxes. After a Company Employee has used his or her portion of the Assumed Vacation Accrual, the Company Employee will participate in the vacation and other paid time off policies of the Purchaser applicable to similarly situated employees of the Purchaser. Purchaser’s commitment to credit paid time off or other leave for Company Employees who are Foreign Employees shall adhere to applicable foreign law and any applicable Foreign Employment Contract.
Vacation Pay and Personal Holidays. The Purchaser shall, or shall cause the Company and its Subsidiaries to, honor all vacation and paid time off that have been previously scheduled by the Retained Employees in the ordinary course of business of the Company and its Subsidiaries and consistent with past practice but have not been taken as of the Closing.
Vacation Pay and Personal Holidays. To the extent reflected in the Net Working Capital, Buyer will (i) cause the Company to continue to credit to each Retained Employee all vacation and personal holiday pay that the Retained Employee is entitled to use but has not used as of the Closing Date, including any earned vacation or personal holiday pay to be used in future years, which shall be administered in accordance with the vacation policies of Buyer or an Affiliate of Buyer following the Closing Date, and (ii) will assume all liability for the payment of such amounts.

Buyer shall cause Mervyn’s to continue to credit to each Retained Employee all vacation and personal holiday pay that the Retained Employee is entitled to use but has not used as of the Effective Time (including any earned vacation or personal holiday pay to be used in future years), and shall assume all liability for the payment of such amounts pursuant to the Target vacation and personal holiday pay policies listed in Section 4(o) of the Disclosure Schedule.
