Virtual Meetings. Notwithstanding any other provision of these By-laws, pursuant to Section 3806(b)(5) and (f) of the Delaware Statutory Trust Act, the Board of Trustees shall have the power and authority to determine that any annual or special meeting of Shareholders be held solely by means of conference telephone or other communications equipment, in lieu of being held at any designated place, and participation in such a meeting shall constitute presence in person at the meeting. Any such meeting shall be subject to such guidelines and procedures as the Board of Trustees may adopt and the notice for any such meeting need not designate a “place” of the meeting if it is to be held solely by means of conference telephone or other communications equipment. The Trustees may, in their sole discretion, notify Shareholders of any postponement, adjournment or a change of the place of a meeting of Shareholders (including a change to hold the meeting solely by means of remote communication) by a document publicly filed by the Trust with the Securities and Exchange Commission (“SEC”) without the requirement of any further notice hereunder.
Virtual Meetings. 8.1 For the purposes of these rules a virtual meeting between a number of Trustees who constitute a quorum and who participate via telephone, video, or web conferencing facilities, shall be deemed to constitute a meeting of the Trustees. All the provisions in these rules relating to meetings shall apply to virtual meetings so long as the following conditions are met:
(a) all of the Trustees for the time being entitled to receive notice of a meeting shall be entitled to notice of a virtual meeting and to be linked for the purposes of such a meeting. Notice of a virtual meeting may be given by telephone, email or other electronic media;
(b) throughout the virtual meeting each participant must be able to hear each of the other participants taking part;
(c) at the beginning of the virtual meeting each participant must acknowledge his or her presence for the purpose of that meeting to all the others taking part;
(d) a participant may not leave the virtual meeting by disconnecting his or her telephone, computer or other means of communication without first obtaining the Chairperson's express consent. Accordingly, a participant shall be conclusively presumed to have been present and to have formed part of the quorum at all times during the virtual meeting unless he or she leaves the meeting with the Chairperson's express consent;
(e) a minute of the proceedings at the virtual meeting shall be sufficient evidence of those proceedings, and of the observance of all necessary formalities, if certified as a correct minute by the Chairperson of that meeting.
Virtual Meetings. Meetings of the Executive Board may also be held by teleconference or other telecommunication means.
Virtual Meetings. A member or alternate member may participate in a meeting of the Management Board virtually provided that the method used permits all persons participating in the meeting to hear each other. The member participating virtually will be deemed to be present at that meeting.
Virtual Meetings. A meeting of the Board or any committee of the Board may be held, or a Trustee may participate in a meeting of the Board or any committee of the Board, by means of telephone or such other communication facilities which permit all individuals participating in the meeting to speak to and hear each other, and a Trustee participating in a meeting by that means is deemed to be present at the meeting and will be counted in determining whether a quorum is present.
Virtual Meetings. All meetings, bargaining sessions, and mediation may be conducted virtually at the option of either party.
Virtual Meetings. All required meetings, including staff meetings, grade level meetings, department meetings, and professional development meetings shall be conducted virtually.
Virtual Meetings. Provider’s COVID-19 response plan shall address the following items related to virtual meetings: • What is your agency’s practice and availability for virtual meetings for the clients that we serve?
Virtual Meetings. Teachers may attend virtual CTPF Board meetings and committee meetings or educational conferences without being required to be in their classroom or other CPS work location, absent emergency circumstances. For CTPF Board and Committee meetings or educational conferences scheduled for less than four hours during the work day, Trustees will report to their CPS worksite in person for the remainder of the work day.
Virtual Meetings. Teachers will schedule regular class meetings and one-on-one student meetings to assist students with their learning and to check-in with and maintain positive relationships with their students/families. Meetings will be scheduled at the teacher’s discretion, dependent upon the teacher’s schedule and the scheduling needs of their students/families.
