WARRANTIES FOR SERVICES. 3.1. Without limiting any guarantees in law, you guarantee that the Services will be performed by competent and duly qualified personnel and will strictly comply with the provisions of the Order. 3.2. We have the right, in our discretion, to determine whether the Services comply with the Order and to demand that you correct any defects in the Services immediately after you have been notified of such defects. 3.3. You will be liable for the cost of correcting defects in the Services and for our damages incurred as a result of the supply of the defective Services. 3.4. Should you fail to remedy the defects in the Services, we shall be entitled to procure the supply of the Services from a third party and recover our costs and/or damages from you.

WARRANTIES FOR SERVICES. 11.1. We warrant that the Services will be performed by competent and duly qualified personnel. 11.2. We undertake to rectify or correct defects in the Services within a reasonable time after such defects have been pointed out to us by you. You shall, within five (5) days of completion of Services, report any defects in writing to us and the onus shall be on you to prove the correctness of any allegations made as to such defects. Our responsibility for repairing defects is limited to activities which form part of our scope of work. 11.3. The foregoing represents our sole obligation to you and is your sole remedy with regards to defects in the Services. 11.4. Where we have supplied only concept engineering services, informative statements such as masses and dimensions are given as guideline figures only and you shall not be entitled to make any claim against us arising out of variations, discrepancies or apparent errors in such informative statements. 11.5. It shall be your responsibility to purchase equipment where specified in strict accordance with our design specifications. We shall not be responsible for performance deficiencies which arise from equipment procured by you in accordance with the design specifications prepared by us if such equipment has not been procured in strict accordance with our specifications. 11.6. Under no circumstances will we be responsible for any, incidental, indirect or consequential damages arising from our performance of the Services and/or breach of contract and/or warranty. Notwithstanding anything to the contrary contained elsewhere in the Contract, our total liability for all matters under the Contract shall be limited to the Contract value.
WARRANTIES FOR SERVICES. Supplier warrants the following: (i) Supplier shall use its best efforts to perform the Services and, at a minimum, Supplier shall perform the Services in conformity with the highest standards of the industry practiced by reputable suppliers performing work of a similar nature at the time and place the Services are provided; (ii) Supplier shall comply with all applicable laws, standards and regulations, whether governmental or industrial, in effect at the time the Services are provided; (iii) prior to performing any Services, Supplier will obtain any permits or licenses, and take all other actions required, to comply with all applicable laws, standards and regulations, whether governmental or industrial, in effect at the time the Services are provided; (iv) the Services will not violate or in any way infringe upon the intellectual property rights of third parties; and (v) Supplier is not subject to and will not enter into any agreements or arrangements which hinder compliance with the provisions of this Contract. Supplier warrants that all of its employees and sub-suppliers, and all other persons or entities acting on its behalf in the performance of this Contract, shall agree to and abide by the warranties set forth herein.
WARRANTIES FOR SERVICES. 14.3.1. Provided that the Equipment has been maintained in accordance with paragraph 9.2, we warrant that the Services shall be performed: 14.3.1.1. by suitably qualified personnel; 14.3.1.2. using all reasonable skill and care and in accordance with Good Industry Practice (meaning in relation to any undertaking and any circumstances, the exercise of skill, diligence, prudence, foresight and judgement and the making of any expenditure that would reasonably be expected from a skilled person engaged in the same type of undertaking under the same or similar circumstances; and 14.3.1.3. in accordance with all applicable laws and regulations in force from time to time.
WARRANTIES FOR SERVICES. 6.1 LC represents and warrants that: 6.1.1 it has authority to enter into this Agreement and to grant the rights granted to the Client hereunder; 6.1.2 the provision of the Services and all Statements of Work will not violate any applicable law or regulation, any consent order or judicial decree, or any agreement with any third party; 6.1.3 the personnel recommended by LC for the Client selection are qualified, experienced, professional and have the capability and technical skills to perform the Statement of Work; 6.1.4 the Services provided by LC will be performed in a professional manner with due skill and care and diligence and in according to industry standard (if applicable); 6.1.5 neither the provision nor the performance of the Services or any Statement of Work including any deliverables under any Statement of Work will in any way constitute an infringement or other violation of any Intellectual Property Rights of any third party; 6.1.6 it owns or has obtained valid licences of all Intellectual Property Rights used by it which are necessary to the performance of the Services and all Statements of Work; 6.1.7 the Services shall be provided in accordance with the Client requirements and specifications and any service levels as set out in all Statements of Work; and 6.1.8 its personnel performing the Services do not have any criminal records, are not declared bankrupts, are of sound mind, have the capacity to contract and can legally and fully perform the Services. 6.2 In relation to each deliverable stated under any Statement of Work (if any and for Project Basis only), LC shall provide a warranty for the period of sixty (60) days from the date of acceptance of such deliverable unless otherwise stated in the relevant Statement of Work (the “Warranty Period”). Any defect during the Warranty Period shall be rectified by LC at its costs. In the event LC fails to rectify the same during the Warranty Period, the Client shall be entitled to either appoint a third party to rectify the same, the costs of which shall be borne by LC or request for refund of Charges paid for such deliverables (or if not paid the Client shall not be required to pay such Charges). 6.3 In the event that LC breaches any of the aforesaid warranties, the Client shall give written notice to LC to remedy such material breach and Clause 9.1.1 shall apply accordingly.

Third-party product warranties, if any, are provided by the manufacturer or publisher of the product, DataVault Solutions makes no warranties whatsoever coverin third-party products or licensin. DataVault Solutions hereby warrants that any products or materials to be installed by DataVault Solutions en ineers will be installed in a professional manner in accordance with enerally applicable industry standards and in accordance with the requirements of this a reement.

WARRANTIES FOR SERVICES a. ITN hereby warrants and represents that all Services provided under this Agreement shall be performed in a professional manner, promptly and with diligence, in accordance with the description of such Services in this Agreement, including the Attachments. ITN further warrants that neither ITN nor its representatives and employees shall represent themselves as employees of AAS, but shall represent themselves only as employees of ITN. ITN represents that in providing Services, it will not disparage AAS or attempt to reduce AAS' revenues. b. AAS shall notify ITN of any instance where such Services are considered to be unsatisfactory. Upon receipt of any such notice, ITN shall, at no additional charge to AAS, take prompt action to correct such unsatisfactory Services. c. ITN will use its best efforts to assure that advertising copy is accurate and in accordance with current AAS Ethics, Publishing and Premium Space Policies. Without in any way limiting the obligations set forth in the section entitled "Indemnification," each party agrees to absorb the cost of all adjustments that are required to be made because of advertising and copy errors which are exclusively the fault of such party.

In the event of a breach of Healtheon's representations and warranties under this Section 9.1. Healtheon's sole obligation shall be to use commercially reasonable efforts to promptly correct any defects identified by BSC in a time frame reasonable to the impact of the defect or within established service levels as defined in the relevant Service Exhibits. Healtheon does not represent or warrant that all defects can be corrected.
