Xxxxxxxx's Representations. The Borrower is duly organized, validly existing and in good standing under the laws of the jurisdiction of its organization with full power and authority to own, lease, license and use its properties and assets and to carry out the business in which it proposes to engage. The Borrower has the requisite corporate power and authority to execute, deliver and perform its obligations under this Note and to issue and sell this Note. All necessary proceedings of the Borrower have been duly taken to authorize the execution, delivery, and performance of this Note. When this Note is executed and delivered by the Borrower, it will constitute the legal, valid and binding obligation of the Borrower enforceable against the Borrower in accordance with their terms, except as such enforceability may be limited by general principles of equity or to applicable bankruptcy, insolvency, reorganization, moratorium, liquidation and other similar laws relating to, or affecting generally, the enforcement of applicable creditors' rights and remedies.

Xxxxxxxx's Representations. By execution hereof, the signatories warrant and represent that they have the requisite authority to execute this Agreement and the Related Documents and that the representations made herein, and in the Related Documents, are true and accurate in all respects.
Xxxxxxxx's Representations. Borrower represents and warrants to the City that, to the best of Xxxxxxxx's actual knowledge, without independent investigation or inquiry as of the Agreement Date, the following statements are true and correct except as disclosed in the Phase I Environmental Site Assessment performed by Xxxxxx Engineering and Environmental Services and dated October 2020 and the Phase II Environmental Site Assessment performed by Xxxxxx Engineering and Environmental Services and dated January 2021 or otherwise in writing: (a) the Site is not in violation of any Environmental Laws; (b) the Site is not now, nor has it been, used for the manufacture, use, storage, discharge, deposit, transportation or disposal of any Hazardous Substances, except in limited quantities customarily used in residences and offices and in compliance with Environmental Laws; (c) the Site does not consist of any landfill or contain any underground storage tanks; (d) the improvements on the Site do not consist of any asbestos- containing materials or building materials that contain any other Hazardous Substances; (e) no release of any Hazardous Substances in the improvements on the Site has occurred or in, on, under or about the Site; and (f) the Site is not subject to any claim by any Governmental Agency or third party related to any Environmental Activity or any inquiry by any Governmental Agency (including the California Department of Toxic Substances Control and the Regional Water Quality Control Board) with respect to the presence of Hazardous Substances in the improvements on the Site or in, on, under or about the Site, or the migration of Hazardous Substances from or to other real property.
Xxxxxxxx's Representations. 4.1. Upon concluding this Agreement, the Borrower confirms that it has carefully read the terms of the Agreement (in particular the interest rate of the Loan, payment terms and obligations incurred by the Borrower in the event of default by the Borrower), has clearly and unambiguously understood them and and fully aware of their scope and ready to fulfill them now and in the future. 4.2. The Borrower acknowledges that it is aware of all the legal and economic consequences of concluding the Agreement. 4.3. The Borrower confirms that it has no legal or other obstacles to the conclusion and performance of the Agreement. The Borrower shall act in good faith in concluding and performing the Agreement. 4.4. The Borrower confirms that the information provided in the Agreement about the Borrower is correct and true and can be documented at the request of the Lender. The Borrower agrees to enter into the Agreement and the conclusion of the Agreement is in accordance with the Borrower's direct, actual and free will. 4.5. The Borrower confirms that it has not been declared bankrupt or appointed a temporary trustee, nor is it subject to a business ban. 4.6. The Borrower acknowledges that the Agreement creates a fully binding and unconditional obligation for the Borrower to be performed on a preferential basis over other obligations assumed or to be assumed by the Borrower, unless otherwise provided by law. 4.7. The Borrower confirms that upon concluding the Agreement, the Borrower will not act against him due to the existence of difficult circumstances. 4.8. The Borrower confirms that the Lender has explained to it the possibility to apply for a loan from banks operating in the Republic of Estonia or companies providing the same type of service as the Lender, but the Borrower wishes to enter into an agreement with the Lender. The Borrower also confirms that it is aware of the cost of the credit granted to it under this Agreement, but still wishes to enter into the Agreement. 4.9. The Borrower confirms that the Borrower is a person with legal capacity according to the law of the Republic of Estonia and has unlimited rights and powers to enter into an agreement and to perform the obligations assumed under the agreement. 4.10. The Borrower confirms that the Borrower owns sufficient assets to enable the Borrower to properly perform its obligations under this Agreement.
Xxxxxxxx's Representations. The Borrower makes the following representations as of the date hereof, all of which will continue to be in effect subsequent to the private placement of the Bonds: (a) The Borrower is a corporation duly organized and validly subsisting under the laws of the State of Delaware. (b) The Borrower has full legal power to execute and deliver the Loan Agreement, the Reimbursement Agreement, the Remarketing Agreement, this Placement Agreement, the Loan Documents (as such term is defined in the Reimbursement Agreement) and any and all other documents, certificates and agreements executed by the Borrower in connection with the issuance of the Bonds and the Letter of Credit (collectively, the "Borrower Documents") and to perform its obligations thereunder and hereunder. (c) The Borrower has duly authorized the execution and delivery of the Borrower Documents and the undertaking of its obligations thereunder and hereunder, and the taking of all actions as may be required on the part of the Borrower to carry out the same; and the making and performance of each such agreement will not conflict with, nor constitute a breach of or a default under, any provision of the Articles of Incorporation, By-laws or other constituent documents of the Borrower or any indenture, agreement or other instrument to which the Borrower is a party or by which the Borrower or any of its properties may be bound, or any constitutional or statutory provision or order, rule, regulation, decree or ordinance of any court, government or governmental body to which the Borrower or any of its properties are subject. (d) As of the Closing, the Borrower Documents will be duly executed and delivered by the Borrower, will be in full force and effect, and assuming due authorization, execution and delivery by the other parties thereto, each of the Borrower Documents will constitute the legal, valid and binding obligations of the Borrower, enforceable in accordance with their respective terms, except as enforcement may be limited by equitable principles or by bankruptcy, insolvency, reorganization, moratorium and other similar laws and equitable principles in effect from time to time affecting the enforcement of creditors' rights generally. Xxxxxxxx's Representations. Unless OCII otherwise consents in writing, at all times from and after the date of this Agreement, at its sole expense, Borrower must: (a) comply with all applicable Environmental Laws relating to the Site and the Project, and not engage in or otherwise permit its agents to cause the occurrence of any Environmental Activity in violation of any applicable Environmental Laws or that is not customary and incidental to the intended use of the Site, provided that nothing contained in this Section will prevent Borrower from contesting, in good faith and by appropriate proceedings, any interpretation or application of Environmental Laws; and (b) deliver to OCII notice of the discovery by Borrower of any Environmental Activity on the Site promptly following Xxxxxxxx's discovery.

  • Customer Representations Customer represents and warrants that (i) it has a legitimate business interest or obtained all permissions and consent required by law to transfer the Content so that Xxxxxx Xxxxxxx may lawfully use and process in accordance with this Agreement; and (ii) it has delegated authority to its advisors in providing instructions in connection with the Services, and Xxxxxx Xxxxxxx has no duty to verify such instructions with Customer; and (iii) it will not use the Services for any fraudulent or unlawful purposes, not allow others to do so.

  • Client Representations CLIENT represents to VCS that: a. The execution, delivery and performance of this Agreement by CLIENT and the consummation of the transactions contemplated hereby have been duly authorized by all requisite corporate action; this Agreement constitutes the legal, valid and binding obligation of CLIENT, enforceable in accordance with its terms (except to the extent enforcement is limited by bankruptcy, insolvency, reorganization or other Laws affecting creditors’ rights generally and by general principles of equity); and this Agreement and CLIENT’s performance hereunder does not violate or constitute a breach under any organizational document of CLIENT or any contract, other form of agreement, or judgment or order to which CLIENT is a party or by which it is bound. b. During the Term of this Agreement and for a period of *** (***) months thereafter (except if this Agreement is terminated by CLIENT under Section 11.1(a) or Section 11.1(b), in which case this provision shall not survive termination), CLIENT shall not (i) solicit or hire any VCS Field Force member or pay or offer to pay any VCS Field Force member any compensation or benefits (it being understood that the payments by CLIENT to VCS contemplated by this Agreement will not violate this provision), except, in each case, in connection with a Conversion; (ii) provide any contact information (including name, address, phone number or e-mail address) concerning members of the VCS Field Force to any third party providing (or proposing to provide) contract sales services and promotional services to CLIENT; or (iii) assist actively in any other way such a third party in employing or retaining members of the VCS Field Force. For the purposes of this Agreement, the term “solicit” shall not include general advertising by CLIENT for personnel not specifically directed to a VCS Field Force member. e. CLIENT has the lawful authority necessary to market and sell the Products in all geographic regions where the Products are to be promoted under this Agreement. f. CLIENT is solely responsible for reviewing and approving any of its product promotional materials and literature and any other materials or information provided by it to VCS and for ensuring all such materials or information comply with Laws.

(F) Whenever, in the course of performing its duties under this Agreement, it determines that a violation of Applicable Law has occurred, or that, to its knowledge, a possible violation of Applicable Law may have occurred, or with the passage of time could occur, it shall promptly notify the other party of such violation.

  • Company’s Representations The Company hereby represents and warrants to the Employee that (i) the execution, delivery and performance of this Agreement by the Company do not and shall not materially conflict with, breach, violate or cause a default under any contract, agreement, instrument, order, judgment or decree to which the Company is a party or by which it is bound and (ii) upon the execution and delivery of this Agreement by the Employee, this Agreement shall be the valid and binding obligation of the Company, enforceable in accordance with its terms.
