YOUR LIABILITY AND AUTHORISATIONS. 11.1. You are responsible for the use of your Cards issued, the Account and Payment Instructions issued. You must ensure that any users of your Account (including any Cardholders) understand and comply with this Agreement. 11.2. We may restrict or refuse to authorise any use of your Account and any Cards issued to your Account including transactions in any legal jurisdiction if using the Card or Account is causing or could cause a breach of this Agreement or if we have reasonable grounds for suspecting that either you, a Cardholder or a third party has committed or is about to commit a crime or other abuse in connection with the Card or Account. 11.3. Where appropriate, any refusal to authorise a Card Transaction will be relayed to the Cardholder via the Merchant concerned. 11.4. It is your responsibility to ensure Cardholders sign their Card as soon as they receive it and keep it safe. They must also keep safe any security information or credentials related to the Card, the Account and the App. 11.5. You will be liable for all unauthorised Card Transactions and Payments that arise from the use of a lost or stolen Card or Account security information or the misappropriation of the Card or the App or if you or a Cardholder fails to: 11.5.1. keep the Card and/or security features of the Card and the Account safe; 11.5.2. notify us that the Card is lost or stolen immediately without delay. 11.6. You must ensure you and/or any Cardholders do not: 11.6.1. allow another person to use a Card, PIN or Passcode or security information related to the App. 11.6.2. write down Passcode(s), PIN or any security information related to Card, Account and App unless this is done in a way that would make it impossible for anyone else to recognise any of that information,or 11.6.3. disclose their PIN, Passcode or password or any other security information related to Card, Account and App, or otherwise make them available to any other person, whether verbally or by entering them in a way that allows them to be observed by others; or 11.6.4. enter the PIN in any ATM that does not look genuine, has been modified, has a suspicious device attached or is operating in a suspicious manner. 11.7. You should never allow a third party other than a Cardholder or an Authorised Third Party Provider to use or access your Account 11.8. YOUR LIABILITY AND AUTHORISATIONS. 10.1 You are responsible for the use of your Tide Cards issued and for your relationship with us. You must ensure that all the users of your Tide Cards including the Tide Platform Users and any Tide Cardholders understand and comply with these Tide Card Terms. 10.2 We may restrict or refuse to authorise any use of your Tide Cards issued to your nominated Tide Cardholders including transactions in any legal jurisdiction if: 10.2.1 using the Tide Card is causing or could cause a breach of these Tide Card Terms; 10.2.2 if we have reasonable grounds for suspecting that either you, a Tide Platform User, a Tide Cardholder or a third party has committed or is about to commit a crime or other abuse in connection with a Tide Card; or 10.2.3 if we can no longer process your transactions due to the actions of third parties including if obligations are imposed on us by third parties which mean that we are no longer willing or able to process payment transactions. This includes Mastercard requiring Tide to provide additional security collateral to process your Tide Card Transactions. 10.3 If we restrict or refuse to authorise your use of Tide Cards, your attempted transactions using your Tide Card(s) will be refused by the Merchant. 10.4 If restrict or refuse (or intend to restrict and refuse) any use of your Tide Cards in accordance with clause 10.2.3 then, unless we are prevented from contacting you by reason of law or regulation, we will get in touch with you as soon as possible using our usual means of communication to let you know why we are refusing or intending to refuse to make the payment and how you can rectify any factual errors (if this is what led to the refusal). If there is more than one payment in a day that we refuse or intend to refuse, we may only get in touch with you once per day to let you know why we are refusing to make the payment. If we intend to refuse payments during a period of more than one day, we may only contact you once in advance to let you know that we intend to refuse payments during that period. 10.5 Where appropriate, any refusal to authorise a Tide Card Transaction will be relayed to the Tide Cardholder via the Merchant concerned. 10.6 It is your responsibility to ensure Tide Cardholders sign their Tide Card as soon as they receive it and keep it safe. YOUR LIABILITY AND AUTHORISATIONS. 8.1 You are responsible for understanding and complying with the Agreement including these Terms and Conditions. 8.2 We may at any time suspend, restrict or refuse to authorise any use of your Account and/or Cards (including cancelling Card(s)) or refuse to process your instructions or authorise any particular Transaction where: 8.2.1 we are concerned about the security of or access to your Account and/or Card; 8.2.2 we know or suspect that that your Account and/or Card is being used in an unauthorised or fraudulent manner; 8.2.3 we need to do so in order to comply with the law or otherwise for regulatory or crime prevention purposes; 8.2.4 the Transaction would breach the limits applicable to your Account and/or Card; 8.2.5 you, the Account Manager or the Cardholder break an important part of these Terms and Conditions, or repeatedly break any term in this Agreement and fail to resolve the matter in a timely manner. 8.3 If we cancel, suspend or restrict your Account and/or Card(s), or otherwise refuse to execute a payment order to or to initiate a Transaction, we will, without undue delay and provided we are legally permitted to do so, notify you or the Partner Platform of the refusal, suspension or cancellation (as applicable). If possible, we will provide the reasons for the refusal to execute the Transaction and/or suspending the use of your Account and/or Card and where those reasons relate to factual matters, the procedure of rectifying any factual errors that led to the refusal. 8.4 You or the Account Manager or the Cardholder must not: 8.4.1 allow another person to use security information related to the Account and/or Cards, 8.4.2 write down password(s) or any security information unless this is done in a way that would make it impossible for anyone else to recognise any of that information, or 8.4.3 disclose passwords or any security information, or otherwise make them available to any other person, whether verbally or by entering them in a way that allows them to be observed by others. 8.5 You will be liable for all Transactions that take place as a result of you, the Account Manager or the Cardholder acting fraudulently or failing to comply with these Terms and Conditions with intent or gross negligence. Any such Transactions and any fees and charges relating to such Transactions will be deducted from the Available Balance on your Account. 8.6 You will be liable for all Transactions that the Partner Platform, any other Account Manager makes on ...

  • Authority and Authorization Each of the Consultants has full power and authority to enter into this Plan and carry out the obligations hereunder. Execution of this Plan and performance by the Consultants hereunder constitutes a valid and binding obligation of the Consultants and performance hereunder will not violate any other agreement to which any of the Consultants is a party.

  • COMPLIANCE WITH LAWS AND AUTHORITY Each party shall comply with all applicable laws, rules and regulations in connection with the representation of a Referral including federal and state licensing laws. Each party represents and warrants that it is duly authorized to enter into this Agreement and perform its obligations thereunder. Each natural person signing this Agreement on behalf of an entity represents and warrants that he/she has the requisite authority to so bind the entity.
