FHWA Project Agreements can fund preliminary engineering (design), land acquisition, construction improvements, construction engineering (CE), and utility relocation all under one agreement or each under a separate agreement.The Project Agreement that provides the initial funding for the construction phase is usually signed at the same time that the FHWA issues their Authority to Proceed (ATP) for advertising the construction contract for bids.
Notwithstanding the issuing of any Test Certificate, Milestone Achievement Certificate, and/or conditional Milestone Achievement Certificate (including the Milestone Achievement Certificate in respect of Authority to Proceed), the Service Provider shall remain solely responsible for ensuring that: the Services meet the requirements of this Contract; the Services are implemented in accordance with this Contract; and each Service Level is met from the relevant Operational Service Commencement Date.
This includes: Authority to Proceed which authorises the Repairer to proceed with the repairs on your behalf.
In the event of you being in default of your obligation to pay us within the payment terms as listed in the attached Fee Proposal and Authority to Proceed and the overdue invoice(s) are then referred to a debt collection agency and/or law firm for collection and we are charged commission and/or disbursements and/or legal fees, you agree that you will be liable to pay as a liquidated debt to us any commission, disbursements and legal fees payable by us.
The term of this Agreement shall be effective upon the issuance by PAGCOR of the Authority to Proceed and shall continue to be effective unless otherwise terminated by a party through written notice to the other Parties.
