Branch Employees definition

Branch Employees means the employees of Seller or its Affiliates employed at the Branches (including any employees who are Leave Recipients) in retail banking functions and set forth on the list provided by Seller in accordance with Section 5.15(a).
Branch Employees means the employees of Seller or its Affiliates employed at the Branches or another location of Seller on the Closing Date who provide services directly relating to the operation of the applicable Branch or Branches (including any employees who are Leave Recipients) and set forth on the list provided by Seller in accordance with Section 5.16(a).
Branch Employees means the employees of Seller or its Affiliates employed at the Branches on the Closing Date who provide services directly relating to the operation of the applicable Branch (including any employees who are Leave Recipients) and set forth on the list provided by Seller in accordance with Section 5.16(a), as updated from time to time.

Examples of Branch Employees in a sentence

  • With respect to any Branch Employee, (i) Seller is not the subject of any proceeding seeking to compel it to bargain with any labor organization as to wages and conditions of employment, nor to Seller’s knowledge is any such proceeding threatened, and (ii) no strike or similar labor dispute by the Branch Employees is pending or, to Seller’s knowledge, threatened.

  • In addition, from and after the date of this Agreement until the Closing Date, Purchaser shall consult with Seller and obtain Seller’s consent before communicating (directly or indirectly and whether in writing, verbally or otherwise) with any Branch Employees.

  • Purchaser shall be solely responsible for any activity in connection with interviewing Branch Employees.

  • Purchaser shall make employment available to all Branch Employees on the Closing Date upon the terms and conditions described below.


More Definitions of Branch Employees

Branch Employees means, the employees of the Seller working at the Branches on the Closing Date (including, without limitation, those employees who on the Closing Date are on family and medical leave, military leave or personal or pregnancy leave and who are eligible to return to work under Seller's policies), subject to any transfers permitted pursuant to Section 7.1 and replacement in the ordinary course of business of employees who may leave Seller's employ between the date hereof and the Closing Date.
Branch Employees means the employees of Seller or its Affiliates employed at the Branches on the Closing Date including, without limitation, (x) any branch manager, teller or loan officer assigned to the Branches as of the date hereof and (y) those employees who on the Closing Date are on family and medical leave, military leave or personal, short-term or long-term disability or pregnancy leave and who are eligible to return to work under Seller’s policies. Schedule 1.1(d) contains a complete and accurate list of the employees of Seller or its Affiliates employed at the Branches as of the date hereof who as of the date hereof are on family and medical leave, military leave or personal, short-term or long-term disability or pregnancy leave and who are eligible to return to work under Seller’s policies, and such list shall be updated promptly upon Purchaser’s request from time to time following the date hereof to reflect changes to the foregoing with the final such update to occur no later than ten (10) calendar days prior to the Closing Date.
Branch Employees means the employees of the Seller listed on Schedule 1.1(b) attached hereto, subject to any transfers permitted pursuant to Section 10.2 and replacement in the ordinary course of business of employees who shall leave Seller's employ between the date hereof and the Closing Date.
Branch Employees means the employees of Seller listed on Schedule 1.1(b) hereto, but excluding such employees who shall leave Seller's employ between the date hereof and the close of business on the Closing Date, but including replacements of such employees made in the ordinary course of business between the date hereof and the Closing Date and including any Person who fills a vacant position between the date hereof and the Closing Date to provide Branch-related services to Customers.
Branch Employees means, as of any particular date, the persons actively employed as of such date by Seller or any of its Subsidiaries who dedicate at least eighty percent (80%) of their working time providing services in connection with the Transferred Business and who are set forth on the Branch Employees Schedule (as it may be updated pursuant to Section 5.16(a)) and including such persons who are absent from work on account of vacation, jury duty, sickness, short- or long-term disability, workers’ compensation leave, military leave, leave under the Family Medical Leave Act or other approved leave of absence or for whom an obligation to recall, rehire or otherwise return to employment exists under a contractual obligation or Law (provided that, in accordance with Section 8.1(a), any such person who returns to active employment on a date later than six (6) months following the Closing Date will not be a Branch Employee for purposes of this Agreement). For the avoidance of doubt, no Branch Employees will be Retained Employees.
Branch Employees shall have the meaning set forth in Section 8.13(b).
Branch Employees means the employees of Seller or its Affiliates employed at the Branch on the Closing Date (including those employees who on the Closing Date are on family and medical leave, military leave or personal, short-term or long-term disability or pregnancy leave and who are eligible to return to work under Seller’s policies). Schedule 1.1(c) contains a list of the employees of Seller or its Affiliates employed at the Branch as of the date hereof and the following additional information: employee identification number or other identifier, position or title, classification as exempt or nonexempt, date of hire and total years of service, present salary, date and amount of last salary increase, 2008 bonus amount, if any, and the current employment status (i.e., permanent or temporary, full-time or part-time and whether active or on a short- or long-term leave of absence).
