Choice of Law and Forum; Service of Process. (i) This contract shall be deemed made in Durham County, North Carolina. This contract shall be governed by and construed in accordance with the law of North Carolina. The exclusive forum and venue for all actions arising out of this contract shall be the North Carolina General Court of Justice, in Durham County. Such actions shall neither be commenced in nor removed to federal court. This subsection (a) shall not apply to subsequent actions to enforce a judgment entered in actions heard pursuant to this subsection. (ii) If the Contractor is not a natural person (for instance, the Contractor is a corporation or limited liability company), this subsection (ii) applies. “Agent for Service of Process” means every person now or hereafter appointed by the Contractor to be served or to accept service of process in any State of the United States. Without excluding any other method of service authorized by law, the Contractor agrees that every Agent for Service of Process is designated as its non-exclusive agent for service of process, summons, and complaint. The Contractor will instruct each Agent for Service of Process that after such agent receives the process, summons, or complaint, such agent shall promptly send it to the Contractor. This subsection (ii) does not apply while the Contractor maintains a registered agent in North Carolina with the office of the N. C. Secretary of State and such registered agent can be found with due diligence at the registered office.

Choice of Law and Forum; Service of Process. (a) This Agreement, any disputed matter arising hereunder, including the construction, interpretation, or validity of any provision hereof or performance thereof, or any other matter relating hereto or arising in connection herewith (whether in tort, contract, equity, or otherwise) (any such matter, a “Disputed Matter”) is and shall be governed by and enforced in accordance with the laws of the State of New York, excluding its choice of law rules.
(b) Subject to Section 7.10(c), no party shall bring or maintain any action or proceeding with respect to any Disputed Matter (“Dispute Proceeding”), except in the Federal District Court for the Southern District of New York, or, if such court lacks subject matter jurisdiction, the Supreme Court sitting in New York County. Each party irrevocably submits and consents to the jurisdiction of such courts, and no party shall object to the laying of venue in any such court or claim that any such court is an inconvenient forum.
(c) Nothing herein shall affect the right of any party to enforce any judgment in any jurisdiction or the rule that any matter of internal governance of a corporation or other entity is determined under the laws of the state pursuant to which the corporation or other entity is incorporated or formed.
(d) Each party irrevocably consents to service of process, by any means authorized, in respect of any Dispute Proceeding.

The exclusive forum and venue for all actions arising out of this contract shall be the North Carolina General Court of Justice in Durham County. Such actions shall neither be commenced in nor removed to federal court. The preceding two sentences do not apply to actions to enforce a judgment entered in actions heard pursuant to this subsection (a).
(b) If the Consultant is a business entity (for instance, the Consultant is a corporation or limited liability company), this subsection (b) applies. “Agent Authorized to Accept Service of Process” (“Agent”) means every person now or hereafter appointed by the Consultant to be served or to accept service of process in any State of the United States. The Consultant hereby appoints as one of those Agents the person it designates to receive notice pursuant to Section 7 (Notice Addresses). If the Consultant fails to appoint an Agent or the Agent cannot be served using reasonable diligence, the Consultant appoints the Durham City Clerk as its Agent. Without excluding any other method of service authorized by law, the Consultant agrees that every Agent is designated as its non-exclusive Agent. The Consultant shall instruct each Agent that when the Agent receives the process, summons, or complaint, the Agent shall promptly send it to the Consultant using a means for giving notice under this contract, provided that when the City Clerk is the Agent, the City shall issue such instructions. This subsection (b) does not apply while the Consultant maintains a registered agent in North Carolina by filing with the office of the North Carolina Secretary of State and that registered agent can be found with due diligence at the registered office.
Choice of Law and Forum; Service of Process. This MOU shall be deemed made in Durham County, North Carolina. This MOU shall be governed by and construed in accordance with the law of North Carolina. The exclusive forum and venue for all actions arising out of this MOU shall be the North Carolina General Court of Justice, in Durham County. Such actions shall neither be commenced in nor removed to federal court.

Choice of Law and Forum; Service of Process. 22.1 This Agreement is made under, and shall be governed by and construed in accordance with, the laws of the United States and the internal laws of the State of Arizona, without reference to its principles of conflicts of law. This Agreement shall be deemed executed in Tempe, Arizona.
22.2 The United States District Court for the District of Arizona and the state courts of Arizona located in Maricopa County shall have exclusive jurisdiction over any dispute involving this Agreement or the Licensed Technology, and each Party consents to personal jurisdiction in such courts. Licensor acknowledges that (i) Licensee is headquartered in Tempe, Arizona, (ii) the majority of Licensee's records and employees are in Tempe, Arizona, and (iii) Maricopa County, Arizona is the most convenient locale for legal proceedings between the Parties. The Parties agree that either or both of them may file a copy of this Section 22.0 with any court of competent jurisdiction as written evidence of the knowing, voluntary and bargained agreement between the Parties irrevocably to waive any objections to venue or to convenience of forum.
22.3 Process in any proceeding involving a dispute arising out of or relating to this Agreement or the Licensed Technology may be served on either Party anywhere in the world in any manner authorized under Section 19.0 above.

This subsection (a) shall not apply to subsequent actions to enforce a judgment entered in actions heard pursuant to this subsection. (ii) If the Contractor is not a natural person (for instance, the Contractor is a corporation or limited liability company), this subsection (ii) applies. “Agent for Service of Process” means every person now or hereafter appointed by the Contractor to be served or to accept service of process in any State of the United States. Without excluding any other method of service authorized by law, the Contractor agrees that every Agent for Service of Process is designated as its non-exclusive agent for service of process, summons, and complaint. The Contractor will instruct each Agent for Service of Process that after such agent receives the process, summons, or complaint, such agent shall promptly send it to the Contractor.

The exclusive forum and venue for all actions arising out of this Agreement shall be the North Carolina General Court of Justice, in Pitt County, North Carolina. Such actions shall neither be commenced in nor removed to federal court. This subsection shall not apply to subsequent actions to enforce a judgment entered in actions heard pursuant to this subsection.
