Company Bonuses definition

Company Bonuses means all Liabilities of the Company to current or former employees, directors, consultants and contractors for cash payments that are paid or payable by the Company (or any subsidiary) in connection with this Agreement or the transactions contemplated hereby, or otherwise outside the ordinary course of business consistent with past practice, including without limitation any severance, bonus or other payments due upon consummation of the Share Purchase or upon termination of employment or service or any other event, before, upon or following the Share Purchase or otherwise.
Company Bonuses means $400,000 of bonuses to be paid by Parent as set forth in the Allocation Certificate in accordance with the applicable Other Employee Offer Package Agreements.
Company Bonuses means all liabilities of the Company to employees, directors and consultants that are paid or payable by the Company or its successors or assigns in connection with the Merger or otherwise outside the ordinary course of business consistent with past practice, including without limitation any severance, bonus or other payments due upon consummation of the Merger or upon termination of employment or service or any other event, before, upon or following the Merger or otherwise, including liabilities under the Deferred Compensation Plan and liabilities for any deferred compensation or bonus payments to the extent not taken into account in determining Net Working Capital, but for the avoidance of doubt excluding (i) liabilities for the payment of accrued wages or accrued and unused vacation time or paid time-off or for the reimbursement of any expenses incurred in the ordinary course of business consistent with past practice to the extent taken into account in determining Net Working Capital, (ii) liabilities incurred by Acquiror to Continuing Employees first accruing following the Closing, and (iii) liabilities described in Section 6.13.

Company Bonuses means all Liabilities of the Company in relation to “stay” or other similar retention bonuses, change-in-control bonuses or other bonuses or compensation due or arising as a result of the execution, delivery or performance of the Transaction Agreements, whether or not vested as of Closing, to any of the Company’s employees, former employees, consultants, former consultants or retirees and any retention bonuses, in each case, based on or arising under employment or engagement with the Company.
Company Bonuses means any and all annual, quarterly or other bonuses, commissions or similar incentive compensation accrued with respect to (or otherwise owed or payable to) any Company Employee in accordance with or under any Company Employee Plan or otherwise.

Company Bonuses means the amount of any accrued, unpaid bonuses (assuming for this purpose that all bonuses, including discretionary bonuses, are accrued pro-rata, as time is worked, in the amount of the present target bonus) and accrued, unpaid commissions (assuming for this purpose that a commission is accrued when the conditions for such commission to become payable are met, even if the timing of such commission payment is not until a future date), as of the Closing Date for each employee, director, and consultant of the Company.
Company Bonuses means outstanding bonus obligations to employees of the Company, as certified on a certificate executed by the Company's Chief Financial Officer delivered to Parent.

Related to Company Bonuses

  • Clawback Eligible Incentive Compensation means all Incentive-based Compensation Received by an Executive Officer (i) on or after the effective date of the applicable Nasdaq rules, (ii) after beginning service as an Executive Officer, (iii) who served as an Executive Officer at any time during the applicable performance period relating to any Incentive-based Compensation (whether or not such Executive Officer is serving at the time the Erroneously Awarded Compensation is required to be repaid to the Company), (iv) while the Company has a class of securities listed on a national securities exchange or a national securities association, and (v) during the applicable Clawback Period (as defined below).

  • Annual Bonus shall have the meaning set forth in Section 4(b) hereof.

  • Company Equity Awards means the Company Options, Company PSUs and Company RSUs.

  • Equity Awards will mean Executive’s outstanding stock options, stock appreciation rights, restricted stock units, performance shares, performance stock units and any other Company equity compensation awards.

  • Incentive Bonus means a bonus opportunity awarded under Section 9 pursuant to which a Participant may become entitled to receive an amount based on satisfaction of such performance criteria as are specified in the Award Agreement.

  • Bonus means the bonus described in the Section 2.3.

  • Incentive Compensation means any compensation that is granted, earned or vested based wholly or in part upon the attainment of a Financial Reporting Measure.
