Deemed Retail Price for each Included Program shall be as set forth in the applicable Exhibit.
Deemed Retail Price means: (i) $3.99 for each Current Film; and (ii) $2.99 for each Library Film. For purposes of clarification, the Deemed Retail Price shall be a net amount unreduced by any tax, levy or charge including, the payment of which shall be the responsibility of Licensee. If Licensee proposes to lower the retail price for the Library Films it shall notify Licensor of its intention to do so and the parties hereto shall in good faith discuss a change in the Deemed Retail Price, if any.
Examples of Deemed Retail Price in a sentence
For each Included Film, the Licence Fee shall be equal to (a) the number of Subscriber Transactions for such Included Film, multiplied by (b) the applicable Licensor Share, multiplied by (c) the greater of (i) the applicable Deemed Retail Price for such Included Film and (ii) the highest Actual Retail Price payable for such Included Film.

Deemed Retail Price shall have the meaning specified in Section 8.1 below.
