Eligible Unbilled Account Receivable definition

Eligible Unbilled Account Receivable as of any Borrowing Base Date, each Account Receivable of any Loan Party which would be an Eligible Account Receivable but for the fact that such Account Receivable has not actually been invoiced prior to such Borrowing Base Date.
Eligible Unbilled Account Receivable as of any date, each Account Receivable of any Loan Party which would be an Eligible Account Receivable but for the fact that such Account Receivable has not actually been invoiced prior to such date. “Eligible Unbilled Tier 1 Account Receivable”: at the time of any determination thereof, each Eligible Unbilled Account Receivable the Account Debtor of which is a Tier 1 Counterparty. “Eligible Unbilled Tier 2 Account Receivable”: at the time of any determination thereof, each Eligible Unbilled Account Receivable the Account Debtor of which is a Tier 2 Counterparty. “Employee Benefit Plans”: any benefit plan or arrangements in respect of any employees (including employees who are employed in Canada) or past employees operated by any Loan Party or in which any Loan Party participates and which provides benefits on retirement or voluntary withdrawal from or involuntary termination of employment, including termination indemnity payments and post-retirement medical benefits. “Environmental Laws”: any and all federal, state, provincial, territorial or local statutes, orders, regulations or other Law having the force and effect of law, including common law, guidelines, decrees, orders, orders-in-council, injunctions, rules, judgments, consents, directives, instructions, standards, judicial or administrative decisions or other requirements by Governmental Authority having the force and effect of law, including judicial interpretation of any of the foregoing concerning the environment or health and safety (including regulating, relating to or imposing liability or standards of conduct concerning Materials of Environmental Concern) which are in existence now or in the future and are binding at any time on any Loan Party in the relevant jurisdiction in which such Loan Party has been or is operating (including by the export of its products or its waste to that jurisdiction). Notwithstanding anything in this Agreement or in any other Loan Document to the contrary, the defined term “Laws” and the usage of such term (including as used in the defined term “Requirement of Law”) herein and in each other Loan Document shall not include any of the items in the definition of the term “Laws” to the extent they both (i) concern the environment or health and safety (including regulating, relating to or imposing liability or standards of conduct concerning Materials of Environmental Concern) and (ii) do not have the force and effect of law. “Environmental Permits”: any permit, lice...
Eligible Unbilled Account Receivable means an Account owned by a Borrowing Base Company that would constitute an Eligible Billed Account Receivable but for the fact that such Account was not billed prior to the end of the preceding month or did not comply with subpart (r) of the definition thereof; provided that, to the extent that the product of the trailing twelve month revenue for the Kratos Business Division of which such Borrowing Base Company is a part multiplied by a fraction, the numerator of which is 60 and the denominator of which is 365, exceeds the total unbilled Accounts for such Kratos Business Division, such excess amount shall not constitute an Eligible Unbilled Account Receivable. Except to the extent , if any, that Raytheon has made Raytheon Progress Payments that have been liquidated pursuant to the applicable Raytheon Purchase Order, no Account arising in connection with such Raytheon Purchase Order shall constitute an “Eligible Unbilled Account Receivable.”

More Definitions of Eligible Unbilled Account Receivable

Eligible Unbilled Account Receivable means an Account Receivable that (i) complies with all of the requirements of an Eligible Account Receivable, (ii) all work has been performed by the Borrower with respect to the Account Receivable, (iii) a xxxx for such Account Receivable has not been sent to the account debtor because a contractual billing event has not occurred, and (iv) is included in the disclosure of "Revenues in Excess of Xxxxxxxx" in the audited consolidated financial statements of the Borrower or the quarterly financial statements of the Borrower prepared in accordance with GAAP.
Eligible Unbilled Account Receivable means, solely during the period of April 1 to September 1 of each calendar year and not at any other time, an Account of Fashions that has been created and is outstanding during such period in such year (and not created during such period in a prior year or created during any other period), but has not yet been invoiced, that represents an obligation for payment created by shipment of Inventory to the Account Debtor pursuant to a purchase order issued to Fashions in the ordinary course of business. During the period of September 2 to December 31 and January 1 to March 31 of each year there will be no Eligible Unbilled Account Receivables.
Eligible Unbilled Account Receivable means and includes each (i) Recruitment Media Billing Receivable and Media Billing Receivable until the earlier of the invoice date or 60 days after Publication Date, (ii) Close Date Receivable where the Publication Date is less than 60 days in the future and (iii) Cycle Billing which is not unpaid more than 360 days from the first invoice date with respect thereto, and the first invoice date is not later than one month after the Publication Date and in each case which would constitute an Eligible Billed Account Receivable except that it has not been documented by an invoice but which shall not be duplicative of Eligible Billed Account Receivable. An Eligible Unbilled Account Receivable shall become an Eligible Billed Account Receivable once it is invoiced.
Eligible Unbilled Account Receivable each Account Receivable of the Borrower which would be an Eligible Account Receivable but for the fact that such Account Receivable has not actually been invoiced prior to the time of the next required delivery of the Borrowing Base Report pursuant to Section 7.2(b) or the next delivery of an Availability Certification pursuant to Section 6.2(e).
Eligible Unbilled Account Receivable means, solely during the period of April 1 to September 1 of each calendar year and not at any other time, an Account of Varsity Spirit Fashions & Supplies, Inc. or All American Sports Corporation that has been created and is outstanding during such period in such year (and not created during such period in a prior year or created during any other period), but has not yet been invoiced, that represents an obligation for payment created by shipment of Inventory to the Account Debtor pursuant to a purchase order issued to Varsity Spirit Fashions & Supplies, Inc. or All American Sports Corporation, in the ordinary course of business. During the period of September 2 to December 31 and January 1 to March 31 of each year there will be no Eligible Unbilled Account Receivables.
