Equivalent Subscriber means, as of any date of determination, the sum of (1) the number of first outlet residential customers of the Systems who subscribe for basic CATV or high-speed data service only at the normal applicable monthly rate (or at a discount rate resulting from the discounts and promotions set forth on Schedule 1.1(ee) or other discounts or promotions in the ordinary course of business and not materially different from those set forth on Schedule 1.1(ee)) for basic CATV or high-speed data service then in effect in the relevant System (except as provided below), and whose accounts (other than amounts (including Non-Recurring Charges, disputed amounts and other amounts) collectively not in excess of $10.00) are not outstanding more than eighty-nine (89) days from the original invoice date; plus (2) the result obtained by dividing (a) the aggregate of the gross monthly xxxxxxxx during the most recent one-month billing period prior to the date of calculation for basic and expanded basic CATV service (but excluding (i) xxxxxxxx in excess of a single month’s charge and (ii) xxxxxxxx for a la carte tiers or premium services, installation or other Non-Recurring Charges, converter rental or new product tiers, any outlet or connection other than such customer’s first, or from any pass through charges for sales taxes, line-itemized franchise fees, fees charged by the FCC and the like) from non-standard bulk billed and commercial subscribers who subscribe for basic CATV service whose accounts (other than amounts (including Non-Recurring Charges, disputed amounts and other amounts) collectively not in excess of $10.00) are not outstanding more than eighty-nine (89) days from the original invoice date, by (b) the Franchise Area prevailing monthly service charge in effect during such period for a first outlet residential connection for basic and expanded basic CATV service (but excluding xxxxxxxx for a la carte tiers or premium services, installation or other Non-Recurring Charges, converter rental or new product tiers, any outlet or connection other than such customer’s first, or from any pass through charges for sales taxes, line-itemized franchise fees, fees charged by the FCC and the like); provided, that for purposes of this Agreement, a subscriber does not include (i) any person, commercial establishment or multi-unit dwelling that has requested that basic CATV or, in the case of high speed data only subscribers, high-speed data service be terminated (other than any pers...
Equivalent Subscriber means, as at any date of determination thereof, the total number of households served by the CATV Business on a bulk-billed basis and the total number of establishments served on a commercial account basis, or on a basis less than the standard monthly service fees and charges imposed by the Sellers, which shall be deemed to be equal to the quotient obtained by dividing (i) the total fees and charges for basic service billed by Sellers during the month including such date on a bulk-billed or commercial account basis, or on a basis less than the standard monthly service fees and charges imposed by Sellers, by (ii) the fees and charges for basic service that a Basic Subscriber of the type described in clause (a) of the definition of such term in this Section 1.01 was billed during such month.
Equivalent Subscriber. At any date of determination thereof, the number of Equivalent Subscribers shall be equal to the quotient of (a) the aggregate xxxxxxxx by the CATV Business for basic and expanded basic service provided by the CATV Business based on billing reports prepared in the ordinary course of business, during the last full month ending on or prior to such date, to residential multiple dwelling units, commercial accounts, other subscribers that are billed for such service on a bulk basis and single family households which pay less than the CATV Business' regular monthly rate for basic and expanded basic service, divided by (b) the CATV Business' regular monthly subscriber rate for basic and expanded basic service in effect for such month. For purposes of the foregoing, there shall be excluded (A) all xxxxxxxx from premium services, installation or other non-recurring charges, converter rental or from any outlet or connection other than the first or from any pass-through charge for sales taxes, line-itemized franchise fees, fees charged by the FCC and the like, and (B) all xxxxxxxx to a commercial or bulk account or discounted family household (i) which has not been an active subscriber of the CATV Business for at least one month since the most recent activation of service to such account or household, (ii) which is more than two monthly billing cycles in arrears in payment for services earned (exclusive of account balances of $8.00 or less attributed to late fees) based on billing reports prepared in the ordinary course of business, or (iii) which is pending disconnection for any reason.
