Fixed Operating Expenses for any period, all fixed costs and expenses of owning, and operating the Facilities in the aggregate except where the Agreement expressly provides that Fixed Operating Expenses shall be determined for each Facility to the extent such costs and expenses are not included in Operating Expenses, including but not limited to (a) Managers' Base Management Fee (excluding the amount of any Accrued Management Fee accrued during such period); (b) all amounts to be paid into the Reserve Account and the cost of Capital Improvements approved by Owners not funded from the Reserve Account; (c) the debt service on account of the Senior Loan; (d) the real and personal property ad valorem taxes and assessments; and (e) all costs and expenses of all property and casualty insurance on or in respect of the Facilities provided for herein and the amount of all self-insured losses or deductibles. Fixed Operating Expenses means the monthly Fixed Operating Expenses for each of the Drillship and the Rig at the applicable time as defined in the applicable O&M Contract.

Landlord and Tenant agree that except for the increases in the Monthly Fixed Operating Expenses as provided above, the Monthly Fixed Operating Expenses shall not be reconciled against the actual operating expenses incurred by Landlord at any time during the Lease Term.

More Definitions of Fixed Operating Expenses
Fixed Operating Expenses. Means any operating expenses (including ordinary payroll) that must continue to be incurred and that cannot be reasonably avoided during the business impact period or reputational impact period.

DCC's projected fixed expenses are based on the level of fixed manufacturing expenses, research and development (both included in manufacturing cost of sales), and marketing and administrative expenses assumed to be necessary to achieve sales and volume targets during the Projection Period.
