Force Majeure Circumstance definition

Force Majeure Circumstance means the existence of the following circumstances (that directly affects the corresponding party’s fulfilment of its obligations under the Contract).
Force Majeure Circumstance. ’ means in relation to the C Shares (i) any political and/or economic circumstances and/or actual or anticipated changes in fiscal or other legislation which, in the reasonable opinion of the Directors, renders Conversion necessary or desirable; (ii) the issue of any proceedings challenging, or seeking to challenge, the power of the Company and/or its Directors to issue the C Shares with the rights proposed to be attached to them and/or to the persons to whom they are, and/or the terms upon which they are, proposed to be issued; or (iii) the giving of notice of any general meeting of the Company at which a resolution is to be proposed to wind up the Company, whichever shall happen earliest; and

Examples of Force Majeure Circumstance in a sentence

  • If a Force Majeure Circumstance arises the Company may allocate raw materials to production mixes, and select Sales Contracts to partially or fully cancel or suspend in accordance with clause 11.2(c), entirely in its sole discretion.

  • If a Force Majeure Circumstance arises the Company may allocate raw materials to production mixes, and select Sales Contracts to partially or fully cancel or suspend in accordance with clause 12.2(c), entirely in its sole discretion.

  • If a non-fulfilment of a contractual obligation is caused by a third person entrusted by the Party to perform the entire or a part of the contractual obligation, or if such third person’s (e.g. a supplier of material, a bank executing the financial transaction, etc.) activities are essential for the fulfilment of the obligation by the Party, the Party’s liability shall be excluded only if the Force Majeure Circumstance falls on such a third person.

  • The claiming to be affected by a Force Majeure Circumstance must notify the other party of a Force Majeure Circumstance as soon as the affected party becomes aware that such a circumstance is preventing it from complying with its obligations and in any event promptly upon being notified by the other party of a breach or failure in respect of which the affected party claims to rely on the Force Majeure Circumstance.

  • At any time during or after a Force Majeure Circumstance we may (in our sole discretion) elect to terminate this agreement by notice to you and refund any amounts paid by you, less our reasonable costs and expenses incurred in respect of your booking which we cannot reasonably recover.

Force Majeure Circumstance means, in relation to any class of C Shares: (i) any political and/or economic circumstances and/or actual or anticipated changes in fiscal or other legislation and/or other circumstances which, in the reasonable opinion of the Directors, renders Conversion necessary or desirable notwithstanding that the requirement in paragraph (i) of the definition of Conversion Calculation Date has not been satisfied;
Force Majeure Circumstance means the circumstance, which is beyond the control of the Parties, which resulted in the impossibility to perform obligations under the Agreement including: wars, revolutions, insurrection, civil disobedience, mass riots, other coups, civil commotion, sabotage, acts of terrorism, natural disasters, fires, earthquakes, floods, storms, hurricanes, epidemics and epizootics and other circumstances of insuperable force that neither Party can anticipate or prevent by reasonable measures. In particular violation of obligations on the part of counteragents, absence of goods required for performance, lack of monetary funds shall not belong to force majeure circumstances. “Functional Requirements” – requirements of the Public Partner to the Facility stipulated by Xxxxx 10. "Private Partner" - has the meaning given to it in the preamble to the Agreement.

(or such other percentage as the Directors may select as part of the terms of issue of such tranche) of the assets attributable to the holders of that tranche of C Shares are invested in accordance with the investment policy of the Company;
Force Majeure Circumstance means, in respect of a party, any circumstance or event which, despite using all reasonable endeavours, the party is unable to control, including any act of God, flood, fire, damage caused by lightning, storm or tempest, rains falling during normal dry seasons, industry wide strikes, or industry wide lockouts or other industry wide industrial disturbances, acts of war, civil disturbance or enactments of any Government Agency; or inability on the part of the Company to obtain raw materials from any anticipated source; or site conditions; or progress with building works; or any other cause whatsoever beyond the Company’s control;
