Gross Xxxxxxxx definition

Gross Xxxxxxxx also shall not include (i) any amounts billed to Subscribers as (and separately stated on the xxxxxxxx or otherwise separately determinable as) sales or similar excise taxes; (ii) one-time installation charges billed not later than ninety (90) days following completion of such installation; (iii) charges for service of Subscriber-owned equipment, provided that such charges are separately determinable; (iv) ad hoc (i.e., extraordinary) charges for service actually performed on ---- Subscriber-leased or Subscriber-owned equipment; and (v) late-payment penalties or interest charges imposed by Licensee, provided that such penalties and charges do not exceed standard industry practice. Licensee may deduct from its Gross Xxxxxxxx (i) amounts paid by Licensee as performing rights fees to ASCAP, BMI, or similar performing rights organizations with respect to the Music Services other than those distributed by Recorded Media, and (ii) the amount of any xxxxxxxx that were previously reported to Muzak as part of Licensee's Gross Xxxxxxxx but which, in the month of the deduction, were written off by Licensee as uncollectible in accordance with federal income tax standards of uncollectibility.

Gross Xxxxxxxx means the total amount of money paid by customer to the non-exclusive franchise hauler during an individual reporting quarter for services provided by Contractor.

Gross Xxxxxxxx means the cover price, less the Wholesaler Discount, multiplied by the number of copies of the Publication(s) specified on a Printer's Completion Notice and less Warner's Commission with respect to such number of copies.

• In all other cases, Muzak's purchase price hereunder shall be the result of multiplying 50% of the Prevailing Adjunct Services Multiple (as hereinafter defined) times the Recurring Adjunct Services Gross Xxxxxxxx attributable to such Contract.

• A Contractor with a total reportable Gross Xxxxxxxx in excess of one hundred thousand ($100,000) dollars per year shall submit annually, a report and an opinion by an independent certified public accountant that the Contractor’s records were examined and the quarterly reports were a fair and accurate representation of the Gross Xxxxxxxx and NEF Fees owed the City.

More Definitions of Gross Xxxxxxxx

Gross Xxxxxxxx means the sum of (1) the gross sales price charged by Xxxxxx, (2) excess Approved Marketing Expenses and (3) excess Approved R&D Expenses.

Gross Xxxxxxxx shall be defined as all non-refundable amounts received by the Company, pursuant to line items in the original “in-going” budget, for the applicable animation Project directed entirely by Service Provider or entirely by Service Provider and another director whose services are provided by the Company for such animation Project. For the avoidance of doubt, Gross Xxxxxxxx shall not include any pass-through items or handling fees and the handling fees items to which such handling fees relate, for example, but not limitation, costs for editorial, talent, insurance, all travel and per diems.

Gross Xxxxxxxx has the meaning set forth in Section 2.8(g)(i) hereof.

Gross Xxxxxxxx means and include: (i) the gross dollar amount of all xxxxxxxx by the Facility to or on behalf of patients and visitors directly or indirectly connected with the Facility for the provision of all goods and services, and will include, without limitation, xxxxxxxx to all governmental payors, including Medicare and Medicaid, xxxxxxxx to self-paying patients, and xxxxxxxx to all other third-party insurance carriers; and (ii) the gross dollar amount received from non-patient care activity but nevertheless arising from the operation of the Facility including, but not limited to, gift shop, coffee shop, vending machines, laundry machines, xxxxxx shop, beauty shop, and all other concessions; provided, however, that the proceeds for all borrowings shall be excluded from Gross Xxxxxxxx.

Gross Xxxxxxxx means gross amounts received or receivable, directly or indirectly, from or in connection with all services, consultation, assistance or sales provided from, or through or attributable to the Franchised Business regardless of where or to whom provided, including, without limitation, services of Temporary Employees and Direct-Hire Employees, including bona fide refunds and adjustments.

Gross Xxxxxxxx means the gross revenues of LifeRate, its licensees or any successor or assign related to the Products. Gross Xxxxxxxx shall include, without limitation, all revenue derived from the Products or any services related to the Products, including all revenue derived from the licensing, leasing, renting, or sale of the Products or the provision of installation, consulting, maintenance, support, customization or development services related to the Products. In the case of fees for development services which exceed $500,000 for a particular product or group of related products, the parties agree to discuss the appropriateness of whether the royalties payable under Section 6.1 hereof should apply to less than all of such development fees. As of the date of the Modification Agreement, Gross Xxxxxxxx to date constitutes the entire gross revenues of the Company (defined as "Net Revenues" in the Company's Annual Report on Form 10-KSB). In the event LifeRate chooses to sublicense the Products or to distribute the Products through independent distributors rather than directly, Gross Xxxxxxxx will be the fees paid by the sublicensee or distributor to the Company, provided that, for any transactions over a 12-month period where the aggregate price to be paid is in excess of $500,000 (a "Material Transaction"), the price paid by such sublicensees or distributors represents no more than a 40 percent discount from the Company's published or standard list price. In the event that with respect to any Material Transaction, the actual discount granted is greater than 40 percent, Gross Xxxxxxxx shall be calculated as though the discount were 40 percent. (b) A new Section 1.4 is added as follows:

Gross Xxxxxxxx means (x) gross xxxxxxxx for all advertising, products and services (net of sales allowances not to exceed 2% of gross xxxxxxxx) generated by the Xxxxxx Online Business (other than gross xxxxxxxx generated primarily through the efforts of employees of Evita or its Affiliates who are employed principally to service business units or divisions other than the Xxxxxx Online Business) and (y) to the extent not included in clause (x), gross xxxxxxxx for advertising, products and services (net of sales allowances not to exceed 2% of gross xxxxxxxx) generated by the former, current and/or future employees of the Xxxxxx Online Business (regardless of whether such gross xxxxxxxx relate to sales of advertising, products or services of the Xxxxxx Online Business or sales of advertising, products or services of any business unit or division of Evita or its Affiliates other than the Xxxxxx Online Business). Evita and Evita Sub shall follow the same invoicing and other billing procedures for the Xxxxxx Online Business as for their other businesses, which shall be in accordance with GAAP.
