Monthly Management Fee has the meaning specified in Section 5.1.

Monthly Management Fee means, with respect to each Monthly Allocation Date, the amount of $291,667.66, subject to successive three percent (3%) annual increases; provided, with the consent of the Control Party, acting at the direction of the Controlling Class Representative, such Monthly Management Fee can be increased in the event there is a Successor Manager; provided, further, that such fee shall be waivable by the Manager in its sole discretion following the occurrence of a Twin Peaks Listing Event.

Monthly Management Fee means the amount payable to Energy Manager as set forth in Section 8.1.

Monthly Management Fee means, with respect to any calendar month commencing with the month in which the Execution Date occurs, a fee equal to one-twelfth of the budgeted amount of annual management expenses to be incurred by the Lessor, adjusted at the end of each calendar year to equal the actual amount of expenses for such year. The amount of the Monthly Management Fee that Lessor may recover from Lessee in any calendar year shall not exceed $50,000 (in 2002 dollars), adjusted annually on the anniversary of the Commercial Operation Date, based upon the first published final number for GDP-IPD for 2002, as provided by the Department of Commerce, Bureau of Economic Analysis.

Monthly Management Fee means the fee payable by Owner to Manager as provided in any Supplement, it being understood and agreed that the Monthly Management Fee payable shall be pro-rated in the case of periods less than one month.

Monthly Management Fee means, with respect to each Monthly Allocation Date, the amount of $200,000 commencing on the date of the Original Agreement, subject to successive three percent (3%) annual increases beginning on the first Monthly Allocation Date in 2020 following the execution of the Original Agreement.

For the purposes of this calculation, the following expense categories will be excluded: the Monthly Management Fees, utilities, third party security services, retail-related expenses (if applicable), real estate taxes, insurance, or other non-budgeted expenses incurred at the express demand of Owner. The Incentive Fee and corresponding hurdles are as follows: Hurdle Quarterly Incentive Fee Project exceeds NOI as indicated in the then in-place Operating Budget For each dollar favorable to the NOI as indicated in the approved Operating Budget, Manager shall earn $0.25 due and payable within thirty (30) days after the close of each Fiscal Quarter throughout the Term.
