The Monthly Management Fee will be due and payable on or before the tenth (10th) day after Owner's receipt of an invoice from Manager with respect to and showing the amount of Monthly Gross Collections received, if any, during the immediately preceding month.
If Manager invoices Owner for the Monthly Management Fee and/or reimbursable expenses, such amounts shall be due and payable on or before the seventh (7th) business day after Owner's receipt of the invoice.
As compensation for the performance of its obligations under this Agreement, the Manager shall receive the Monthly Management Fee and the Supplemental Management Fee, if any, on each Monthly Allocation Date out of amounts available therefore under the Indenture on such Monthly Allocation Date in accordance with the Priority of Payments.
So long as the Manager continues to provide any Services during the Disentanglement Period (including following any removal, resignation or other termination of the Manager), the Manager will continue to be paid the Monthly Management Fee.
