Prohibited Services definition

Prohibited Services means services in the fields of insurance performed by the Company or its affiliates, their agents or employees in any other business engaged in by the Company or its affiliates on the date of termination of the Executive's employment. "Fields of Insurance" does not include title insurance, but does include all lines of insurance sold by the Company or its affiliates, including, without limitation, property and casualty, life, group, accident, health, disability, and annuities;
Prohibited Services means telecommunication or video surveillance services (such as internet access, phone service, or cloud storage) that are provided by the companies listed above, or by any other companies using any Prohibited Equipment (“Prohibited Services”). If Consultant identifies any Prohibited Equipment or Prohibited Services used during performance of this Agreement, or if Consultant is notified of such by any source, Consultant shall immediately notify FHI 360 in writing.
Prohibited Services means any services that: (1) are the same or substantially similar to the services Executive provided to the Company during the last 12 months before the Date of Termination; (2) are competitive to the Company; or (3) require the use of the Company’s Confidential Information.

More Definitions of Prohibited Services

Prohibited Services means any other services provided by the Company. This non-competition restriction covers services provided by you whether as an employee for a Customer, employee for a third party, independent contractor, consultant, or any other status.
Prohibited Services are any services that are the same or substantially similar to the services Employee provided to the Company during the last twenty-four (24) months of Employee’s employment with the Company, including, without limitation, brokerage or advisory services, or services that require Employee to use or disclose Confidential Information. For purposes of this Agreement, “Competitive Business” means any person or entity engaged in the business of acquiring, owning, leasing, and/or financing cannabis properties or any other business in which the Company has engaged or have active plans to engage during the last twenty-four (24) months of Employee’s employment with the Company. Notwithstanding the foregoing, nothing herein shall prohibit the Employee from (i) being a passive owner of not more than five percent (5%) of the equity securities of a publicly traded corporation engaged in a business that is in competition with the Company or any of its affiliates, so long as the Employee provides no Prohibited Services to such corporation or (ii) owning, managing, operating, controlling, or being employed by any firm, corporation or other entity in the same capacity in which the Employee was engaged immediately prior to the Termination of the Employee’s employment hereunder, as long as (a) the Board has been apprised of the identity of, and the Employee’s role with, such firm, corporation or other entity and (b) the Board has previously approved in writing the Employee’s role with such firm, corporation or other entity, in the case of both (a) and (b), prior to the Employee’s termination of employment. In addition, the provisions of this Section 10(b) shall not be violated by the Employee commencing employment with a subsidiary, division or unit of any entity that engages in a business in competition with the Company or any of its affiliates so long as: (i) the Employee and such subsidiary, division or unit does not engage in a business in competition with the Company or any of its affiliates; and (ii) the Employee informs such entity of the restrictions contained in this Section 10.
Prohibited Services means services in the new and remanufactured office furniture industry performed by the Company or Affiliates of the Company, their agents or employees in any other business engaged in by the Company or Affiliates of the Company on the date of termination of the Executive's employment;
Prohibited Services shall include any service of the type or similar to any service provided by Participant to the Company at any time during the last two years of Participant's employment, and any service that otherwise includes, relies on, is informed by or in any way implicates Participant's knowledge of any of the Company's Confidential Information (defined below) or customer relationships. The Participant further covenants and agrees that this restrictive covenant is reasonable as to duration, terms and geographical area and that the same (i) is reasonably necessary to protect the legitimate interests of the Company and its affiliates in the competitive value of their Confidential Information and/or their customer good will, (ii) imposes no undue hardship on the Participant, and (iii) is not injurious to the public. Any violation of this restrictive covenant shall be specifically enforceable in any court with jurisdiction upon short notice.
Prohibited Services means (i) any Competitive Service, (ii) managing ambulance services, medical transportation services, or transportation services to the disabled, (iii) providing ambulance services, medical transportation services or transportation services to the disabled, (iv) during the period that any FRES Affiliate is a partner of the Partnership, any business or activity that competes with the Partnership and (v) during the Restricted Period, any business or activity that would be competitive with the Partnership at the time all FRES Affiliates ceased to be Partners.
Prohibited Services means those services in the fields of risk management, insurance or bonds performed by any of the HRH Companies within Employee’s region as of the date of termination of Employee’s employment. “Field of insurance” does not include title insurance, but does include all other lines of insurance sold by any of the HRH Companies within Employee’s region, including, without limitation, property and casualty, life, group, accident, health, disability, and annuities; “Prospective Customers” shall be limited to those parties who are not currently Customers, but who are known by Employee to have been solicited to provide any Prohibited Service within the twelve (12) month period preceding the date of termination of Employee’s employment, by Employee or an employee within Employee’s region, and, with respect to any such potential Prospective Customer, Employee or an employee within Employee’s region had, within the twelve (12) month period preceding the date of termination of Employee’s employment, met for the purpose of offering any Prohibited Service or had received a written response to an earlier solicitation to provide a Prohibited Service;
