Promotion Expenses definition

Promotion Expenses shall include, without limitation, the following expenses incurred by a Party to the extent allocable to promotion of the Product in all countries within such Party's Exclusive Territory in accordance with GAAP: [ * ], as defined in Appendix D.
Promotion Expenses shall include, without limitation, the following expenses incurred by a Party to the extent allocable to the co-promotion of Products in all countries in the Co-Promotion Territory, calculated in accordance with U.S. Generally Accepted Accounting Practices, consistently applied ("GAAP"): [ * ], all as defined in Appendix D. b.   • The Parties’ agreement with respect to Development Costs is set forth in Section 4.7. More Definitions of Promotion Expenses

Promotion Expenses means those costs, excluding corporate and administrative overhead, marketing personnel resources, sales representative costs and incentives but including costs incurred by a Party or for its account which are specifically identifiable to the advertising, promotion and marketing of the Product Lines by the Parties in the Territory and related professional promotion and education (to the extent not performed by sales representatives), including, without limitation, television and electronic advertisements, advertorials and infomercials, print advertisements, direct mail, exhibitions at seminars and conferences, promotional samples, sales and promotional literature or other materials and market research, in each case consistent with the Marketing Plan and otherwise with the terms of this Agreement.
Promotion Expenses means any amounts (up to an aggregate amount of $5.4 million) paid with the approval of CDM in connection with the promotion of the Company's seafood and syrup brands.
