The RECIPIENT shall be responsible for the conduct of the Project that is the subject of this Contract and shall direct the activities and at all times be responsible for the performance of Recipient Personnel, Collaborators, Contractors and other agents.
RECIPIENT certifies that neither it nor the Principal Investigator/Project Director or any other Recipient Personnel or personnel of any Collaborator or Contractor assigned to work on the Project are debarred, suspended, proposed for debarment, declared ineligible or otherwise excluded from participation in the Project by any federal or state department or agency.
The RECIPIENT shall have, maintain and enforce written policies or agreements applicable to Recipient Personnel and Contractors with terms sufficient to enable RECIPIENT to fully comply with all terms and conditions of this Contract, including that Recipient Personnel and Contractors agree to and hereby assign any Institute-Funded Inventions to RECIPIENT.

The Recipient must not bribe public officials, including foreign officials, and must ensure that all Recipient Personnel do not bribe public officials including foreign officials.
Customer will cooperate with Service Provider in the investigation of any apparent unauthorized access by Recipient Personnel to Service Provider Systems.
In the sole discretion of the Ministry, Funding for a suspended item may resume in the applicable budget year if the Recipient demonstrates to the Ministry’s satisfaction that the Recipient or Recipient Personnel, as the case may be, have corrected the event that gave rise to the suspension.
In no case shall the Recipient negotiate termination payouts and severances with any Recipient Personnel which are greater than the minimum requirements set out in the Employment Standards Act and the Common Law unless otherwise consented to in advance and in writing by the Ministry.
Where the Ministry prepares such a plan and budget, the Ministry will consider the reasonable estimates of the Recipient’s costs to wind-down the Service Plan in an orderly and responsible manner, including any of the Recipient’s obligations pertaining to termination of the Recipient Personnel.
Service Recipient shall ensure that such access shall be made by such Recipient Personnel only as required in connection with, or as specifically contemplated by, the performance, delivery or receipt of a Service hereunder.
