SUBROGATION. By accepting this Guaranty and entering into the Contract, Beneficiary agrees that Guarantor shall be subrogated to the corresponding rights of Beneficiary against Company in respect of any amounts paid by Guarantor pursuant to this Guaranty, provided that Guarantor shall be entitled to enforce or to receive any payment arising out of or based upon such right of subrogation only to the extent that it has paid all amounts payable by Company under the Contract. Beneficiary shall, at the Guarantor’s request, execute and deliver to the Guarantor reasonable documentation necessary to evidence the transfer by subrogation to the Guarantor of any rights against Company and shall provide reasonable assistance in any subrogated claim against Company resulting from such payment by Guarantor in accordance with this Section 6.
SUBROGATION. The Company shall be subrogated to the Client’s rights of recovery up to the limit of the expenses incurred and the amounts paid to the Client, in the corresponding rights and actions of the Client against any parties which has given rise to the provision of Assistance Services. The Company will cover the amount of the bail bond or guarantee, up to the limit of liability (Combined Single Limit) contracted by the Client, to obtain the benefits specified in points 1, 2 and 3 of previous section, with automatic reinstatement in the authorized vehicle
SUBROGATION. The “Company” xxxxxx agrees to notify in writing to the “Reinsurer” of any subrogation possibilities and conduct itself by the relevant provisions under the attached Claims Handling Protocol to that end. It is an obligation of the “Company” under this agreement to exert its subrogation rights following the payment of claims affecting this reinsurance, and file and undertake full legal recourse against any third parties responsible for such damages to recover damages and/or conclude the cases satisfactorily. The “Reinsurer” may be released in full or in part of any payment obligations or any responsibilities otherwise if the subrogation is not executed diligently due to actions or omissions on the side of the “Company”. The “Company” further agrees to return any claim payments which may have been made by the “Reinsurer” to the “Company” in connection with any loss in which the “Company” fails to preserve or execute subrogation rights. Except as otherwise provided under this agreement, it is understood that the interest of the parties hereto shall not be prejudiced by an inadvertent errors or omissions which may occur in the application or use of this Agreement; and that, upon discovery of any such errors or omissions, prompt rectification will be made. It is hereby agreed that all communications related to the businesses or risks matter of this agreement shall be made in writing by either party. Verbal instructions or oral communications shall have no value under this agreement.
SUBROGATION. 2.1 If, during the course of the investigations to determine the causes of an event, the evidence suggests liability of third parties and, should such third parties be not insured under any policy issued by "the “Company", the “Company” shall carry out all the activities and procedures necessary and suitable, including any administrative or legal procedures, to gather from the insured or third parties all available information – including obtaining from the authorities, information and documentary records of the events that occurred, and request certified copies of the actions taken by the authorities that may have intervened.
SUBROGATION. The Company hereby agrees to notify in writing to the Reinsurer of any subrogation possibilities. It is an obligation of the Company under this agreement to exert its subrogation rights following the payment of claims affecting this reinsurance, and file and undertake full legal recourse against any third parties responsible for such damages to recover damages and/or conclude the cases satisfactorily. Any course of action in respect of such subrogation cases will be determined by the Reinsurer. To that end, the Company will provide all documents under its custody to the solicitors and/or attorneys and/or consultants which may be agreed with the Reinsurer to file and pursue any lawsuits or recovery actions. If required, the Company agrees to grant limited powers of attorney to the solicitors and/or attorneys and/or consultants which may be agreed with the Reinsurer to pursue any cases which may be matter of this agreement. In this case, the Company will sign a service agreement with the solicitors and/or attorneys and/or consultants which may be agreed with the Reinsurer and hereby agrees to request a regular status report to such solicitors and/or attorneys and/or consultants, and notify the Reinsurer accordingly of such developments on a regular or as required basis. The legal fees and related litigation expenses shall be paid directly by the Company and incorporated in the overall reinsurance accounts to which both, the Reinsurer and the Company will contribute in proportion of their participation. The Reinsurer may be released in full or in part of any payment obligations or any responsibilities otherwise if the subrogation is not executed diligently due to actions or omissions on the side of the Company. The Company further agrees to return any claim payments which may have been made by the Reinsurer to the Company in connection with any loss in which the Company fails to execute subrogation rights. ARTICLE XX - ERRORS AND OMISSIONS It is understood that this Agreement having been made in good faith the interest of the parties hereto shall not be prejudiced by an inadvertent errors or omissions which may occur in the application or use of this Agreement; and that, upon discovery of any such errors or omissions, prompt rectification will be made. ARTICLE XXI - BOOKS AND RECORDS The books and records of the Company, insofar as they concern the insurance falling within the scope of this Agreement, shall be open to the inspection of the Reinsurer or an aut...
SUBROGATION. 2.1. If, during the course of the investigations for determining the causes of an event, elements are found that suggest the probable intervention or liability of third parties in the occurrence of the events that caused the loss, “the Company” shall seek out specialists, experts, etc., with the help of investigators, in order to determine the causes of the damages and the liable party who provoked them, with the purpose of timely obtaining evidence and elements that allow to establish or discard the liability of third parties in a certain incident.
SUBROGATION. 4.1 The Underwriter shall be subrogated to all of the Insured’s rights of recovery against any person or organisation, including any rights to contribution from another insurer. 4.2 The Insured shall execute and deliver instruments and papers and do whatever else is necessary to secure such rights. 4.3 The Insured shall do nothing to prejudice the Underwriter’s rights, and in the event the Insured waives its claim against a Third Party following Pollution, the Underwriter shall be relieved of its obligation to indemnify the Insured to the extent that the Underwriter would otherwise have had the right to effect recovery. 4.4 Any recovery obtained through subrogation shall, after expenses incurred in such subrogation are deducted by the party bearing the expense, accrue: (a) first to the Insured to the extent of any payments in excess of the Limit of Insurance; (b) then to the Underwriter to the extent of its payments under the Policy; (c) then to the Insured to the extent of its deductible or self insured retention, whichever is applicable.
SUBROGATION. In the terms of the law, upon the payment of the corresponding indemnity, the Company shall be subrogated up to the amount paid in the Insured’s rights, as well as his/her corresponding proceedings against the perpetrators or parties responsible for the loss. If the Company should so require it, and at their own cost, the Insured shall confirm such subrogation in writing before a Notary Public. If subrogation is totally prevented due to any act or omission on the part of the Insured, the Company shall be released from its obligations. If damage sustained was only partially indemnified, the Insured and the Company do hereby agree to exercise their rights in the corresponding proportion. This English translation is a courtesy only. In case of controversy, the Spanish version of this document and Mexican jurisdiction shall in all cases prevail. If the contents of the policy or modifications thereto do not agree with the offer, the Insured may request a correction thereof within thirty days following the date on which the policy was received. After this thirty day period has elapsed, the stipulations of the policy or the modifications thereto shall be considered as accepted. SUBROGATION. 4.1 THE UNDERWRITER SHALL BE SUBROGATED TO ALL OF THE INSURED’S RIGHTS OF RECOVERY AGAINST ANY PERSON OR ORGANISATION, INCLUDING ANY RIGHTS TO CONTRIBUTION FROM ANOTHER INSURER. 4.2 THE INSURED SHALL EXECUTE AND DELIVER INSTRUMENTS AND PAPERS AND DO WHATEVER ELSE IS NECESSARY TO SECURE SUCH RIGHTS. 4.3 THE INSURED SHALL DO NOTHING TO PREJUDICE THE UNDERWRITER’S RIGHTS, AND IN THE EVENT THE INSURED WAIVES ITS CLAIM AGAINST A THIRD PARTY FOLLOWING POLLUTION, THE UNDERWRITER SHALL BE RELIEVED OF ITS OBLIGATION TO INDEMNIFY THE INSURED TO THE EXTENT THAT THE UNDERWRITER WOULD OTHERWISE HAVE HAD THE RIGHT TO EFFECT RECOVERY. 4.4 ANY RECOVERY OBTAINED THROUGH SUBROGATION SHALL, AFTER EXPENSES INCURRED IN SUCH SUBROGATION ARE DEDUCTED BY THE PARTY BEARING THE EXPENSE, ACCRUE: (a) FIRST TO THE INSURED TO THE EXTENT OF ANY PAYMENTS IN EXCESS OF THE LIMIT OF INSURANCE; (b) THEN TO THE UNDERWRITER TO THE EXTENT OF ITS PAYMENTS UNDER THE POLICY; (c) THEN TO THE INSURED TO THE EXTENT OF ITS DEDUCTIBLE OR SELF INSURED RETENTION, WHICHEVER IS APPLICABLE. 4.5 NOTWITHSTANDING THE FOREGOING, THE UNDERWRITER HEREBY WAIVES ANY RIGHT OF RECOVERY IT MAY HAVE AGAINST WILD WELL CONTROL AND SCHLUMBERGER TO THE EXTENT THAT THE INSURED IS EXPRESSLY REQUIRED TO WAIVE SUCH RIGHTS IN AN INSURED CONTRACT. 4.6 UNDERWRITERS AGREE TO WAIVE RIGHTS OF SUBROGATION AGAINST AUTORIDADES DEL SECTOR HIDROCARBUROS AND NOT TO PURSUE ANY CLAIM AGAINST SUCH ENTITIES UNDER ANY CIRCUMSTANCE. “AUTORIDADES DEL SECTOR HIDROCARBUROS” SHALL HAVE THE MEANING PROVIDED IN ARTICLE 18 OF THE NEW DISPOSITION ISSUED 23 JUNE 2016 BY AGENCIA NACIONAL DE SEGURIDAD INDUSTRIAL Y DE PROTECCIÓN AL MEDIO AMBIENTE DEL SECTOR HIDROCARBUROS.   • Bonificaciones 50.1 Se pagará al Contratista una bonificación que se calculará a la tasa diaria establecida en las CEC, por cada día (menos los días que se le pague por acelerar las Obras) que la Fecha de Terminación de la totalidad de las Obras sea anterior a la Fecha Prevista de Terminación. El Gerente de Obras deberá certificar que se han terminado las Obras de conformidad con la Subcláusula 55.1 de las CGC aún cuando el plazo para terminarlas no estuviera vencido.

  • AMBITO TERRITORIAL La asistencia será válida en todo el mundo. Se excluyen en todo caso, aquellos países que durante el desplazamiento se hallen en estado xx xxxxxx, insurrección o conflictos bélicos de cualquier clase o naturaleza, aún cuando no hayan sido declarados oficialmente. La asistencia será válida a partir de 35 Km. del domicilio habitual del asegurado, ex- cepto Baleares, Canarias, Ceuta y Melilla, en que será de 15 Km.

  • RÉGIMEN SANCIONADOR El incumplimiento por las empresas de las disposiciones de este título será sancionado como infracción en materia de consumo, aplicándosele lo dispuesto en el régimen sancionador general previsto en el título IV del libro primero del texto refundido de la Ley para la Defensa de los Consumidores y Usuarios y otras leyes complementarias y normativa autonómica que resulte de aplicación. Se considerará infracción grave el que, una vez vencido el plazo de desistimiento, el empresario no haya cumplido los requisitos de información exigidos en el presente real decreto-ley, pudiendo ser, en su caso, considerada como muy grave atendiendo a los criterios previstos en el artículo 50 del citado texto refundido.

  • PROCEDIMIENTO Y FORMA DE ADJUDICACION La adjudicación del contrato se realizará mediante procedimiento abierto.

  • ALCANCE DE LOS TRABAJOS 6.01.- En cumplimiento del objeto del presente contrato, la Consultora se compromete a prestar a la (entidad contratante) todos los servicios que sean necesarios para cumplir los objetivos de la Consultoría y en general los que a continuación se indican (DEFINIRÁ LA ENTIDAD).   • Moneda para la evaluación de las Ofertas 29.1 Las Ofertas serán evaluadas como sean cotizadas en la moneda del país del Contratante, de conformidad con la Subcláusula 15.1 de las IAO, a menos que el Oferente haya usado tipos de cambio diferentes de las establecidas de conformidad con la Subcláusula 15.2 de las IAO, en cuyo caso, primero la Oferta se convertirá a los montos pagaderos en diversas monedas aplicando los tipos de cambio cotizados en la Oferta, y después se reconvertirá a la moneda del país del Contratante, aplicando los tipos de cambio estipulados de conformidad con la Subcláusula 15.2 de las IAO.

  • ACCESORIOS Los codos, adaptadores, tees y uniones de PVC cumplirán con la norma NTC 1339 o en su defecto la ASTM D2466. Los accesorios que se usen de otro material, cumplirán con las normas que correspondan al mismo y se adaptarán siguiendo las recomendaciones de los fabricantes de la tubería. No se aceptan accesorios de PVC ensamblados con soldadura líquida.

  • GARANTÍA POR XXXXXXXX En caso se haya previsto en la sección específica de las bases la entrega de adelantos, el contratista debe presentar una garantía emitida por idéntico monto conforme a lo estipulado en el artículo 129 del Reglamento. La presentación de esta garantía no puede ser exceptuada en ningún caso.
