Transfer of title. La propriété attachée aux produits vendus est transférée au client lors de la réception par le client de notre avis de collecte/d’expédition ou, si l’accord ne prévoit aucun avis d’expédition, au plus tard lorsque les produits sont remis au transporteur ou à la société de fret ou à une autre partie en charge du transport.
Transfer of title. Transfer of title will take place upon delivery of the goods or service at the destination location. If Kalori has paid deposits for the goods or services, transfer of title will take place upon payment of the deposits. In the case of moulds, tools or machines produced by the Supplier for Kalori, all such equipment and the associated intellectual or industrial property rights will become the exclusive property of Kalori as and when they are produced, and may not give rise to retention by the Supplier or attachment by a creditor of the Supplier. As the depositary, the Supplier shall do everything in its power to individualize said molds, tools and machines, notably by affixing the Kalori mark of ownership. The Supplier shall maintain the molds, tools and machines belonging to Kalori and serving to produce goods or services for Kalori in good working order, at its own expense. Their use for purposes other than for Kalori is prohibited. In the event the Supplier is unable to supply the goods or services, it expressly authorizes Kalori to use the molds, tools and machines at its disposal to manufacture, arrange the manufacture or render compliant the products that should have been delivered, for as long as its inability to supply the goods or services persists. The Supplier assumes the risks incurred by the molds, tools and machines, as well as the risks resulting from their use. The Supplier shall insure the molds, tools or machines against any damage that may occur (including theft) for an amount at least equal to their replacement value, as well as against any direct or indirect damage vis- à-vis Kalori or third parties. The Supplier shall provide Kalori with a copy of the relevant insurance policy within one month of its subscription or renewal date and provide supporting evidence, at Kalori's request, of its regular payment of the associated premiums.
