Access and License. You may not, and will not allow or cause any third party to do the following: (i) use Chase Pay in connection with any fraudulent or illegal conduct, transaction or business, as determined by us in our sole discretion; or (ii) act as a payment intermediary, aggregator or service bureau yourself or on behalf of any third party, including, without limitation, handling, processing or transmitting funds for any third party.
Access and License. In consideration of Subscriber’s payment of applicable Fees, LiveVol hereby grants to Subscriber a limited, personal, non-exclusive, non-sublicensable, and non-transferable “License” in accordance with the terms of this Agreement, to access, operate, and use:
(i) the installable or web-based versions of the LiveVol software product(s) specified on Exhibit C, including any related support utilities, run-time support programs and libraries, and security programs, together with the software user documentation, if any, and any updates and upgrades to such software products and user documentation as may be made available in the ordinary course of LiveVol’s business (collectively the “LiveVol Software”);
(ii) the LiveVol proprietary data (“LiveVol Data”) and the third- party data, text, charts, calculations and statistics (“Supplier Data”), which together may hereinafter be referred to as “Data”;
(iii) the LiveVol Software and the Data (“LiveVol Platform”) to create new original works, and to use, copy, modify, display, publish and distribute such new original works as hereinafter provided; and
(iv) specific elements or extracts of Data and/or new original works based on Data, relating to particular transactions or situations, in materials written materials and to transmit such materials to Subscriber’s customers and prospective customers. The foregoing License may be exercised only by Subscriber’s employees and natural person independent contractors conducting activities on behalf of Subscriber; provided however, employees of a company providing services to Subscriber may be authorized to exercise Subscriber’s License rights if such service provider company has entered into a limited use and confidentiality agreement with LiveVol. For the avoidance of doubt, employees of Subscriber’s affiliates are not covered under the License.
Access and License. Subject to Customer’s continued and full compliance with all terms and conditions of this Agreement, Palantir will provide Customer access to a single instance of the Software during the applicable Order Term solely for its internal business purposes, and only
(a) to use, access, display, and run in accordance with the Documentation and (b) for the scope of use specified in the applicable Order Form and/or on Marketplace. If applicable, Palantir hereby grants to Customer a non-exclusive, nontransferable, non-sublicenseable, limited license to use the Content Connection Software during the applicable Order Term for the sole purposes of using and connecting to Products hereunder. Customer shall allow Palantir to access the Content Connection Software remotely as necessary. Palantir hereby grants to Customer during the Term a non-exclusive, nontransferable, non-sublicenseable, limited license, to (a) use the Palantir Materials in accordance with the Documentation and this Agreement and (b) copy, modify, and use the Palantir Materials solely to the extent necessary for Customer’s use of the Software hereunder. Palantir may make commercially reasonably updates to the Products from time to time. To the extent applicable, the Parties shall comply with the terms of the Palantir Data Protection Addendum (located at: xxx.xxxxxxxx.xxx/xxxxx/xxxx-xxxxxxxxxx/0000 or a successor URL), which form part of the Agreement.
Access and License. (a) Provided that the Third Party strictly complies with each of the terms and conditions of this agreement, the Regional hereby grants to the Third Party the right to access the Regional’s MLS® System and a license to download Listing Content for each of the Designated Members for the following limited purpose (the “Purpose”): to reproduce, use, communicate and display the Listing Content on one Website or program only located at
(b) The license granted to the Third Party under this agreement shall be non-exclusive and non- assignable. The Third Party shall have no right to sub-license any of its rights or obligations under this agreement without the Board’s prior written consent.
(c) Neither the license nor this agreement shall be construed as granting or conveying to the Third Party, any intellectual property or other rights in any aspect of the Regional’s MLS® System, the Listing Content, the Compilation, or the Coding.
(d) The Third Party acknowledge that the Board may enter into one or more license agreements with other parties allowing them to access the Regional’s MLS® System and to download Listing Content for reproduction on their Websites or program and nothing in this agreement shall prevent the Regional from so doing.
Access and License. As long as Client meets any applicable payment obligations and complies with this Agreement, True Angle hereby grants to the Client access and use of the Software Tool and a limited, personal, non-exclusive, non-transferable, revocable license to download and use the Software Tool and any Documentation for the duration of this Agreement for the Client’s personal use on the Client’s personal mobile device. If Client discontinues paying ongoing subscription license fees, its use will be restricted to the “basic” version of the Software Tool. The Client does not have any right to access or license to the Software Tool or the Documentation other than that which is expressly provided to the Client in this Agreement. Except for the limited license granted hereunder, True Angle retains all rights, title, and interest in and to the Software Tool and the Documentation, including any and all intellectual property rights contained therein.
Access and License. March Networks’ obligations below in this Section 3 are subject to Subscriber’s payment of all applicable Fees.
