Access SpecificationsThe Host hereby grants the Contractor and its designees (including the Installer, Persons responsible for implementing the Applicable Solar Program, and any Financing Party) access to the Premises for each Project for the purposes of Site surveying, designing, constructing, installing, erecting, maintaining, owning, operating, accessing, repairing, replacing and removing the Project and ancillary equipment and appurtenances and performing all of the Contractor’s obligations hereunder, during usual Business Hours for each Site, provided, however, that access is hereby granted to the Contractor and such designees as reasonably required by the Contractor and its designees outside of the usual Business Hours for each Site for maintenance, operation, repairs, removal and replacements where such actions cannot be reasonably or effectively undertaken in accordance with Prudent Utility Practice during the Host’s usual Business Hours for each Site without undue expense and/or inconvenience to Contractor and/or interference with Host’s normal activities at the Site, and for any other purposes as reasonably necessitated in the instance of an emergency (the “Access Rights”), which Access Rights shall be exercised in a manner otherwise consistent with the Contractor’s other express obligations under this Agreement. The Contractor shall pay all standard and usual costs, including but not limited to custodial labor and security costs if any, to access Site outside usual Business Hours for such Site.   • DAF Specifications Developer shall submit initial specifications for the DAF, including System Protection Facilities, to Connecting Transmission Owner and NYISO at least one hundred eighty (180) Calendar Days prior to the Initial Synchronization Date; and final specifications for review and comment at least ninety (90) Calendar Days prior to the Initial Synchronization Date. Connecting Transmission Owner and NYISO shall review such specifications to ensure that the DAF are compatible with the technical specifications, operational control, and safety requirements of the Connecting Transmission Owner and NYISO and comment on such specifications within thirty (30) Calendar Days of Developer’s submission. All specifications provided hereunder shall be deemed to be Confidential Information.

As soon as possible after a request is made for any change in Specifications, Catalent shall notify Client of the costs associated with such change and shall provide such supporting documentation as Client may reasonably require. Client shall pay all costs associated with such agreed upon changes. If there is a conflict between the terms of this Agreement and the terms of the Specifications, this Agreement shall control. Catalent reserves the right to postpone effecting changes to the Specifications until such time as the parties agree to and execute the required written amendment.
