Access to Facilities and Information. The Backup Servicer shall provide reasonable access to its facilities and assistance to any Successor Servicer or other party assuming the servicing responsibilities, provided, however, that such access shall not unreasonably interfere with the Backup Servicer conducting its day to day operations. The Backup Servicer will furnish to the Deal Agent or the Collateral Agent, as applicable, promptly, from time to time, such other information, documents, records or reports respecting the Collateral or the condition or operations, financial or otherwise, of the Backup Servicer as the Deal Agent or the Collateral Agent may from time to time reasonably request in order to protect the interests of the Collateral Agent or the Secured Parties under or as contemplated by this Agreement or the Loan Agreement.

Access to Facilities and Information. From the Effective Date until the Closing, Seller shall, and shall cause CPBR to, (a) afford Buyer and its Representatives full and free access to and the right to inspect all of the Real Property, properties, assets, premises, books and records, Contracts and other documents and data related to CPBR in a manner that does not disrupt any business of CPBR; (b) furnish Buyer and its Representatives with such financial, operating and other data and information related to CPBR as Buyer or any of its Representatives may reasonably request; and (c) instruct the Representatives of Seller and CPBR to cooperate with Buyer in its investigation of CPBR.
Access to Facilities and Information. Team shall permit XPF and the Judging Panel sufficient physical and virtual access to Team’s facilities and information relevant to Team’s participation in the Competition, upon reasonable prior notice, on or prior to the proposed launch date submitted in the Notification of Launch Attempt package. Team shall use commercially reasonable best efforts to provide similar access to contractor facilities being used for purposes related to Team’s Competition mission. Team shall provide reasonable assistance and cooperation with regards to understanding all documentation, plans, materials, and technology (including, without limitation, Team’s launch vehicle) that is reasonably necessary for the judging, evaluation of rules compliance, and/or content capture. Team shall ensure that any information disclosed to XPF or the Judging Panel does not comprise state secrets or, where state secrets are involved, that Team has been properly approved by the government authority to disclose such information to XPF or the Judging Panel. XPF will use best efforts to accommodate reasonable requests of Team in order to respect Team’s Intellectual Property, national security clearances, and regulatory compliance obligations. During visits to such facilities, XPF and Judging Panel shall comply with all Laws. Team may require reasonable levels of Team‐provided training before permitting access to facilities; however, in no case shall judging proceed without a sufficient number of XPF personnel, as defined by XPF, and members of the Judging Panel, as defined by the Judging Panel, present.
Access to Facilities and Information. During the Term, and subject to applicable Law, Developer and Developer's Affiliates shall afford to the Company and its Affiliates reasonable access during normal business hours, upon reasonable notice and in such manner as will not unreasonably interfere with the conduct of their respective businesses, to the facilities, properties, books, records, documents and personnel having involvement with or relating to any Project, in order that the Company may have the opportunity to make such reasonable investigations as it shall desire of the Projects and such facilities, properties, books, records, documents and personnel. Developer shall, and shall cause its Affiliates and all Developer Persons to, cooperate with any such investigation. Developer shall maintain all such information and records created or generated under this Agreement for a period ending the later of (i) five (5) years from the termination or expiration of this Agreement or (ii) two (2) years after the date the records are no longer required by the Company for supporting any governmental approvals. Any Confidential Information (as defined below) of Developer received by the Company or its Affiliates as a result of such investigation shall be subject to the confidentiality obligations set forth in Section 6 of this Agreement.

Each party shall hold, and shall cause its employees and agents to hold, in confidence all such information (other than such information that (a) is already in such party’s possession or (b) becomes generally available to the public other than as a result of a disclosure by such party or its directors, officers, managers, employees, agents or advisors or (c) becomes available to such party on a non-confidential basis from a source other than a party hereto or its advisors, provided that such source is not known by such party to be bound by a confidentiality agreement with or other obligation of secrecy to a party hereto or another party until such time as such information is otherwise publicly available; provided, however, that (i) any such information may be disclosed to such party’s directors, officers, employees and representatives of such party’s advisors who need to know such information for the purpose of evaluating the transactions contemplated hereby (it being understood that such directors, officers, employees and representatives shall be informed by such party of the confidential nature of such information), (ii) any disclosure of such information may be made as to which the party hereto furnishing such information has consented in writing and (iii) any such information may be disclosed pursuant to a judicial, administrative or governmental order or request; provided, further, that the requested party will promptly so notify the other party so that the other party may seek a protective order or appropriate remedy and/or waive compliance with this Agreement and if such protective order or other remedy is not obtained or the other party waives compliance with this provision, the requested party will furnish only that portion of such information that is legally required and will exercise its best efforts to obtain a protective order or other reliable assurance that confidential treatment will be accorded the information furnished. If this Agreement is terminated, each party will deliver to the other all documents and other materials (including copies) obtained by such party or on its behalf from the other party as a result of this Agreement or in connection herewith, whether so obtained before or after the execution hereof.

Such Stockholder consents to and hereby authorizes Parent to publish and disclose in all documents and schedules filed with the SEC or any other Governmental Entity or applicable securities exchange, and any press release or other disclosure document that Parent reasonably determines to be necessary or advisable in connection with the Offer, the Merger or any other transactions contemplated by the Business Combination Agreement or this Agreement, such Stockholder’s identity, the aggregate number of Subject Shares owned by Stockholders subject to this Agreement, the existence of this Agreement and the nature of such Stockholder’s commitments and obligations under this Agreement, and such Stockholder acknowledges that Parent may, in Parent’s sole discretion, file this Agreement or a form hereof with the SEC or any other Governmental Entity or securities exchange. Such Stockholder agrees to promptly give Parent any information necessary for the preparation of any such disclosure documents, and such Stockholder agrees to promptly notify Parent of any changes with respect to information supplied by such Stockholder specifically for use in any such disclosure document, if and to the extent that any such information shall have become false or misleading in any material respect.

  • INVESTMENTS AND INFORMATION (a) The Trustee shall from time to time during the term of this Agreement invest all amounts on deposit in the Credit Enhancement Account as the Master Servicer shall direct, which investments shall at all times be made in compliance with the terms of the Pooling and Servicing Agreement and the Series Supplement.

  • Statements and Information Available On-Line (a) Bank will send, or make available on-line, to Customer, at times mutually agreed, a statement of account in Bank's standard format for each Account maintained by Customer with Bank, identifying the Financial Assets and cash held in each Account. Bank also will provide to Customer, upon request, the capability to reformat the information contained in each statement of account. In addition, Bank will send, or make available on-line, to Customer an advice or notification of any transfers of cash or Financial Assets with respect to each Account. Bank will not be liable with respect to any matter set forth in those portions of any such statement of account or advice (or reasonably implied therefrom) to which Customer has not given Bank a written exception or objection within ninety days of receipt of such statement, provided such matter is not the result of Bank's willful misconduct or bad faith.

  • Access to Certain Documentation and Information The Trustee shall provide the related Certificateholders or Certificate Owners with access to a copy of each report, if any, received by it as holder of the Deposited Underlying Certificates under the Underlying Agreement. The Trustee shall also provide the Depositor and the Underlying Certificate Seller with access to any such report and to all written reports, documents and records required to be maintained by the Trustee in respect of its duties hereunder. Such access shall be afforded without charge but only upon reasonable request evidenced by prior written notice received by the Trustee two Business Days prior to the date of such proposed access and during normal business hours at offices designated by the Trustee.
