Additional Fees and Services. 5.1. All fees are given in PLN or EUR; however, if a fee is given in EUR, it shall be converted into PLN according to an average exchange rate of the National Bank of Poland as of the day preceding the final day of the Agreement. 5.2. Within the period from 1 November to 31 March, the Renter shall adapt the Car to winter conditions; therefore, a fee in the amount specified in the Agreement (Winter Package) shall be added to the rent amount. 5.3. If the Car is returned with its fuel tank not full, the Renter shall charge the Rentee with costs of the service of filling up the missing fuel according to the Additional Fee Table. When concluding the Agreement, the Rentee may purchase the Prepaid Fuel service according to the Additional Fee Table, which excludes the requirement to return the Car with its tank full of fuel. The Rentee may purchase the Flexi Fuel service. The Rentee covers the cost of fuel and refuelling service according to the Additional Fee Table. 5.4. The Rentee may book the service of providing or collecting the Car to and from the Rentee for an additional fee according to the Additional Fee Table, provided that the Rentee provides a credit card number and complete personal and contact details of a person named as the payer in advance. 5.5. A trip to countries to which an Entry Restriction applies is possible only with the Renter’s prior consent (and after the Rentee has purchased insurance required by regulations of a given country). In the event of a trip to countries to which an Entry Restriction applies without the Renter’s consent, the Rentee shall pay a stipulated penalty in an amount of five times the daily rent rate for each day when the Car stays abroad. The payment of the stipulated penalty shall neither exclude the Renter's rights under Paragraph 3.4 nor limit the Renter's claims resulting from possible damage to or loss of the Car. 5.6. Along with the conclusion of the Car Rental Agreement, the Parties shall conclude a rental agreement for a radio installed in the Car. A rent for the radio is included in the rent for the Car. 0.0. Xx enable the Renter to perform a periodic inspection, the Rentee shall control the Car’s mileage so that it does not exceed the level indicated on the key ring or in the documents provided at the time of handing over the Car, and shall follow messages on the Car’s display. Additional Fees and Services. 9.1 RA – Road Assistancea technical road assistance fee RA – Road assistance means the organization of roadside assistance by the Lessor in case of immobility of the vehicle during the Rental Agreement period. 9.1.1 If the User pays RA when signing the Vehicle Rental Agreement, the Lessor's has the obligation to: a) provide all necessary assistance after the User has contacted him through the Lessor's technical service number b) if necessary, organize a towing service for a stationary vehicle to the nearest service / branch of the Lessor, in which case the cost of the towing service is covered by the Lessor. In case of fault or gross negligence to the vehicle by the User (wrong fuel, punctured / destroyed tire, damaged vehicle clutch, lost vehicle keys, stuck vehicle and other damage to the vehicle that caused its immobility) this cost will be charged in full to the User according to the Lessor’s Price List. 9.1.2 If the User decides not to contract RA when signing the Rental Agreement, and the vehicle becomes immobile, the services provided by the Lessor in that case will be charged in accordance with the Lessor's Price List, including the cost of the towing service. 9.2 Cross boarding permission – a permission for crossing the border of the Republic of Croatia

  • Additional Services Registry Operator shall be entitled to provide the Registry Services described in clauses (a) and (b) of the first paragraph of Section 2.1 in the Specification 6 attached hereto (“Specification 6”) and such other Registry Services set forth on Exhibit A (collectively, the “Approved Services”). If Registry Operator desires to provide any Registry Service that is not an Approved Service or is a material modification to an Approved Service (each, an “Additional Service”), Registry Operator shall submit a request for approval of such Additional Service pursuant to the Registry Services Evaluation Policy at xxxx://xxx.xxxxx.xxx/en/registries/rsep/rsep.html, as such policy may be amended from time to time in accordance with the bylaws of ICANN (as amended from time to time, the “ICANN Bylaws”) applicable to Consensus Policies (the “RSEP”). Registry Operator may offer Additional Services only with the written approval of ICANN, and, upon any such approval, such Additional Services shall be deemed Registry Services under this Agreement. In its reasonable discretion, ICANN may require an amendment to this Agreement reflecting the provision of any Additional Service which is approved pursuant to the RSEP, which amendment shall be in a form reasonably acceptable to the parties.

  • New Services If, within ninety (90) days after the Distribution Date, a Party desires the other Party to provide additional or different services which such other Party is not expressly obligated to provide under this Agreement (excluding, for the avoidance of doubt, any Additional Services or Service Adjustments, the “New Services”), then such Party will provide a written change request (in the form agreed by the Parties) to the other Party within ninety (90) days after the Distribution Date. The Party receiving such request shall negotiate in good faith to provide such New Service; provided, however, that no Party shall be obligated to provide any New Services, including because the Parties are unable to reach agreement on the terms thereof (including with respect to Service Charges therefor). If the Parties agree to any such New Service, then the Parties shall document such terms in a Service Schedule to be incorporated in Schedule A or Schedule B, as applicable. The Service Schedule shall describe in reasonable detail the nature, scope, service period(s), termination provisions and other terms applicable to such New Services. Each supplement to the applicable Service Schedule, as agreed to in writing by the Parties, shall be deemed part of this Agreement as of the date of such agreement and the New Services set forth therein shall be deemed “Services” provided under this Agreement, in each case subject to the terms and conditions of this Agreement. The Parties shall in good faith determine any costs and expenses, including any start-up costs and expenses, which would be incurred by the Provider in connection with the provision of such New Service, which costs and expenses shall be borne solely by the Recipient.

  • Professional Services Fees You agree to pay us the professional services fees in the amounts set forth in the Investment Summary. Those amounts are payable in accordance with our Invoicing and Payment Policy. You acknowledge that the fees stated in the Investment Summary are good-faith estimates of the amount of time and materials required for your implementation. We will bill you the actual fees incurred based on the in-scope services provided to you. Any discrepancies in the total values set forth in the Investment Summary will be resolved by multiplying the applicable hourly rate by the quoted hours.

  • Professional Fees Borrower promises to pay Lender’s fees and expenses necessary to finalize the loan documentation, including but not limited to reasonable attorneys fees, UCC searches, filing costs, and other miscellaneous expenses. In addition, Borrower promises to pay any and all reasonable attorneys’ and other professionals’ fees and expenses (including fees and expenses of in-house counsel) incurred by Lender after the Closing Date in connection with or related to: (a) the Loan; (b) the administration, collection, or enforcement of the Loan; (c) the amendment or modification of the Loan Documents; (d) any waiver, consent, release, or termination under the Loan Documents; (e) the protection, preservation, sale, lease, liquidation, or disposition of Collateral or the exercise of remedies with respect to the Collateral; (f) any legal, litigation, administrative, arbitration, or out of court proceeding in connection with or related to Borrower or the Collateral, and any appeal or review thereof; and (g) any bankruptcy, restructuring, reorganization, assignment for the benefit of creditors, workout, foreclosure, or other action related to Borrower, the Collateral, the Loan Documents, including representing Lender in any adversary proceeding or contested matter commenced or continued by or on behalf of Borrower’s estate, and any appeal or review thereof.

  • Services Fee 5.1 The Transmission Services performed by TSO to Network User under this Standard Transmission Agreement are subject to the applicable Services fee calculated in accordance with attachment A of the Access Code for Transmission. In the event of any modification to the Regulated Tariffs, the Total Monthly Fee(s) and the Total Monthly Self-billing Fee(s) provided for in this Article 5.1 shall be adapted as from the calendar day of the entering into force of the modifications.
