Additional Obligations of Licensee. (a) In addition to the other payments provided for in the Agreement, Licensee shall reimburse Club for costs Club incurs to repair any damage (other than normal wear and tear) caused by Licensee or Licensee’s guests to the Suite or the Stadium or to any other property of any person or entity therein.
(b) Licensee shall, and shall cause its guests to, abide by and observe (i) all applicable laws, rules and legal requirements; (ii) all Stadium Standards; (iii) all terms and conditions (as they may be modified) set forth on the tickets and parking passes distributed pursuant to the Agreement; and (iv) all NFL Rules (as defined herein), and all rules, regulations and policies established from time to time by Club, the facility manager of the Stadium, the City of Jacksonville, and their respective subsidiaries, affiliates, contractors and agents pertaining to the use and occupancy of the Suite or a license to attend games, including, without limitation, those governing the consumption of alcoholic beverages and fan behavior. In addition to any other rights and remedies available, Club may exclude or remove from the Suite, and revoke the right to use the Suite or access to the Stadium, to any person who engages in any act or conduct that may bring Club into disrepute or undermine the integrity of the Jaguars or any owner thereof, or otherwise does not comply with the terms of this Section 10(b) for a particular event or events or indefinitely, without compensation to Licensee or Licensee’s guests. “Stadium Standards” means the Fan Code of Conduct, and all rules, regulations, standards, guidelines and manuals governing the use, occupancy and operation of the Stadium, as established by Club, the City of Jacksonville, Florida, the Stadium facility manager, or any other person or entity responsible for operation or management of the Stadium.
Additional Obligations of Licensee. A. COMMUNICATION COSTS. LICENSEE shall be responsible for all communication costs from LICENSEE's facility to the designated Database server location, including, without limitation, all equipment and telephone costs and any connection charges thereto.
Additional Obligations of Licensee. In addition to the obligations of Licensee set forth elsewhere in this Agreement, Licensee shall:
(a) have full and complete control, responsibility and liability for the signals distributed over the Capacity by Licensee or for its benefit;
(b) have full and complete control, responsibility and liability for the purchase, installation, construction and maintenance of the terminals and peripheral equipment connected to the Capacity utilized by Licensee, provided that such equipment shall not be located in public rights of way without Licensee having obtained all necessary rights to utilize such rights of way;
(c) employ its own employees, agents and/or independent contractors in the handling, storage, retrieval, processing, transmitting, and/or receiving of any electronic signals distributed over the Capacity;
(d) provide all commercial or other power supplies for the operation of the Capacity (or, if agreed by Licensor and Licensee, Licensee shall instead bear its Allocated Cost share of Licensor's costs for power supplies), terminals and peripheral equipment or facilities used with or connected to any System and located on Licensee's, or its customers', premises; and
(e) have full and complete control, responsibility and liability for maintaining any operating authority from any Federal, state or local governmental body or agency that relates to the activities of Licensee under this Agreement, including Lessee's utilization of Capacity.
Additional Obligations of Licensee. (a) Licensee shall, in addition to the other payments provided for in this Club Seat Agreement, reimburse JSD for costs incurred by JSD to repair any damage (other than normal wear and tear) caused by Licensee or Licensee’s guests (as defined in Section 6(d)) to the Seats or other property of JSD or NMSCO (as defined in Section 11(a) below).
(b) Licensee shall not, and shall not permit its guests (as defined in Section 6(d)) to, bring food or beverages into the Stadium except to the extent purchased from JSD or duly authorized Stadium concessionaires.
Additional Obligations of Licensee. Licensee shall:
(a) Supply and pay for all athletes, performers and participants required for the proper presentation of the Production;
(b) Transport all personnel, properties, facilities and equipment necessary for the Production to and from the DHSP Facilities;
(c) Present the Production in a manner customary for events comparable in type and nature to the Production; and
(d) Timely pay all fees and governmental taxes and levies due as a result of the Event, including without limitation the Admissions Fee, which shall be deducted by Licensor from the proceeds payable to Licensee and remitted by Licensor to the University in accordance with Section 39.
(e) If Licensee or its agents, representatives, managers, or employees, patrons, players, performers, or participants in or about the DHSP Facilities shall at any time accept or use the services of a physician or surgeon, or accept or use an ambulance service or any service in connection with an injury or sickness occurring to any such person or persons while within or about DHSP from the Move-in Date to the Move-out Date, even though such services are made available or are obtained through Licensor, Licensee will assume such costs solely as an Event Expense. and If such Event Expense is incurred as a result of the fault of any Licensee Parties, then Licensee will defend, indemnify and hold Licensor harmless from all responsibility or liability therefor to the extent of any such fault.
Additional Obligations of Licensee. 1. LICENSEE agrees not to directly or indirectly install or operate, or to allow or authorize any other individual or entity, directly or indirectly, to install or operate, the Escape System or EQUIPMENT in any location other than the original Location within or outside the Relocation Area, except in compliance with Section B.4 above.
Additional Obligations of Licensee. 10.1 During the term of this agreement, in addition to any other obligations set forth herein, Licensee shall:
10.1.1 use its best efforts in the performance of its obligations under this Agreement, including without limitation, in respect to the active solicitation of orders in the Initial Territory and in the Additional Territories for the purchase of Product for any kind of applications permitted under the Applicable Laws including but not limited to for medical and recreational applications to achieve first sale within sixty (60) days of initiating operations in an Additional Territory;
10.1.2 commit and adhere to the highest standards of operation, including but not limited to those standards as set out in the SOPM and as authorized, required, or approved by the Applicable Laws;
10.1.3 comply with and cause itself and its Affiliates to comply with all Applicable Laws in California and in the Additional Territories, as the case may be;
10.1.4 keep complete and accurate records with respect to the RDT IP provided by RDT under this Agreement;
10.1.5 be responsible for sourcing and providing cannabis oil(s) in accordance with Applicable Laws and any supplies other than what is provided by RDT pursuant to this Agreement, to make the Product(s); and
10.1.6 provide ROT with immediate notification if it becomes aware that any of Sections 10.1.1 - 10.1.5 or Article 11 is no longer true and of the loss or suspension of any license rights or Government Authorizations or court orders or legal proceedings that affect to any degree the ability of the Licensee to exploit the License Grant, to fulfill its obligations under this Agreement, or to take advantage of any of its rights and permissions under this Agreement, and to describe the impact of such loss or suspension on any of the foregoing.
Additional Obligations of Licensee. In addition to any payments provided for in the Sponsorship Agreement, Licensee shall reimburse Club for costs Club incurs to repair any damage (other than normal wear and tear) caused by Licensee or Licensee’s guests to the Suite or the Stadium or to any other property of any person or entity other than Licensee therein. Licensee shall, and shall cause its guests to, abide by and observe (i) all applicable laws, rules and legal requirements; (ii) all Stadium Standards; (iii) all terms and conditions (as they may be modified) set forth on the tickets and parking passes distributed pursuant to the Sponsorship Agreement and these Suite Terms; and (iv) all NFL Rules, and all rules, regulations and policies established from time to time by Club, the Stadium facility manager, the City and their respective subsidiaries, affiliates, contractors and agents pertaining to the use and occupancy of the Suite or a license to attend games, including, without limitation, those governing the consumption of alcoholic beverages and fan behavior. In addition to any other rights and remedies available, Club may exclude or remove from the Suite, and revoke the right to use the Suite or access to the Stadium, to any person who engages in any act or conduct that may bring Club into disrepute or undermine the integrity of the Jaguars or otherwise does not comply with the terms of this Section 7 for the Event at which the violation occurs or indefinitely, without compensation to Licensee or Licensee’s guests.
Additional Obligations of Licensee. (a) All articles of the License Product (“Articles”) shall be manufactured, offered for sale, sold, labeled, packaged and distributed, and advertised, marketed, promoted, publicized and otherwise exploited, and the Licensee’s sale and distribution of the Articles shall at all times be conducted and maintained, in accordance with all applicable laws, rules and regulations of, or in effect within, the Territory, and those laws, rules and regulations relating to health and safety, and regulations relating to the disclosure of information to the consumer, such as truth-in-advertising and content labeling laws, rules.
Additional Obligations of Licensee. (a) Licensee shall keep and maintain the Suite in good repair, order, and condition and, in addition to the other payments provided for in this Agreement, shall reimburse Licensor for any costs Licensor incurs to repair any damage (other than normal wear and tear) caused by Licensee or Licensee Parties to the Suite or the property of Licensor in the Suite.
(b) Licensee shall, and shall cause Licensee Parties to, abide by and observe all rules and regulations established from time to time by Licensor, MLB, any secondary sports team, and any Additional Event sponsor or promoter pertaining to the use and occupancy of the Suite and the Ballpark, including, without limitation, rules and regulations governing the consumption of alcoholic beverages, fan behavior, photographs, videotaping, etc.
(c) Licensee shall, and shall cause Licensee Parties to, maintain proper decorum while using the Suite and comply with all present and future laws, ordinances, orders, rules, and regulations of all governmental authorities and shall not suffer or permit any use or manner of use of the Suite in violation thereof.
(d) Licensee and Licensee Parties shall be prohibited from entering the playing field, interfering with a ball in play, or negatively disrupting a game, related activity, or Ballpark event in any way. Foul, abusive, socially unacceptable language, excessive alcohol intoxication, and other behavior reasonably determined by Licensor to reflect unacceptable fan conduct shall not be permitted. Any violation of one of the policies covered under this Section 11(d) shall subject the violating parties to ejection from the Ballpark and possible arrest. Any repeated violation of one or more of these policies, or an especially egregious violation, shall subject Licensee to possible termination of this Agreement, in Licensor’s sole discretion, and be subject to the remedies available to Licensor under Section 12.
(e) Licensee shall not, and shall cause Licensee Parties not to, re-sell: (i) the Suite Tickets or other tickets received pursuant to this Agreement; or (ii) the right to use the Suite for any particular event or Contract Year or portion thereof, unless expressly approved in advance and in writing by Licensor. If Licensor has approved no such means in writing, then Licensee shall be expressly prohibited from selling any Suite Tickets or use of the Suite on the secondary market or otherwise.
